Bankruptcy is built around the idea of reorganization -- where cash-strapped firms enter court and often spend years paying off creditors and attracting new financing. Now, with that financing in short supply, companies are rushing to hash out deals in weeks and months.

That is reshaping traditional deal making and restructuring. The number of prearranged bankruptcy plans -- which receive significant creditor blessing before entering court -- could double in 2009, according to New Generation Research Inc., a bankruptcy-data firm. Meanwhile, the number of asset sales hatched directly out of bankruptcy court are well ahead of last year's pace.

Masonite International Inc., a debt-laden door maker once controlled by Kohlberg Kravis Roberts & Co., entered bankruptcy court in mid-March. Three months later it has new owners and virtually no debt.

"The traditional stand-alone reorganization is on the endangered species list due to the lack of financing, so the acquisition in bankruptcy is much more prevalent in this cycle," said Martin Bienenstock, who heads Dewey & LeBoeuf LLP's bankruptcy practice. Mr. Bienenstock spearheaded General Motors Corp.'s fast-paced strategy to sell its desirable assets to a "New GM" while its more-onerous assets wind down in bankruptcy court.

"In this cycle, so many situations are dire, like with retailers, that there need to be quick solutions," Mr. Bienenstock said. In Masonite's case, stakeholders had a reorganization plan in place even prior to the company's Chapter 11 filing. In the end, 161 senior secured lenders -- including Scotiabank of Canada and private-equity firms Centerbridge Partners LP and Oaktree Capital Management LP -- swapped more than $1.4 billion in debt for a collective 97.5% stake in a new company. No firm has more than a 20% stake in the new Masonite, though Oaktree and Centerbridge installed several board members.

Masonite chief executive Fred Lynch said the company is poised to use its clean balance sheet to make acquisitions. "Whenever you can de-lever the way we have through Chapter 11, it clearly puts you in a position to be on the offensive," Mr. Lynch said. "Our new investors have all expressed interest in growth organically and through acquisitions."

In other cases, investors are acquiring company assets in so-called 363 bankruptcy sales, which are named after a section of the Bankruptcy Code. In such sales, companies quickly auction assets and leave many liabilities behind. That makes the assets attractive to new owners. These auctions can raise legal challenges, with sellers accused of using the sale as a substitute for a reorganization plan requiring creditors' endorsement. But bankruptcy lawyers have generally cited such sales as "bulletproof," because they are difficult to undo once approved by a judge.

On Monday, Syms Corp. and Vornado Realty LP won an auction bid for the bulk of bankrupt Filene's Basement's assets, agreeing to pay about $63 million for the Boston-based company's inventory, stores and trademarks. A hearing was scheduled late Wednesday to approve the sale. In July, Bally Total Fitness Holding Corp. will appear in court to present a deal that would give lenders, including J.P. Morgan Chase & Co. and hedge fund Anchorage Advisors LLC, a 94% ownership stake. The deal cuts the company's debt by $660 million and, if approved, could wrap up the health club's bankruptcy trip in about nine months.

Masonite, the door maker, started racing in 2006 to restructure its operations as a rapid decline in the housing market dented demand for its products. It closed nearly two dozen facilities world-wide and slashed more than 6,000 jobs.

Masonite's global revenue fell 16.5% last year to $1.82 billion. As housing starts continued to fall, negotiations switched from modifying loan agreements to cleaning Masonite's balance sheet. By March, Masonite reached a deal with enough lenders to implement a quick reorganization in bankruptcy court.

"Debt is the new equity. There are tremendous opportunities for investors to really take control of, or purchase, companies at a very good price," said Jonathan Henes, a bankruptcy partner at law firm Kirkland & Ellis LLP who oversaw Masonite's restructuring. Creditors approved the plan about 85 days after Masonite sought Chapter 11 protection.

"In terms of deleveraging the balance sheet, and in terms of the absence of any serious disputes, and in terms of the vote, I haven't seen one like this in 10 years," said U.S. Bankruptcy Judge Peter J. Walsh during a May 29 hearing in Wilmington, Del.

GM believes it is of critical importance that the Delphi situation be resolved as soon as possible. As previously disclosed, GM is prepared to advance needed liquidity to Delphi, but only in the context of a committed transaction process that addresses all of the principles described above. To date, only Platinum Equity has been able to address all of these principles and to commit to a final transaction. All other third parties who had approached Delphi had agreed to the same timetable but did not present a final, committed transaction by June 1. Nevertheless, GM fully supports Judge Drain’s decision to allow any other party an opportunity to meet these conditions and to participate in the bidding process within the timeline approved by the Court to successfully resolve the Delphi bankruptcy case.

Meanwhile, another source said billionaire activist investor Carl Icahn is leaning toward not putting together a bid for Delphi. The Post reported on Saturday that Icahn held parallel talks with Delphi before private-equity firm Platinum Equity Partners was selected as the winner of that auction.

Hedge fund Elliott Associates is among the outfits that lent money to Delphi through a $2.9 billion DIP credit line, and is seen as a possible lead bidder among the DIP lenders to take a run at the business.

On June 9, Elliott through its affiliates, successfully objected to Delphi's plan to sell itself to Platinum in a $3.6 billion deal that would have resulted in DIP lenders getting a paltry 20 cents on the dollar for loans extended to the company.

The judge overseeing Delphi's bankruptcy ordered the company to reopen the auction process.

If the lenders follow through with a bid on the company, sources said the DIP lenders could roll over their debt to cover much of the price tag for Delphi.

General Motors, Delphi's biggest customer, was providing $4 billion in financing to support a Platinum Equity offer. Most of that funding is coming from aid provided by Uncle Sam, which now controls the automaker.

Elliott in its June 9 objection said it expected to be able to raise sufficient funds to finance Delphi's financial needs if lenders bought the business. That would be essential as Delphi is losing money.

Treasury is providing Delphi with $250 million in emergency financing, but has made those funds contingent on a sale being completed by July 23.

This week, the judge overseeing the bankruptcy set bidding procedures to sell Delphi that sources familiar with the process said would level the playing field for others to step up. However, he did set a July 10 deadline for final offers, giving suitors only three weeks to put together a proposal, a shorter amount of time than usual.

An Elliott Associates spokesman declined comment, and Icahn could not be reached.

Dafür ist GM jetzt bereit sich jedem Investor anzuschließen der GM 5 Fabriken von Delphi gibt plus eine Bestandgarantie für eine weitere Versorgung mit Delphikomponenten und dafür ist GM bereit jedem Investor 4 Milliarden Dollar zu seinem Angebot zuzusteuern.
Denn ohne eine weitere Versorgung durch Delphikomponenten kann GM nicht produzieren. Das wissen auch die Konkurrenzbieter um Delphi und Delphi selbst.

Was bedeutet das nun für die Aktionäre?

Delphi kann selber entscheiden welche Assets sie verkaufen wollen. Somit ist jetzt schon klar das ein verkleinertes Delphi überleben wird. Durch den Konkurrenzkampf haben sich die Karten für Delphi wesentlich verbessert und die Assetpreise steigen. Ursprünglich hatte man nur 5,15 Milliarden Dollar benötigt um das Insolvenzverfahren zu verlassen. Nehmen wir das Angebot von PE als Rechenbeispiel so würden diese jetzt 7,6 Milliarden bieten. Im schlechtesten Fall einer Komplettübernahme müssten die Aktionäre sich dann ca. 2,45 Milliarden Dollar teilen. Mit einem solchen Schmerzensgeld könnte ich gut leben, denn das wären ca. 4,36 Dollar pro Aktie. Da wir aber wissen das ein Teil von Delphi überleben wird kann sich der Wert noch sehr schnell ändern.

Wenn GM könnte, dann würde GM Delphi komplett übernehmen, aber hier hängt das Geld der US-Steuerzahler dran.

Delphi ist der zweitgrößte Autozulieferer der Welt, nach Bosch. Es ist systemwichtig für die Produktion von Fahrzeugen von GM, Ford und VW. Da wir bei VW kein Absatzeinbruch hatten und auch Ford sich gut geschlagen hat, liegt der eigentlich Problemfall bei GM, wobei GM auch OPEL in Deutschland bedeutet und deren Absatzzahlen sind sehr gut gestiegen. Delphi unterhält auch Werke in Deutschland, bzw. baut gerade zwei Werke in Russland mit Fertigstellung 2010 und eins in Indien mit Fertigstellung in 2009.

Nachdem ich oben biber25 sein vorlautes Maul gestopft habe, gebe ich nochmal eine kurze Zusammenfassung, über das was bei Delphi in Ch11 passiert. Denn der biber25 kann wohl kein englisch oder ist zu faul oder zu dumm sich durch die Verträge zu lesen.

Delphi befindet sich in Ch11, dies bedeutet das Delphi Schutz vor den Gläubigern sucht, also vor den Verbindlichkeiten gegenüber diesen. Das muss aber nicht bedeuten, dass ein Unternehmen nicht zahlungsfähig ist. Delphi hat Ch11 aufgesucht um sich von den zu hohen Rentenansprüchen zu befreien. Denn Delphi, einst aus GM herausgetrennt, musste für ehemalige GM-Mitarbeiter Pensionszahlungen tätigen. Nur hatte GM Delphi mehr Pensionäre auf Auge gedrückt, als damals wirklich früher in den Werken gearbeitet hatten. Dies führte auch zu einem Rechtsstreit zwischen GM und Delphi. Delphi wurde seit ihrem Insolvenzverfahren Pensionszahlungen von über 15.000 Mitarbeitern erlassen. Danach wollte Delphi 2008 auch gleich aus der Insolvenz. Entscheidet für das Ch11-Verfahren bei Delphi ist das Delphi dies in Eigenverwaltung tut. Das bedeutet das der Vorstand und der Aufsichtsrat die Kontrolle über Delphi übernimmt, unter der Voraussetzung das Unternehmen zu restrukturieren und wieder profitabel zu machen. Das Unternehmen darf während dieser Zeit keine neuen Verbindlichkeiten aufnehmen. Das einzige was das Unternehmen hat ist seine Eigenfinanzierbarkeit von Innen, also siehe Cash Flow. Dieser ist in Delphi ausgeprägt. Nun darf das Unternehmen Ch11 nur verlassen, wenn es danach 100% alle seine Gläubiger bedienen kann. Dazu gibt es zwei Möglichkeiten. Erstens das Unternehmen hat genügen finanzielle Mittel, durch Verkauf von Assets oder z.B. durch Fusion oder Aufnahme eines Investors. Zweitens kann der Vorstand vor dem Insolvenzverfahren sich selber aus Insolvenz nehmen ohne genügend finanzielle Mittel zu haben, muss dafür aber einen nötigen starken Cash Flow haben um die Verbindlichkeiten danach auch selbständig bedienen zu können. Diese zweite Art ist aber sehr riskant, denn wenn eine Verbindlichkeit nicht bedient werden kann, kann es sein das der Vorstand und der Aufsichtsrat von den Gläubigern verklagt werden. Deshalb wählen die meisten das Erste der beiden Möglichkeiten. Eine Liquidation nach Ch7 ist bei Delphi ausgeschlossen. Dies kann man dem Vertrag zwischen Delphi und seinen Gläubigern aus delphidocket.com/documents/0544481/...81081107000000000002.pdf entnehmen. Delphi verkauft also einige Assets um an die nötige Liquidität zu gelangen, welche ihnen fehlte, als der Investor Anfang 2008 absprang. Das Gericht stimmt diesen Verfahren zu, machte aber zur Auflage das es eine offene Auktion für die Assets gibt, denn der Vorstand und der Aufsichtsrat ist auch immer noch den Shareholder (Aktieninhabern) gegenüber verpflichtet. Delphi gehört immer noch diesen und nicht den Gläubigern. Ziel eines Ch11-Verfahren ist es das Unternehmen langfristig zu erhalten. Dies ist der Vorteil den die Gläubigern dann dabei auch haben, also langfristige Geschäfte zu tätigen. Alle Ressourcen die Delphi während des Ch11-Verfahrens kaufte musste es also per Barkauf sofort tilgen. Die meisten Unternehmen verlassen das Ch11 nach 2 Jahren. So sollte es auch bei Delphi sein, doch leider sprang der Investor ab. Delphi wird also nicht verramscht, was Einige denken und damit die Aktionäre enteignet. Nein, Delphi hat seine Pflicht immer noch gegenüber den Eigentümern. Delphi ist wie viele andere Unternehmen seit 2008 also in Ch11 so zu sehen, wie ein Unternehmen das keinen Kredit von den Banken aufgrund der Finanzkrise bekommt. Delphi wollte ja so einen Kredit von den Banken und das bevor sie einen Investor gesucht hatten, weil die Banken aufgrund der Finanzkrise Delphi so einen Kredit nicht geben wollten. Also haben wir ihr eigentlich zwei Geschichten die in einer Verbunden ist. Verkauft Delphi nun Anteile per Auktion, so tut es das nur um sich zurecht zu schrumpfen. Delphi wird sich nicht gegen seine Shareholder stellen. Nein es wird sich für seine Aktionäre aus Ch11 nach veränderten Plan lösen, denn der Vorstand ist seinen Aktionäre gegenüber Verpflichtet und nicht gegenüber seinen Gläubigern.
