Kozo Hiramatsu, a seasoned business executive who was appointed Livedoor Co. president last month, has forged a plan to ensure effective governance and thorough legal compliance in a life-or-death effort to save the company.
On Friday, he announced some of his initiatives, including appointment of independent directors and drafting of an in-house ethics charter.
Hiramatsu also said the company will set up an investigation panel of outside lawyers and accountants to look into the company's unfolding scandals.
"We are determined to squeeze all the pus out of our company," he told a packed Japan National Press Club in Tokyo's Chiyoda Ward.
A former Sony Corp. employee, Hiramatsu, 60, said Livedoor will pursue legal responsibilities of former management under founder Takafumi Horie.
The company is also prepared to punish current executives should the investigation panel hold them accountable.
Livedoor plans to introduce independent directors after approval at an extraordinary shareholders meeting in June.
Hiramatsu, who does not sit on the Livedoor board, is also expected to be named director.
Hiramatsu said he plans to soon remove director Fumito Kumagai--arrested on Wednesday on suspicion of window-dressing--from the board.
Livedoor plans to ask the court to select a provisional director to serve until the shareholders meeting. The exceptional step is necessary because Livedoor has only three directors including Kumagai--the minimum required under the Commercial Code.
Regarding future directions for Livedoor, Hiramatsu said the company plans to focus on three core operations--Internet media, financial services, and business solutions, which includes corporate software developer Yayoi Co., of which he is the president.
