Obducat AB (publ), listed on the Swedish NGM stock exchange, has reached an agreement with the nanotechnology fund H&A Lux DAC NANOTECH implicating that Hauck & Aufhäuser Investment Gesellschaft S.A. (H&A) under lead of the German Nanostart AG will subscribe for 15 million new shares to be issued by Obducat.
The Board of Obducat has consequently fully utilized the authorization given by the shareholders. The issue will provide SEK 13,2 million to Obducat.
In addition to the subscription of the above mentioned 15 million shares, H&A and Nanostart AG has undertaken to guarantee SEK 6 million in a proposed issue of a convertible debenture loan, being subject to decision by an extra shareholders meeting to be held January 26, 2004. These SEK 6 million will - according to the proposed debenture issue terms - entitle H&A and Nanostart AG to detachable warrants enabling a future sign-up for an additional 3 million shares.
