The current intention of the parties is that the acquisition will be followed by a plan of arrangement whereby Megastar would distribute the Eloro common shares to Megastar shareholders pursuant to a plan of arrangement under the Business Corporations Act (British Columbia). The arrangement will enable Megastar to distribute the Eloro common shares to its shareholders in a tax-efficient manner.

Megastar will be seeking shareholder approval for the arrangement at a special meeting of shareholders to be held on Dec. 20, 2010. At the same meeting, and in connection with the arrangement, Megastar will also be seeking shareholder approval for a special resolution authorizing Megastar's board of directors, at its discretion, to consolidate Megastar's common shares on the basis of one new Megastar common share for up to every six previously outstanding Megastar common shares. As at the date hereof, an aggregate of 39,887,233 Megastar common shares are issued and outstanding. If the Megastar consolidation is completed on a 6:1 basis, approximately 6,647,872 Megastar common shares will be issued and outstanding following completion of the Megastar consolidation. Any implementation of the Megastar consolidation will also be subject to acceptance by the TSX-V.

The Eloro common shares to be distributed to shareholders of Megastar will be listed for trading on the TSX-V. The common shares of Megastar will continue to be listed for trading on the TSX-V.

In accordance with discussions between Eloro and the TSX-V, the acquisition closed in escrow subject to the occurrence of the earlier of two conditions, namely: (i) approval of the acquisition by Eloro's shareholders, or (ii) completion of Megastar's arrangement. The closing of the acquisition and any subsequent release of the acquisition closing documents will also be subject to the usual requirement that the parties are in agreement that the closing conditions in the asset purchase agreement have been satisfied or waived.

If Eloro's shareholders approve the acquisition and the parties are in agreement that the closing conditions have been satisfied or waived, all prior to the completion of the arrangement, then from the date that the acquisition closing documents are released from escrow up to and including the closing date of the arrangement, the voting trust agreement among Megastar, Thomas Larsen and Eloro provides that all Eloro common shares held by Megastar are to be voted by Mr. Larsen (in his capacity as president and chief executive officer of Eloro) until all such Eloro common shares have been distributed by Megastar.

Completion of the acquisition and the arrangement is subject to receipt of all required consents and approvals, including without limitation, shareholder approval, TSX-V acceptance and, in the case of the arrangement, court approval.

Falls Eloros Aktionäre die Akquisition genehmigen und sich die Parteien einig sind, dass die Abschlusskonditionen erfüllt wurden oder auf sie verzichtet wurde - alles vor Abschluss des Arrangement dann sieht das Stimmbindungs-Treuhandabkommen zwischen Megastar, Thomas Larsen und Eloro vor, dass vom Datum der Freigabe der Akquisitionsabschlussdokumente bis zum und einschließlich des Abschlussdatums des Arrangement Thomas Larsen (in seiner Position als President und Chief Executive Officer von Eloro) mit allen sich im Besitz der Megastar befindlichen Eloro-Stammaktien abstimmen kann, bis diese Eloro-Stammaktien von Megastar verteilt wurden.

Der Abschluss der Akquisition unterliegt dem Erhalt aller benötigten Zustimmungen und Genehmigungen, einschließlich, aber nicht beschränkt auf, die Zustimmung der Aktionäre und die Genehmigung durch die TSX Venture Exchange sowie im Fall des Arrangement eine gerichtliche Genehmigung.

Special meeting of shareholders -- Dec. 20, 2010

The company wishes to remind and invite shareholders to attend the special meeting of shareholders of Megastar at 10 a.m. on Monday, Dec. 20, 2010, at the offices of Macdonald Tuskey, corporate and securities lawyers, 1210 -- 777 Hornby St., Vancouver, B.C., for the following purposes:

Shareholders will consider a special resolution to adopt an arrangement to distribute to Megastar shareholders 70 million common shares of Eloro Resources Ltd. on a pro rata basis. If the arrangement is approved, Megastar shareholders of record on the distribution record date will remain shareholders of Megastar and will also become shareholders of Eloro on the distribution record date, ultimately receiving as a dividend, approximately 1.7 shares of Eloro for every one share of Megastar beneficially owned on the distribution record date. The distribution record date has been set as Dec. 21, 2010.
Secondly, shareholders will consider the consolidation of the issued and outstanding common shares of Megastar on the basis of one new postconsolidation share for up to every six preconsolidation shares outstanding. If this resolution is approved, it will give the board of directors the ability to consolidate the issued and outstanding common shares of the company on the basis of one new share for up to six old shares, if considered necessary or advisable by the board of directors, with the actual consolidation ratio to be determined by the board of directors.
