The Registrant's Report on Form 10QSB due on December 31, 2003 has been delayed because the Registrant's completion of financial information has been delayed due to personnel leaving the Registrant’s employ and the difficulty in locating knowledgably replacement(s), therefore the Registrants financial information could not be completed without unreasonable expense and effort

Die UV-Technologie für die Behandlung von Abwasser sei ein umfangreiches System, für das UltraGuard weitere Forschungsgelder benötige, um es bis zur Marktreife zu führen. Für die patentgeschützte UV-Technik der Abwasserbehandlung suche das Unternehmen einen finanzkräftigen Joint-Venture-Partner, wie Vorstandsvorsitzende Ken Fielding erläutere. Für bestimmte Branchen und Länder würden inzwischen auch Gesetze existieren, die die Entkeimung des Abwassers gesetzlich vorschreiben würden. Dies gelte vor allem für trockene Regionen, in denen Wasser knapp sei. UltraGuard argumentiere mit immer höheren Versicherungsprämien und einer Verteuerung von Chlor durch eine Anhebung der Sicherheitsstandards. In Kalifornien sei das UV-Verfahren von UltraGuard für die Behandlung von rückzuführendem Wasser ins Wassersystem zugelassen.

Als besonderen Wendepunkt bezüglich der Finanzlage UltraGuards betrachte man die befreiende Bestätigung der Rechte für die UV-Technologie des Unternehmens. Anfang Februar sei ein Rechtsstreit beigelegt und eine Vereinbarung mit einer ehemaligen Gruppe von Anteilseignern getroffen worden. Zurecht argumentiere das Management, dass die zuvor in diesem Zusammenhang gebundenen zeitlichen und monetären Ressourcen nun wieder auf das operative Geschäft gelenkt werden können, um die unternehmerischen Chancen in vollem Umfang wahr zu nehmen.
