UltraGuard Signs Marketing License for Ultraviolet Products
Monday February 9, 9:00 am ET
VANCOUVER, BC--(MARKET WIRE)--Feb 9, 2004 -- In March 2003: UltraGuard Water Systems Corp's (OTC BB: UGRD) wholly owned subsidiary Innovative Fuel Cell Technologies Inc., signed an agreement with MagPower Systems Inc., a premier magnesium fuel cell developer. The Agreement, gave UltraGuard's the worldwide rights to manufacture and market MagPower's proprietary Magnesium-Air Power Fuel Cell (Fuel Cell) as an alternative power source for UltraGuard's ultraviolet water disinfection and filtration systems.

During MagPower's successful marketing of the Fuel Cell for other application, MagPower received numerous requests to use the Fuel Cell with ultraviolet disinfection products. As this application is licensed to UltraGuard, MagPower approached UltraGuard with this opportunity.
On February 2, 2004 UltraGuard and MagPower Systems Inc signed an amendment to the March 2003 agreement, which provides to MagPower the rights to sell and sublicense UltraGuard's UltraFlo disinfection systems into the continent of Africa, and Asian countries including India, China, Afghanistan, Kazakhstan, Bangladesh, Pakistan, Indonesia, Malaysia, Singapore, South Korea and Japan (Licensed Area). MagPower's desire in pursuing this amendment, stems from the many requests received from companies residing in the Licensed Area, for access to the Fuel Cell and the UltraFlo system, and MagPower's desire to fast track the marketing of their Fuel Cell throughout the world. MagPower's Fuel Cell has been given worldwide exposure through their marketing efforts, and the opportunity to license the UltraFlo disinfection system will enhance that exposure.
Under terms of the amended agreement, MagPower will cancel the outstanding amount of C$88,800.00 owing by UltraGuard and UltraGuard will issue the remaining 200,000 shares of restricted common stock to MagPower as required by the March 2003 agreement. As well, in any country within the Licensed Area where MagPower has not signed a licensee, UltraGuard retains the right to have MagPower appoint companies interested in the opportunity to license and sell the Fuel Cell and UltraFlo system.
According to Shawn A. McGroarty, CEO for MagPower, "We are very pleased and excited with the opportunity the UltraGuard disinfection and filtration technology presents. In our marketing of the Fuel Cell for other industry applications, we were often approached by groups interested in the Fuel Cell and water disinfection treatment products. Completing this agreement now allows us to finalize licensing arrangements with these groups and directly supply these water treatment products."
Ken Fielding, President and CEO of UltraGuard, said, "It's a real win-win for our respective companies and the customer; MagPower alone can complete licenses with customer wishing to acquire the Cell and UltraFlo system, and UltraGuard will benefit from MagPower's worldwide marketing efforts. The customer has the benefit of a single source location of a fully integrated system designed for remote applications."
