Item 1.01    Entry into a Material Definitive Agreement.

Securities Purchase Agreement and Warrants

On March 7, 2019, Seelos Therapeutics, Inc. (the "Company") and Seelos Corporation entered into Amendment Agreements (collectively, the "Fourth Amendment") with each Investor (as defined below) amending: (i) that certain Securities Purchase Agreement (the "Purchase Agreement" and the transactions contemplated thereby, the "Financing"), made and entered into as of October 16, 2018, by and among the Company, Seelos Corporation and the buyers listed on the signature pages attached thereto (the "Investors"), and amended by those certain Amendment Agreements, made and entered into as of November 16, 2018, by those certain Second Amendment Agreements, made and entered into as of January 4, 2019 and by those certain Third Amendment Agreements, made and entered into as of January 16, 2019, (ii) the Series A Warrants to Purchase Common Stock issued in the Financing (the "Series A Warrants") and (iii) the Series B Warrants to Purchase Common Stock issued in the Financing (the "Series B Warrants").

The Fourth Amendment, among other things, (i) fixed the aggregate number of shares of common stock of the Company ("Common Stock") issued and issuable pursuant to the Series B Warrants at 11,614,483 (which number includes shares of Common Stock issued pursuant to exercises of Series B Warrants on or prior to March 7, 2019), (ii) fixed the aggregate number of shares of Common Stock issued and issuable pursuant to the Series A Warrants at 3,629,023 (none of which were exercised as of March 7, 2019), (i ii) reduced the duration of the period during which the Investors are limited in the number of shares of Common Stock subject to Series B Warrants that Investors can exercise on a daily basis, such that such period will terminate March 21, 2019, (iv) reduced the duration of the period during which the number of shares of Common Stock underlying the Series B Warrants will adjust based on the volume-weighted average price of the Common Stock, such that the adjustment period terminated on March 7, 2019, (v) fixed the "Reset Price" based on which the Series B Warrants adjusted on March 7, 2019 at $1.3389, (vi) amended the Purchase Agreement such that the date until which the Company is restricted from effecting certain variable rate transactions will be March 20, 2019, (vii) amended the Series A Warrants so that any references therein to the Series B Warrants refer to the Series B Warrants, as amended or restated from time to time, and (viii) made certain other technical, conforming and clarifying changes.

The foregoing description of the Fourth Amendment is not complete and is qualified in its entirety by reference to the full text of the form of Fourth Amendment Agreement filed as Exhibit 10.1 hereto, which is incorporated herein by reference.

GAP ist soweit zu. Jetzt könnte es wieder Richtung 7 Dollar gehen.

da ist für nächste Woche einiges glatt zu stellen. Von 7 Euro runter auf 3. Unglaublich  

aaktien, was haben wir ?
Am 7. kam die Nachricht, dass sie ein PARKINSON-MEDIKAMENT übernommen haben.
Der Kurs steigt von 1,55 auf 3,04, Nachbörslich auf 5,45.
Gestern Vorbörslich zwischen 4,50 und 7+, dann kommt der große Run, bis auf 7,80 und der logische Abverkauf, denn die Aktie hat seit dem 7. teilweise +300% gemacht... Zusätzlich muss das Gap zu 3,40 geschlossen werden und Shorter sind auch noch am Start + Wochenende.
Ich halte es für ein gutes Zeichen, dass sie gestern im PLUS geschlossen hat.
Der neue Boden scheint bei 3+ zu sein, also 100% höher als vor 2 Tagen, ne Menge Aktien wurden über diesem Wert gekauft.
Montag wird es auf jeden Fall interessant. Wie schnell die steigen kann, haben wir ja gesehen.

Und es ist halt keine Garagenfirma, sondern immerhin an mehreren Börsen gelistet. Daher glaub ich nicht, dass es sich hier nur um einen Zock handelt.  

Seelos Therapeutics, Inc. (NASDAQ: SEEL), a clinical-stage biopharmaceutical company, announced today that it has acquired an exclusive license to intellectual property owned by The Regents of the University of California (The UC Regents) pertaining to a technology that was created by researchers at the University of California, Los Angeles (UCLA). Such technology relates to a family of rationally-designed peptide inhibitors that target the aggregation of alpha-synuclein (α-synuclein). Seelos plans to study this initial approach in Parkinson's disease (PD) and will further evaluate the potential clinical approach in other disorders affecting the central nervous system (CNS).

am Mittwoch bis Freitag genau umgesehen hat, wird bemerkt haben, dass einige low float bio tech aktien in den USA rasant angestigen sind. Auslöser war in diesem Fall Aktie bpth welcher sich 35-facht hat.

Zu Seelos gibt es jedoch einige weitere interessante Katalysatoren:

- Zum einen das oben verlinkte Video mit deren CEO
- Der Merger mit Apricus
- Die interessante Pipeline (deren Seite ist momentan leider wieder down - zuviel Traffic?)
- Sowie : participate 39th Annual Cowen Health Care Conference diesen Mittwoch
- und: participate in the 31st Annual ROTH Conference scheduled for March 17-19, 2019

Die letzten beiden Punkte könnten dafür sorgen, dass Big Player Seelos mit Geld bewerfen.

Ich bin dabei und aufgrund meines Depotübertrages sowieso gefangen in dem Ganzen :D Sonst wäre ich Freitag mit satten Gewinn raus und wohl heute wieder rein...

Der Chart von BPTH sieht sogar recht ähnlich aus.
Sie scheint sich auch Vorbörslich über der 3 Dollarmarke zu halten.
Die Chancen stehen gut, dass wir heute wieder im Grünen landen, auch ohne die Konferenzen.

ich decke mich mit den Sahneteil ein. Wie werden hier ganz andere Kurse bald sehen.

So langsam könnten sie ihn ja mal wieder über die 3 Dollarmarke schicken.

gute alte Sommerzeit /Winterzeit ist schuld. Das geht jetzt bis Ende des Monats so weiter , dann passt der Handel wieder von 15.30-22.00

Irgendwer kauft da wie bekloppt.

sind noch viele bei 7 Euro hängen geblieben. Denke da sind wir wieder ganz schnell.  

sind laut den Nadaq-Tool bei 4,20 und dann erst bei 7 bzw. 9 zu erwarten.
Ist nur die Frage, ob der Kaufdruck ausreicht, um bis dahin zu kommen.
Zu kaufen, wenn der Kurs schon so einen Sprung gemacht hat, ist auch kaum zu empfehlen. ;-)
Aber BPTH hat ja auch erst noch einen Rücksetzer gemacht, bevor sie richtig hoch ging.
