Item 1.01 Entry into a Material Definitive Agreement.
As of July 11, 2014, and with a closing date of July 16, 2014, the Company entered into a Convertible Note Purchase Agreement with Eastmore Capital LLC ("Eastmore"), pursuant to which the Company sold to Eastmore an $80,000 face value 12% Convertible Note (the "Eastmore Note")with a maturity date of July 10, 2015 (the "Eastmore Maturity Date"). Interest accrues daily on the outstanding principal amount of the Eastmore Note at a rate per annum equal to 12% on the basis of a 365-day year. The principal amount of the Eastmore Note and interest is payable on the Eastmore Maturity Date. The Eastmore Note is convertible into common stock, subject to Rule 144, at any time after the issue date, at the lowerof (i) theclosing saleprice of thecommonstock on the onthe trading dayimmediatelypreceding the closingdate, and (ii)50% of the lowestsale price for thecommon stockduring the ten (10)consecutive trading days immediatelypreceding theconversion date. If the shares are not delivered to Eastmore within three business days of the Company's receipt of the conversion notice, the Company will pay Eastmore a penalty of $1,000 per day for each day that thethe Company fails todeliver suchcommon stock through willful actsdesigned to hinderthe deliveryof commonstock to Eastmore. Eastmore does not have the right to convert the note, to the extent that it would beneficially own in excess of 4.9% of our outstanding common stock. Da gibt es einen Typen (NITE) der 1,2 Mio Shares in besitzt hat und diese seit wir unter 0,05 sind..  mit 99k Paketen verkauft. Hab etwas mitgezählt wie viel der 99k Pakete schon weg sind. Es müsste zwischen 800k- 1,1kk Shares schon los sein. Man muss auch dazu sagen, das er es war der den Preis oft runterdrückt hat. Sobald ein 99er leer war hat er wieder nachgefüllt. Wollte es eig. nicht sagen.. aber was solls  

PS: Sry für vertipper, mit Handy schnell zu schreiben ... da bin ich wohl nicht der beste

Wenn ich die mir bekannten Bestände von Freunden und Bekannten alleine in Deutschland zusammen zähle kommen ich auch schon auf ca. 2,5 Millionen Aktien. Ich Glaube nicht, das dies einen großen Einfluss hat. Denk doch nur mal an die 500.000 Stücke zu 0.12 Testaktion die einer meiner Freunde am 7. durchgeführt hat. Hat das etwas den Kurs wenigstens kurzfristig etwas nach oben bewegt ? - nein..

Ich denke die machen ihr Ding (die MMs) und bewegen den Kurs dahin, wo sie ihn haben wollen und das muss nicht mit unseren Vorstellungen übereinstimmen.

 

Also mit "ihr Ding" meinst du bestimmt Dilution und da ich HKUP L2 jeden Tag beobachte sehe ich da keine Dilution denn das würde ganz anders aussehen im L2

Das Teil wird schon hoch gehen da mache ich mir keine Sorgen  

Schön und gut,aber ich hab mir sagen lassen die App von HKUP taugt nix,kann das sein ? Es muss doch einen Grund geben ,warum sich HKUP in 2 Jahren getausendstelt hat ! Da scheint mir die Epoxy App wesentlich aussichtsreicher,allerdings ist die Epoxy aktie vergleichsweise teuer ....

Ihookup mit Ihookup Social Inc. Das sind 2 verschiedene paar Schuhe, die nicht miteinander zu tun haben. Diese Verwirrung ist bei den Amis auch sehr weit verbreitet.

Ja auf Android taugt die nichts (noch) muss aber sagen auf iPhone von Sis läuft sie sehr schön.  User Wachstum funktioniert auch, wachsen im 2 Stelligen Prozentbereich Quartal zu Quartal. Unternehmen investiert Geld für Werbung. Zeichen dafür das die an das Produkt glauben (nicht selbstverständlich im OTC). Also wenn das nicht Positiv ist denn weiß ich auch nicht

Sollte man nicht mit dieser vergleichen. Andere Kategorien/Branche :)
