Ist ja nicht mehr viel los hier, was aber keine schlechtes Zeichen sein muss.

 

Das 3. Quartal hat, mal wieder, extrem enttäuscht. Aber lt. dem Management wird alles besser, auch schon häufig versprochen.

Ich bleibe investiert, meine Einstellung wird aber nicht positiver.

1. Hat Kodak "NICHT" enttäuscht, da zum einen eine Verbesserung erzielt hat und die Rekonstruierungskosten nur 1mal trägt.

2. Kodak hält derzeit noch ca. 10 000 Patente und hat mit der digital inject Serie ein Durchschlagendes Produkt auf den Markt gebracht.

3. 1,2 Mrd. erhält Kodak durch die Gesundheitleistungen. Auch wenn es den Rentnern schrecklich leid tut, geht es hier um die weiterführung des Unternehmens. Kodak kann somit die $ 950 Mio. Schulden bei der Citigroup + die Restlichen Gesundheitsleistungen von 30 Mio. bezahlen !

4. Google, Microsoft, Apple, Samsung könnten Kodak "Jederzeit" für 6-10 Mrd. übernehmen ! Das ist ein Taschengeld für diese Konzerne !! Bei 4Mrd. alleine würde das umgerechnet ca. 14 $ pro Aktie ausmachen !!

5. Kodak hat noch  ein paar laufende Patentklagen sowie Patentauktionen, die zusätzlich noch ca. 1,5 Mrd. einbringen dürften.

6. Kodak wird 2013 die Insolvenz verlassen und wieder voll Geschäftsfähig sein ! Die harte Umstrukturierung musste sein. Siehe z.B. GM

7. Ebenfalls hat sich Kodak wichtige Parnter ins Boot geholt. Wie z.B. der Softwarepartner MMR

8. Bei Kodak spielt es derzeit keine Rolle wie Die Leitindikatoren stehen ! Hier kann es Jederzeit zu einem Ausbruch von mehreren 100% geben. Mein persönliches Kursziel für Kodak sehe ich bei mind. 2,10 € bei einer Übernahme 15 €

Restrukturierungsplan

Üblicherweise entwirft das Unternehmensmanagement eine Schulden- und Eigenkapital-Konstruktion, die das Unternehmen wieder profitabel macht. Danach finden umfangreiche Treffen mit einer Vertreterkommission der Gläubiger und der Aktionäre statt, um einen Restrukturierungsplan auszuhandeln. Nach der endgültigen Einreichung des Restrukturierungsplanes im Insolvenzgericht stimmen die Gläubiger und Aktionäre über den Plan ab. Das Insolvenzgericht muss dann die endgültige Zustimmung zum Restrukturierungsplan geben.

Falls keine Vereinbarung mit allen Gläubigern oder Gläubigergruppen erreicht werden kann, kann das Unternehmen dem Insolvenzgericht vorschlagen, den Restrukturierungsplan gegen die Stimmen der Gläubiger anzunehmen (cram down). Ein cram-down-Restrukturierungsplan muss höhere rechtliche Anforderungen als ein einvernehmlich angenommener Restrukturierungsplan erfüllen.

Aktionäre

Chapter 11 stellt sicher, dass Gläubiger, die vom insolventen Unternehmen kein Geld oder neue Schuldtitel erhalten, stattdessen Aktien des Unternehmens als „Bezahlung“ bekommen. Dabei können die ursprünglichen Aktionäre unter Umständen vollständig durch die neuen Aktionäre abgelöst werden.

Eine der rechtlichen Voraussetzungen eines cram-down-Restrukturierungsplanes ist, dass keiner der Aktionäre die gegen den Restrukturierungsplan gestimmt haben, Werte erhält, bevor die Gläubiger ausgezahlt wurden (Geld, neue Schuldverschreibungen oder Güter). Deshalb hängt der Aktienwert nach einer der Chapter-11-Insolvenz hauptsächlich vom Verhältnis des Unternehmenswertes zur Summe der Schuldenforderungen ab.

Kodak in financing deal to leave bankruptcy -source

NEW YORK (Reuters) - Eastman Kodak Co (EKDKQ.PK) has reached a financing deal with bondholders that could take the one-time photography giant out of bankruptcy, a person close to the matter said Monday.

The deal, which needs bankruptcy court approval, would provide Kodak with $793 million in loans on the condition that it receive at least $500 million for a patent portfolio it has been trying to sell for more than a year, the person said.

The financing is also contingent on the company selling all or a portion of its document imaging and personalized imaging businesses, which were also put up for sale, the person said.

Kodak filed for Chapter 11 protection in January in hopes of selling its intellectual property portfolio, but bids have been lower than hoped. It remains in talks for a patent sale with potential buyers, including Apple Inc (AAPL) and Google Inc (GOOG).

Disposing of its intellectual property and imaging assets would mean a restructured Kodak would largely be out of the consumer business, focusing instead on its commercial imaging businesses.

Kodak had no immediate comment.

The bondholders funding Kodak's loans, which include Centerbridge Partners and a JPMorgan Chase & Co (JPM) unit, beat out another contingent of second-lien bondholders that had offered financing, the person said.

Some of those second-lien holders on Monday filed court papers objecting to Kodak's request to keep exclusive control of its bankruptcy process through February 28.

The request, which needs court approval, would bar creditors from pushing competing restructuring plans.

Eastman Kodak Company today outlined its next steps toward a successful emergence from Chapter 11 reorganization as a company primarily focused on commercial, packaging and functional printing solutions and enterprise services. Accordingly, the company has initiated sale processes for its market-leading Personalized Imaging and Document Imaging businesses.

Kodak believes that the sale of these assets, as well as continued cost-reduction initiatives, curtailment of its legacy liabilities, and the monetization of the company’s digital imaging patent portfolio, will be significant milestones toward completing the company’s reorganization and emergence from Chapter 11 during 2013.

“The initiation of a process to sell the Personalized Imaging and Document Imaging businesses is an important step in our company’s reorganization to focus our business on the commercial markets and  enable Kodak to accelerate its momentum toward emergence,” said Antonio M. Perez, Chairman and Chief Executive Officer. “In addition, we continue our initiatives to reduce our cost structure and streamline our operating models in an effort to return the company to profitability.”

Kodak noted that in addition to the commercial, packaging and functional printing and enterprise services businesses, it also continues to own and operate the Consumer Inkjet, Entertainment Imaging, Commercial Film and Specialty Chemicals businesses, given the company’s expertise, capabilities and strong customer relationships in these markets, as well as their combined cash-generating capability.

The Personalized Imaging business consists of Retail Systems Solutions (RSS), Paper & Output Systems (P&OS) and Event Imaging Solutions (EIS). RSS is the worldwide leader in retail print solutions with a global footprint of 105,000 KODAK Picture Kiosks; P&OS includes the broadest portfolio of traditional photographic paper and still camera film products; and EIS provides souvenir photo products at theme parks and other venues. The Document Imaging business provides a leading and comprehensive portfolio of scanners, capture software and services to enterprise customers.

“Personalized Imaging and Document Imaging are valuable businesses that enjoy leading market positions as a result of superior products and service offerings. We remain steadfast in our commitment to our customers, and we will work to ensure that they continue to receive the exceptional levels of quality and service they have come to expect from Kodak. Kodak said it would move forward as quickly as possible and has targeted completing these transactions in the first half of 2013. Lazard is adviser to Kodak in the sale process.

In accordance with its prior announcement, the company is continuing discussions with parties with respect to the potential sale of its digital imaging patent portfolio. The company reiterates that it has made no decision to sell the portfolio and Kodak may, in consultation with creditors, retain the portfolio as an alternative source of recovery for creditors.

“As we move forward with the Chapter 11 process, we are focused on delivering the highest value to our creditors so that we can emerge as a sustainable, profitable company that continues to meet the needs of our customers,” Perez concluded.

Voraussetzung ist, dass der Hersteller von Fotoausrüstung sein Portfolio an Patenten für etwa 500 Millionen Dollar veräussern kann. Für Kodak ist die Bereitstellung der Mittel wichtig, um das seit Januar laufende Insolvenzverfahren im ersten Halbjahr 2013 abzuschliessen.

gut und schön aber was mich daran massiv stört ist die veräusserung der patente zum schleuderpreis ... somit haben die "die sowieso zuviel" haben ein schnäpchen gemacht und ihren willen durchgedrückt. auch wenn die patente von jahr zu jahr an wert verlieren sind die einnahmen auf dauer gesehen um vieles höher als sie einfach aus dem fenster zu werfen ... die übern deich soll man mal verstehen ...

schon, allerdings lesen wir das nicht nur hier. sprich wenn alle die sich nichtmal drum streiten aufgrund der geschmiedeten allianz das lesen, was meinst du werden sie machen? ihr damaliges angebot von 500 mio. weiter in die höhe treiben um ein paar 100 mio.? macht leider keinen sinn wenn ich weiss das mein letztes höchstgebot das gebot ist zu dem es kodak min. verkaufen soll.
