PCCW <1186.HK>, Hikari chairmen in share
swap
HONG KONG, Feb 11 (Reuters) - Pacific Century
CyberWorks Ltd (PCCW) said on Friday its chairman
Richard Li and Hikari Tsushin Inc <9435.T> president
Yasumitsu Shigeta had agreed to a US$1 billion swap
involving shares of the two companies.
Pacific Century Group Holdings Ltd (PCGH), owned by Li, who also has a controlling
stake in PCCW, had agreed to sell to Shigeta 332.53 million PCCW shares or about 3.5
percent of the Internet firm, PCCW said in a statement.
PCGH had also agreed to buy from Shigeta, Hikari's controlling shareholder, 510,200
Hikari shares, representing about 1.65 percent of the Japanese Internet firm. Based on
Thursday's stock closing prices, the PCCW shares and Hikari shares involved in the deal
had the same approximate value of US$1 billion, the statement said. "The agreement will
deepen the strategic relationship between the two companies, helping PCCW to identify
business opportunities in Japan and Hikari to strengthen its position in Asia Pacific beyond
Japan," PCCW said. PCCW will be a strategic shareholder in Hikari's intended flagship in
Hong Kong, Golden Power International Holdings Ltd <0603.HK>, to be renamed Hikari
Tsushin International Ltd. PCCW and Hikari said in January they would team up to take
control of Golden Power, a battery maker that will serve as the flagship for Hikari's
Internet investments outside Japan. Hikari had agreed to take a 51 percent stake in Golden
Power and PCCW a 20 percent stake in Golden Power's enlarged share capital.
