The management and supervisory boards of BinTec Communications AG
decided on February 15, 2001 to raise their capital stock by 720,000
registered shares. Shareholders have no option on the newly issued
stocks. This action is designed to finance the company's expansion
into southern Europe, among other things. The shares, which are
entitled to dividends from January 1, 2001, were subscribed by two
management board members, the chairman of the supervisory board, and
one other investor at an issue price of EUR 3. The move comes after
former shareholder resolutions to increase capital stock and has the
approval of the supervisory board.
