MINERAL HILL INDUSTRIES LTD. - NON-BROKERED PRIVATE PLACEMENT  

Mineral Hill Industries Ltd. will use its best efforts to sell by private placement of up to 3,125,000 units at 16 cents per unit for total proceeds of up to $500,000. Each unit will comprise one common share and one transferable common share purchase warrant. Each transferable common share purchase warrant is exercisable for one additional common share at 22 cents per share if exercised on or before the first year from the date of issue, or 35 cents per share if exercised during the second year from the date of issue. The company will apply the proceeds from the private placement toward its program for the Liberty Hill gold mine project and working capital to finance continuing operations.  Certain directors and officers of the company may acquire units under the private placement. Any such participation would be considered to be a related-party transaction as defined under Multilateral Instrument 61-101. The transaction will be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101, as neither the fair market value of any units issued to or the consideration paid by such persons will exceed 25 per cent of the company's market capitalization. This private placement is subject to regulatory approval.

As announced on Jan. 10, 2012, the company has resumed talks with Ascot Mining PLC, which has indicated that it will provide a backstop of up to $450,000 for any unsubscribed portion of the private placement. Ascot is a junior mining and exploration company which currently operates in Costa Rica, and is aggressively pursuing advanced-stage opportunities in the gold exploration and production development sector.

Terra wurden zudem 2.531.250 Mineral Hill-Einheiten (nicht stimmberechtigt) für die Laufzeit der Schuldverschreibungen als Sicherheit zur Verfügung gestellt. Außerdem wurden Kendo Capital Inc. („Kendo") 281.250 Mineral Hill-Einheiten als Provision für die Vermittlung von Terra an Ascot gewährt, wobei jede Einheit aus einer Mineral Hill-Stammaktie sowie einem vollen Optionsschein besteht, der im ersten Jahr zu 0,22 CAD und im zweiten Jahr zu 0,35 CAD ausgeübt werden kann. Damit ist die Vermittlungsprovision in Höhe von 45.000 CAD abgegolten.

Als Konsequenz aus dieser Zeichnung wird Ascot nun - in Übereinstimmung mit den Richtlinien der Toronto Stock Exchange - als zusätzliche kontrollierende Person des Unternehmens betrachtet. Im Hinblick auf die Genehmigung dieser Privatplatzierung und die Akzeptanz von Ascot als zusätzliche kontrollierende Person hat das Unternehmen die schriftliche Zustimmung von Aktionären erhalten, die in Summe mehr als 50 Prozent der durch Mineral Hill ausgegebenen Aktien besitzen.

Das Unternehmen erwartet, dass ein Termin für diese Anhörung am oder vor dem 15. Februar festgesetzt wird und dass diese Verhandlung innerhalb eines Monats stattfinden wird. Das Unternehmen rechnet zudem damit, dass der Fall innerhalb von drei Monaten nach der Anhörung vor dem Strafgerichtshof verhandelt wird, sollte der unabhängige Richter bei der Anhörung feststellen, dass es Gründe für einen Strafprozess gibt..."

würde bedeuten, dass die Vorverhandlung spätestens am 15.3. stattfindet und danach bis Mitte Juni die abschließende Verhandlung vor dem Strafgerichtshof losgehen wird.

Also ENDLICH ein absehbarer Zeithorizont, bis wann Ascot meinem laienhaften Rechtsverständnis nach 33 Mio. USD zugesprochen bekommt! ;-)

Ich gehe davon aus, dass das La Toyota-Projekt dann zu 100 Prozent an Ascot geht. Das wäre doch mal eine positive Überraschung, wo man hier sonst nur Sch... gewohnt ist.

Der NI 43-101 Bericht vom 28. Juli 2011 empfahl ein Zwei-Phasen -Explorationsprogramm für Chassoul. Phase 1 wird sich auf die Cajeta-Goldader konzentrieren, wo zusätzliche mineralisierte Zonen identifiziert worden sind. Dieses Programm wird sich auch auf die kürzlich geöffneten Amarilla- und Negra-Adern konzentrieren. Die Arbeiten werden folgende Aktivitäten umfassen: topographische Kartierung, detaillierte Satellitenbilder, Oberflächenproben und die Kartierung von Verwitterungsgebieten und -adern, Aushub von Explorationsgräben und Entwicklung neuer Explorationstunnel.

Geo, von S.A: Jackson and Associates: "Da Diamantkernbohrungen teuer sein können, werden auf bestimmten Ebenen des Minenbereichs Tunnelarbeiten zu Explorationszwecken durchgeführt. Dies kostet deutlich weniger und hat den Vorteil, dass eine Massenprobe (bulk sample) entnommen werden kann, sobald man die Goldader erreicht. Die Entwicklung kann dann von diesem, durch die Explorationsarbeiten geschaffenen, Zugang aus fortgesetzt werden. Die Masseproben werden dann vor Ort bei der Chassoul-Mühle verarbeitet, wo das enthaltene Gold aus dem Erz gewonnen wird."

Die budgetierten Kosten für Phase 1 liegen bei 1,58 Mio. USD, wobei rund 70 Prozent dieser Summe für den Tunnelbau vorgesehen ist. Das Phase-II-Programm wird bei budgetierten Kosten von 450.000 USD Diamantkernbohrungen zum Nachweis zusätzlicher Reserven und eine Ressourcenschätzung beinhalten. Es wird erwartet, dass ein Großteil der Explorationskosten voraussichtlich durch die Goldproduktion im Zuge der Explorationsarbeiten wieder eingespielt wird, so dass sie sich möglicherweise selbst finanziert

Ascot Mining - Ende gut, alles gut?



(shareribs.com) Investoren von Ascot Mining (WKN: A0Q0G8) brauchten bisher ein dickes Fell. Erst hatte das Management von Ascot Mining kein Glück und dann kam auch noch Pech dazu.  Produktionsprognosen wurden mehrfach verfehlt, da unter anderem ein potenziellen Joint Venture Partner beim La Toyota-Projekt verrückt spielte. Er ließ Ascot die Arbeit machen und verwehrte im Anschluss daran dem Ascot-Team den weiteren Zutritt auf das Gelände. Dies geschah im November 2009.

Mittlerweile gab es sechs(!) Beschlüsse seitens des Gerichts im Sinne von Ascot. Nachdem der jüngste Anhörungstermin Mitte Februar 2012 aufgrund der Krankheit des Anwalts von Ascot Mining verschoben werden musste, gibt es unseren Informationen zufolge in der 16. Kalenderwoche einen neuen Versuch.

Folgt der zuständige Richter den Argumenten von Ascot Mining, wird die Verhandlung vor dem Strafgerichtshof innerhalb von drei Monaten beginnen. Wir gehen davon aus, dass in diesem Fall die Gegenseite alles daran setzen wird, einen Vergleich zu erzielen, bevor es vor Gericht geht.

Ascot Mining hat die Investition in La Toyota bereits komplett abgeschrieben. Aufgrund dessen gibt es nur Aufwärtspotenzial aus diesem Fall. Entweder bekommt Ascot 33 Mio. USD in Cash oder die Konzession überschrieben, was wir eher für wahrscheinlich halten. Dies sollte positive Auswirkungen auf den Aktienkurs haben, da der Börsenwert gerade einmal bei rund 13,5 Mio. Euro liegt. Weitere Impulse für den Ascot-Aktienkurs versprechen wir uns zudem vom geplanten Listing an der kanadischen TSX (Main Board) und am britischen AIM.

MINERAL HILL ANNOUNCES MINERAL PROPERTY ACQUISITION

Mineral Hill Industries Ltd. has entered into a mineral acquisition agreement to purchase outright 100-per-cent interest in a property consisting of eight registered mineral claims and seven pending mineral claims covering approximately 704.64 hectares located approximately 40 kilometres northwest of the mining town of Val d'Or and 13 kilometres south of Amos in Quebec, Canada. This property is important and complementary to the company's four other lithium properties in Quebec and will increase Mineral Hill's lithium property holdings to approximately 4,266 hectares. The acquisition will not only keep the company in the forefront of the most significant lithium property holders in Quebec, but will also make Mineral Hill's future exploration efforts more cost-efficient. All of Mineral Hill's lithium properties are well located with respect to access roads and transportation, and are partly only 700 metres east-southeast of the old Quebec lithium mine property boundary line.

In consideration for this March agreement for the new property, the company will pay the vendors 550,000 common shares of the company. The vendor has agreed to the conditions that 250,000 common shares will be legended with a sale restriction of four months and a day and the remaining 300,000 common shares will be legended with a hold period of one year from the date of issue of the shares. This transaction is subject to the company being satisfied with the title to the property and the approval from the TSX Venture Exchange.

The demand for lithium has been growing in the past years as it is the mineral of choice for use in lithium-ion batteries, in hybrid cars, laptops, cellphones and MP3 players.

Ascot Mining raises £646,997 via share placing

PLUS-listed mining group Ascot Mining (PLUS:ASMP) has raised £646,997 via a share placing, which it said will be used for general working capital purposes.

The company’s broker Daniel Stewart and Company has placed 4.62 million shares at a price of 14 pence per share with “certain institutional and other investors”, which have also received accompanying warrants at an exercise price of 21 pence.

“The company is delighted to have received this investment from new shareholders, demonstrating support for the company's strategy as it seeks to generate further value for shareholders,” said director of Ascot Mining Alex Panko.

The fundraising comes as Ascot is preparing for a new exploration campaign at the Chassoul project in Costa Rica, where it hopes to establish a minimum resource of 100,000 ounces of gold by the end of 2012 and up to 250,000 ounces by the end of 2013.

Ascot has so far explored just 12 per cent of the exploration concession that spans two square kilometres and now plans to explore the rest of the area. It also plans to expand the concession area to around 10 sq km.

Phase one of the exploration programme, which will focus on the Cajeta vein and the recently opened Amarilla and Negra veins, is expected to cost US$1.58 million, while the cost of phase two has been estimated at US$450,000.

Ascot expects to recover much of the exploration costs from the gold it produces through the exploration process.

The company expects to produce 1,900 ounces of gold in the first half of 2012, generating in excess of US$2.5 million at current gold prices.

“However, it is the board's belief that further production increases are deliverable from existing operations,” Ascot told investors in January.
