2008-07-10 07:56 ET - News Release CHICAGO, July 10 /PRNewswire-FirstCall/ -- NAVTEQ announced today that Nokia has completed its previously announced acquisition of NAVTEQ. The transaction is valued at approximately $8.1 billion. Under the terms of the merger agreement, which was approved by NAVTEQ stockholders at a special meeting held on December 12, 2007, NAVTEQ stockholders are entitled to receive $78.00 in cash without interest and less any applicable withholding taxes, for each share of common stock they owned immediately prior to the effective time of the merger. NAVTEQ common stock will cease trading on the New York Stock Exchange prior to the commencement of trading on July 10, 2008 and will no longer be listed on the New York Stock Exchange. Stockholders of record as of the effective time of the merger will receive a letter of transmittal and instructions on how to surrender their shares of NAVTEQ common stock in exchange for the merger consideration. Kommission genehmigt NAVTEQ-Übernahme 12:16 02.07.08 Espoo (aktiencheck.de AG) - Der finnische Mobiltelefonhersteller Nokia Corp. (Profil) meldete am Mittwoch, dass die Europäische Kommission die geplante Akquisition der amerikanischen NAVTEQ Corp. (Profil) ohne Auflagen genehmigt hat. Wie der Konzern mitteilte, hat er nun sämtliche behördlichen Genehmigungen für die Übernahme erhalten. Vor diesem Hintergrund geht man davon aus, die Transaktion innerhalb der nächsten fünf Handelstage abzuschließen. Nokia gab Ende März bekannt, dass die Europäische Kommission eine zweite Phase bei der Überprüfung der laufenden Akquisition eingeleitet hat. (ISIN US63936L1008/ WKN A0CAV4) haben am Mittwoch dem Verkauf an die finnische Nokia Corp. (ISIN FI0009000681/ WKN 870737) zugestimmt. Demnach haben mehr als 75 Prozent der Aktionäre der Transaktion zugestimmt. Im Rahmen der Übernahme erhalten die Anteilseigner des auf Navigations-Software spezialisierten Konzerns 78 Dollar je Aktie in bar, was inklusive der Übernahme von Verbindlichkeiten einem Gesamtvolumen von 8,1 Mrd. Dollar entspricht. Durch die Übernahme wird Nokia seine Marktposition in dem rasch wachsenden Markt für Navigations-Software festigen. Das Board of Directors von NAVTEQ hatte der Übernahme bereits im Herbst und die Wettbewerbsbehörden vergangene Woche zugestimmt.
