hat hier irgendjemand eine Ahnung,
wie man an die Statuten der Gesellschaft kommen kann ?

Hintergrund meiner Frage:
ich kann immer noch nicht recht glauben,
dass das MM eine derart hohe Kapitalerhöhung ( Faktor 4 )
die zudem einen reinen Zock auf Eurogas AG / Talk darstellt,
OHNE Zustimmung der Aktionäre ( a.o HV ) durchziehen darf.

mir geht's zunächst um die RECHTLICHE Situation:
Ist das Management authorisiert, eine solch gewichtige Entscheidung zu treffen,
ohne dass die Aktionäre zustimmen müssen.

Ob im Falle einer Zustimmungserfordernis das erforderliche Quorum erreicht
werden kann, steht dann auf einem anderen Blatt.

On December 23, 2013 EuroGas Inc., the controlling shareholder of TMBXF, has served the President of the Slovak Republic, a Sovereign European State and Full Member of the European Union, with a Final "Notice of Dispute" to commence legal proceedings against the Slovak Republic after January 31, 2014 before an International Arbitration Court of the World Bank (ICSID) in Washington D.C., under the Bilateral Investment Treaty (BIT) between the United States of America and the Slovak Republic, claiming substantial monetary losses incurred by EuroGas for damages resulting from a 2004 illegal expropriation by the Slovak Republic of mining rights to the huge Gemerska Poloma talc-soapstone ore body previously owned by Rozmin s.r.o., a Slovak subsidiary of EuroGas.

In addition to the President of the Slovak Republic, the legal documents were simultaneously served on Dec. 23, 2013 also on the Prime Minister, the Minister of Finance, the Minister of Economy and the President of the Main Mining Administration Office of the Slovak Republic.

The Gemerska Poloma talc-soapstone ore body is located near Roznava, Slovak Republic and ranks amongst the largest and purest of its kind in the world. Independent geological experts have publicly estimated the value of the Gemerska Poloma ore body to be in the several (!!!) billion-dollar range.

hat MIN eine PFS gebracht. Die haben wie TMBX ca. 80 Mio Aktien und sind in
einigen Ländern recht bekannt. Ergebnis 350% Plus!
Das interessante ist  vor 4 Jahren hat Rauball mit einem Geologen darüber gesprochen.
der hatte in unserem Press Releases immer auf das ungeheure Potential für Copper Porphyry bei TMBX, die mitten im Copper Porphyry Belt drinnen liegen (!!) hingewiesen. Auf den 82 Sandwich Claims von EuroGas hatte ASARCO bereits 1972 starke Bohrresultate für einen tiefliegenden Copper Porphyry Erzkörper bei Robbers Roost"  entdeckt.
Das Deposit von MIN liegt geologisch nicht weit von TMBX entfernt, das auch mitten im Copper Prophyry Belt liegt. Das TMBX Deposit wiederum liegt keine 20 Meilen nördlich von der Weltklasse Kupfer Porphyry Mine bei Bisbee entfernt. Schaut mal auf die Karte.
Das Ding hat riesiges Potenzial .
