Idaho General receives early indication of interest; USD 10-12 considered to be fair price

Idaho General Mines, the listed molybdenum exploration and development company, has been approached by multiple parties eyeing a merger, sources familiar with the company said. A USD 10 to USD 12 price tag is considered to be fair value in the event of a sale at current molybdenum prices of around USD 35, the sources say.

David Russell, an Idaho General board director, said he could not comment on whether companies are calling or not but said it is pretty rare in the market for something not to be discussed. He agreed that a potential sale value would be in that price range if not higher based on the pre-feasibility study of the company’s Mount Hope project, a primary molybdenum property, located in Eureka County, Nevada.

Idaho General is also engaged in the exploration and development of properties of silver, gold, base metals and other specialty metals. At the end of last year, Idaho General acquired a second significant molybdenum project, the Hall-Tonopah project, located in Nye County, Nevada.

Russell said if Idaho General’s CEO Bruce Hansen is talking to interested parties, the company will probably not get into any serious discussions until after the “bankable” feasibility studies on the Mount Hope Project, which he said is scheduled for August or September. “That’s really going to tell you the real value of Mount Hope, what is the real valuation, and what is the real capital that goes into that project,” Russell said.

Idaho General’s executives did not return calls seeking comment.

Russell said he was sure the results would be very good, describing the asset as fairly high grade compared to most ore deposits in the world that are being promoted or developed. The company states on its website that it is targeting initial production at Mount Hope to begin in 2010.

Russell said once the feasibility study is out, valuations for the company could even be north of USD 12. Idaho General’s shares are currently trading at USD 7.46.

When asked about possible buyers for the assets, both sources concurred that Thompson Creek Metals Company, the world’s fifth-largest molybdenum producer with a market capitalization of around USD 2.63bn, would be a likely candidate. Thomson Creek changed its name last May from Blue Pearl Mining.

One source said Thompson Creek could be an obvious buyer because it has significant cash on its balance sheet, with USD 114.51m as of 31 March. In addition, Idaho General has “long beaten the drum saying Blue Pearl’s reserve base was not all that great”, the source added.
Although not speculating on possible buyers, Russell said once the feasibility study is out with permits and a production schedule, Idaho General would probably be out of reach for the mid-size molybdenum companies and would need a larger company to buy it out.

Similarly, one of the sources said looking at Idaho General’s position right now of not being a producer; it makes sense for anyone to acquire them to already be producing.

Since the Idaho General’s last board meeting, Russell said that the CEO was going to look at retaining a financial advisor but he was uncertain whether that had been accomplished yet. “I have no knowledge of that right now,” he said.

But as far as equity raising or financing for Idaho General, Russell said the CEO would not be in the market due to the current bankable feasibility study. “You would not want to do any money raising, or borrowing money or anything until you have that bankable done,” he said.

Hall-Tonopah project’s main feasibility study is running slightly behind course due to its later acquisition into the company, said Russell. He said that may be completed in a year from now.

Idaho General has a market capitalization of around USD 405m.

ich glaube kaum, dass Warf die Absicht hatte dich als "Zocker" abzustempeln.
Wenn ich allerdings so vorgehen würde, wie du es beschreibst,d.h., ich verkaufe meine Aktien beim Höchststand und kaufe sie zurück, wenn sie wieder günstiger sind,gäbe ich dem Kind auch den Namen "Zock"! Nur leider hatte ich bei diesen "Zockereien" nicht das Glück wie all die Anderen, von denen ich immer lese, dass sie beim Höchststand raus und beim Niedrigsten wieder rein sind. Bin ich zu blöd, oder wird da manchmal etwas geflunkert?
Hätte ich TCM z.B. beim Höchststand von 13,21 verkauft und wäre bei Forsys eingestiegen, hätte ich heute einen Verlust von ein paar Tausend.
Oder ich hätte TCM verkauft, um bei ErnerGulf einzusteigen, gar nicht auszudenken.
Vielleicht bin ich mir auch nur nicht sicher, ob alle meine Schwestern(die gefallenen Engel meine ich)wieder aufstehen.

So, mein lieber Fungi, nun ärgere dich nicht mehr über den "Zocker", den haben wir schließlich ALLE ein bisken in uns!

Aspekt von therefore

Wie hoch schätzen Du Therefore ( und auch die anderen ) eigentlich auf dem aktuellen Kursniveau und der MK momentan noch die Übernahmegefahr ein ?

Hallo etuo,

So blöd wie das klingt, aber die Übernahmegefahr wird durch den Kursanstieg eher größer als kleiner, da die Aufmerksamkeit der Branche vermehrt auf TCM gelenkt wird.

Der Vorteil des höheren Kurs ist "nur", wir würden jetzt nicht mehr nur ein Trinkgeld, sondern bei einem noch 30% bis 40%-Übernahmeaufschlag mit dem nach den momentanen Zahlen fairen Wert der 2007er Zahlen bezahlt werden (KGV von 10).

Da nach meiner Meinung Ian schon den nächsten Übernahmecoup in der Tasche hat, wird der Markt mit Sicherheit zuerst diese Übernahme abwarten und dann zuschlagen. 2 oder mehr Fliegen mit einem Schlag zu erwischen ist halt lukrativer und macht weniger Stress und Arbeit.

Wahrscheinlich ist dies von Eric und seinen Kumpanen schon alles längst geplant und in die Wege geleitet.

Auch deshalb bleibe ich in diesem Invest.

die Frage, die er meint ist doch wahrscheinlich, ob man in dem Invest trotzdem drinbleiben kann, die Aktien ggf. automatisch getauscht werden wie jetzt beim Namenswechsel von BPM zu TCM und man somit gar nicht zum Verkauf gezwungen wird, sodaß es ggf. gar nicht steuerlich relevant wird. Oder wie das überhaupt abläuft. Habe diese Situation ja auch noch nicht gehabt.

Ich glaube Caddy hatte da auch vor einigen Monaten schon mal was zu geschrieben. Da bin ich mir aber auch immo nicht mehr so sicher. Und da ich davon ausgehe, daß wenn es wirklich soweit sein sollte, darüber noch mal ausgiebig diskutiert wird hier im Forum, habe ich mich da natürlich auch noch nicht weiter sonderlich mit befaßt. Ich denke, wenn die Situation da ist, kommt "learning by doing". Da werden die wichtigen Infos hier aus dem Forum sofort umgesetzt. ;-)

also in dem fall gebe ich pichon recht, dann mußt du steuern zahlen.
denn die übernommene firma geht dann in den wertbestand der übernehmenden firma über.

also nur mal ein beispiel, angenommen rio tinto übernimmt TCM, dann existiert ab dem tag der übernahme TCM nicht mehr. also werden die aktien auch aus dem verkehr gezogen.
bei einem aktientausch zu rio tinto papieren, beginnt dann die haltefrist von neuen.
aber ich gehe nicht von einen aktientausch aus. es wird eher eine barübenahme sein.

die einzige möglichkeit die es geben könnte das die haltefrist bestehen bleibt ist, wenn TCM als tochtergesellschaft weiter bestehen bleibt. aber dafür übernehme ich keine garantieen. und sollte sicher auch nicht im interesse des übernehmers sein.

aber wie harley schon schrieb, darüber sollten wir uns gedanken machen wenn es soweit ist. zumal ich ganz klar davon ausgehe das das erst angebot garantiert nicht angenommen wird oder angenommen werden kann.
denn ich bin mir sicher das der kurs sehr schnell dieses angebot erreichen wird und auch ganz schnell danach weitersteigen wird. und dann muß der übernehmer nachlegen.

denn der übernahme preis kann ja durchaus höher liegen als der letzte getaxte kurs.

werden die zerties dann zum übernahme preis ausbezahlt, oder zum zuletzt getaxten preis?

Ganz so wie du es interpredierst ist es nicht.Aber wenn du nur Salz in meine Anlagewunde EnerGulf legen kannst,dann gehts dir schon besser,gelle!Natürlich war das ein kleiner Scherz.
Ich finde jeder der sich mit Aktien beschäftigt,ist doch auch ein bisschen ein Zocker,ist ja auch ganz normal,denn richtige Investoren,die über X-Jahre die gleichen Aktien halten,kenne ich kaum.Ist auch zu langweilig!
Und damit ihr alle seht,dass ich das Ganze auch mit Humor nehme,stelle ich einen Artikel hier rein,denn ich heute in der Tageszeitung gelesen habe.
Ich hoffe nur das hier keine Beamten mitlesen.

A. China Growth Accelerates

The headline confirms our thesis - a growing global economy supports the commodity price cycle that refuses to turn down because the U.S. economy is slowing. Here is the news release - unbiased reporting that confirms what AMP readers know-

July 19 (Bloomberg) -- China's economy grew at the fastest pace in 12 years in the second quarter and inflation surged, prompting speculation the government will raise interest rates and push the currency higher to cool growth.
Gross domestic product expanded 11.9 percent from a year earlier, the statistics bureau said in Beijing today, exceeding all estimates of 23 economists surveyed by Bloomberg. Inflation climbed to 4.4 percent in June, the fastest since September 2004, breaching the central bank's 3 percent target for a fourth month.


Growth was powered by investment in factories and real estate that the government has been unable to cool with two rate increases this year and restrictions on bank lending. Allowing the Yuan to strengthen may also help quell tensions with the U.S. and Europe, which say China's record exports reflect the unfair advantage of an artificially low currency.

The daily increase in BWR and HBM appear to confirm takeover premiums may supplement the cash flow "cows " these stocks have become, as copper heads even higher and is now seen in financial headlines. The mines are producing precious metals as well but copper and zinc are the main drivers.

B. $100 OIL

B.1 I have quoted Jeff Rubin as the most accurate prophets on oil pricing and the advance of the Canadian dollar. Rubin is the CIBC World Markets chief Strategist Here is his latest on oil - quoted in the Globe and Mail July 19th:

His charts suggest:
1 oil should set a new high of $80 a barrel this year on tighter markets
2. climbing to an average of $90 in 2008
3. and then crossing the unthinkable barrier ( $100 ) towards the end of next year.

Rubin predicts that runaway oil prices are going to trigger the huge kinds of merger and aquisition deals we've already seen in the base metals sector.

B.2. Barclays Capital Raises 2008 Brent Oil Price Forecast by 11%

July 19 (Bloomberg) -- Barclays Capital raised its 2008 price forecasts for Brent crude oil by 11 percent, citing rising demand and a lack of growth in non-OPEC production. Brent will average $73.60 a barrel next year, up $7.40 from the previous forecast, the London-based investment bank said in a report yesterday. West Texas Intermediate crude, the U.S. benchmark grade, will average $73.90, a $6.60-a-barrel increase. Brent prices have gained 26 percent this year and neared a record last week after maintenance and a pipeline closure reduced North Sea supplies. Prices also rose as the Organization of Petroleum Exporting Countries, which pumps 40 percent of the world's supply, cut output last year to quell rising stockpiles.
``If non-OPEC supply was going to mount any kind of a surge then one might have thought the signs of the renaissance would be evident by now,'' analysts Paul Horsnell and Kevin Norrish said in their report. Concern is growing ``that the weakness in non- OPEC supply is a structural rather than a transitory phenomenon.''

NOTE Barclay's Predicts Declining Production

The biggest difference is Barclay's forecast for a 40,000 barrels a day decline in non-OPEC output to 49.5 million barrels because of higher decline rates in mature producing areas. The other agencies are all picking increases, with production rising close to or exceeding 51 million barrels a day.
Norway, the U.K. and Mexico will show the biggest declines, Barclays said. Brazil, Azerbaijan and Russia will show the biggest increases, the report said.

RBC Dominion Securities:
...takes an overweight view of the U.S. energy sector, calling it "one of the most promising long-tern themes buoyed by rapid industrialization of emerging economies ".

C. Thompson Creek (TCM) Molybdenum producer - referred to by Sprott fund manager Hodson as a value play when compared to the China moly IPO trading at three times the valuation.
TCM has risen about 25 % this month. - Good Golly Miss Moly Much of that starts with Hodson - and ends with the Bay Street game of looking for the next takeover target.
Volume is impressive and continues to ramp up the price day after day. Stay tuned.

C.2. Western Troy (WRY)
A Thompson Creek wannabe - it has the backing of Sprott and Pinetree Capital. Drill results are expected within weeks and as a result the stock is coming to life.

D. Scorpio Silver ( SPM)

The Company has been very quiet until recently.
Michael Price a value investor terms it the cheapest silver play available.
The Comapny is building its mine but that is a slow process and the news releases are trying to keep up investor interest. Drill result releases confirm the ore body.
Be patient.
In the meantime, the price of gold has risen and silver has moved up in tandem - making the mine more profitable - when operational.

Japan Mills Show Wait-And-See Approach For Moly While Stocking Up
Spot Molybdenum oxide and ferromolybdenum markets were quiet this week in Japan, as steelmakers, a major consumer segment of Molybdenum products, took a wait-and-see attitude, while quietly stocking up, sources said.

A Japanese ferroalloy producer source said domestic demand stays firm for Molybdenum this month despite lackluster trading activities in the international spot markets. The market is quiet because consumers are nervous, trying to see which way the prices will go, but demand stays firm.

Several traders noted that moly oxide prices continued to stay above $30/lb despite a sharp fall in spot trade volume since June. According to Platts' assessments, moly oxide prices were $31.20-31.80/ lb last week.

"I had expected the prices to fall to $20s/lb but I guess there is something in the supply factor and something in demand, holding the prices firmly above $30/lb," a trader said, adding that it was still difficult to see which way the prices would go.

A producer source said demand stays firm as domestic ferromoly producers are receiving active inquiries from consumers.

"There have been constant inquiries of less than 20 mt from consumers," he said. He added that consumers who source more than 20 mt at a time are relying mostly on contracts, adding that they may be sourcing more than they need on contracts, to stock up.

Trade sources agreed, saying that generally, mills would hold up to three months of raw material stocks. But some specialty steel makers are holding six months stocks.

"Specialty steelmakers tend to have high stocks compared to blast furnace mills. This is because depending on the type of orders they receive, moly consumption levels vary greatly, so they must always be ready," one trader said.

Sources emphasized that there is a general concern among Japanese consumers that Molybdenum products supply would tighten in 2008, on talks that a Chilean producer would cut output by as much as 10 million pounds of  Molybdenum in concentrate.

I'm posting this GMO rumour below this commentary at request of our friend & forum member IllinoisIke, but w/ a couple reservations that I have held for along time regarding Idaho Gen & Molymines. Firstly I would state they both definatively have proven large Mo deposits and I believe they will probably both have a good chance of being mined one day in future. Both have also made one hell of alot of money for those who have sold at last few weeks/mo's of high prices. With regards to GMO, my reservations stem from their claims of creating an open pit operation, Capex costs of +/- $600 Mil (in past months it was $450 M Capex claimed by Jason Hommel for a 40,000 T/p/D operation), and easy permitting along w/ having stated for along time they held a Final Feasibility when in fact they did not, and are still awaiting one. Their own news release states this is an ore body 500 ft below the rock surface of a Mtn peak, (Mt Hope) and it appears to have +/-10 degree slopes on each side of the pinnacle. I'm told by those who know mining it would have to be underground as the strip ratio and MANY millions of dollars in blasting & rock removal down the Mtn to create an open pit of such gigantic proportions is inconcievable. Then one has to ask is 40,000 T p/day feasible for an underground mine? My take and other miners I speak with is this! Capex will be at least +1 Billion $$, mine design and permitting will take 1-2 years AFTER any accredible BFS is completed, and there could be complications from 2-3 other directions as well. For 3 yrs I have advocated and worked as a consultant to Adanac because they have the most advanced and feasible pure (Primary) Mo mine in NA. Permitted in next 2-3 wks, w/ mine contruction starting in Sept. I know there are various offers of Capex in place and Adanac will most likely own 100% of their mine at the time of production, even tho they have current JV interest and then w/ NO premature offtake agreements they will reap spot prices for product & not discounted agreements to gain financing. They are currently building a 40 acre staging area near the mine (bought the land for both) and offices in Atlin as well. I have had a couple dozen offers/requests to cover Idaho Gen & Molymines with editorials over the last year or so, but have declined because I always find far too much hype, and unsubstantiated claims from both co's. Possibly both co's will have buyout offers even in nearterm and Adanac may also at some point, but we will have a long wait for the first two co's to ever see production. This I do know for sure and that is that Adanac is anywhere from 1.5 to 2 years ahead of either of these other seemingly high flying projects. MolyMines is NOW going back to a scoping study for doubling their origional estimate of daily production. Scoping studies are usually/always the forerunner of a BFS (Bankable Feasibility Study) Mine design usually takes up to one year after such is completed. Also they had stated previously they needed a 180 Km water pipeline ($31 M Aus) to gain water to mine, then they found aquifers nearby but gave NO flow rates etc. I can state categorically that every thing Adanac has done is proven and stated on their website & in a year old BFS. I don't believe raining on another's parade benefits anyone, so I did not write of these concerns in any past editorials or will in future ones either, but sometimes one must speak their mind and wait for the proof to appear at a later date. Those who dismiss Adanac being financed largely by debt financing or debenture/bond issuance w/ only partial equity issuance will see the reality one day soon I am quite sure. This is how most mines today needing $450 to $500 Mil $$ get the Capex for mine construction, outside of a JV partner(s) or MASSIVE dilution of stock. I wish everyone the best of fortune in their stock picks and nobody really wins anything until they trade certs for green cash. Now I would have to question WHO these sources are below, claiming the multiple parties interested in a merger w/ Idaho Gen. Comments like these are naught but rumor and need to be questioned, until the co issues a news release. I'm open to questions regarding my claims of Adanac's future events by phone anytime. Idaho General Mines, the listed molybdenum exploration and development
company, has been approached by multiple parties eyeing a merger,
sources familiar with the company said. A USD 10 to USD 12 price tag
is considered to be fair value in the event of a sale at current
molybdenum prices of around USD 35, the sources say.
