The quotation of Sibir’s ordinary shares on the London Stock Exchange has been suspended today at the request of Sibir. Sibir’s Nominated Adviser, Strand Partners Limited, was informed late on 18 February 2009 that the two circulars recently published by Sibir on 2 December 2008 and 11 February 2009 were not correct in that various Tchigirinski interests are currently indebted to Sibir in an amount of approximately $325 million and not approximately $115 million as set out in the latest circular. The Board of Sibir will now assess the effect of this increase in the indebtedness on Sibir’s ability to recover the indebtedness and the consequent impact on Sibir’s financial position. The Board of Sibir will in conjunction with the major Russian shareholders who control approximately 67% of the share capital of Sibir conduct an enquiry as to how this has happened. A full statement detailing all the facts and circumstances (including the recoverability of this indebtedness) will be made as soon as possible. The General Meeting of Sibir scheduled for 27 February 2009 will be postponed until further notice.

Der Ölmulti BP (–2,4% auf 435,5 p) wird über sein russisches Joint Venture TNK-BP mit einem Angebot für den russischen Ölkonzern Sibir Energy in Verbindung gebracht. Zwar winkt Sibir gemäss Presseberichten ab. Doch weil Chalwa Tschigirinski, russischer Immobilientycoon und Hauptaktionär von Sibir Energy, in finanziellen Schwierigkeiten steckt, ist das Gerücht nicht abwegig. Als Kaufpreis werden 2,3 Mrd. £ gehandelt.

Nix gegen die Anzeige +392 % bei sibir aber das verzerrt die gesamtdepotwewertung schon gewaltig.

Gazprom Neft starts buying up Sibir Energy shares

Interfax reported that Renaissance Securities has announced a new wave of purchasing of shares in Sibir Energy in favor of OJSC Gazprom Neft through which the Russian company intends to consolidate all Sibir Energy currently in free float.

The minority shareholders in Sibir Energy can now present their stock for purchase at an earlier set price of 500 pence per share. In addition, Gazprom Neft, or companies affiliated with it, could acquire Sibir Energy shares that were not included in the aforementioned offer. These include stakes held by Bennfield the Moscow government, through OJSC Central Fuel Company and the Bank of Moscow.

At the same time, the price and terms for possible transactions could differ from the offer presented to minority shareholders. However, Gazprom Neft has yet to produce direct or indirect confirmation that it will purchase these shares.

Earlier this week, Gazprom Neft and Sibir Energy signed a framework agreement, through which the former company would put up an offer for all of the latter company's shares, both those already issue and those that would be issued in future. The agreement foresees a fixed price of 500 pence per share.

Morgan Cazenove Limited ('JPMC'), at 500 pence per Sibir Share, which would then be tendered to Renaissance Securities (Cyprus) Limited for the purposes of the recommended cash offer (the 'Offer') by Renaissance Securities (Cyprus) Limited on behalf of JSC Gazprom Neft of 500 pence for certain Sibir Shares.




JPMC is providing assistance solely to facilitate an exit for certain shareholders, from their investment in Sibir (in whole or in part) should they so wish, who did not receive the Offer on account of their holding Sibir Shares in jurisdictions other than the United Kingdom. No fee or commission would be charged by JPMC in the event of any transaction. Any decision to sell Sibir Shares to JPMC would be entirely that of the Sibir Shareholder and JPMC reserves the right in its absolute discretion to refuse to purchase Sibir Shares.
