Nanopierce and Xact Resources ...

Make your own mind!

#################################

I spoke with a very ebullient Paul Metzinger this afternoon. He indicated that he had just gotten off the phone with our JV partner and confirmed that the lease has just been signed for the YBG production facility. It is in a brand new (just completed) building in an industrial park area of Hinesville, Georgia (near Savannah). You can see pictures at the JV's website (to which RW has already posted a link: www.bioagra.net ).

Paul stated that the supposed end-of-February deadline is not a concern with our partner. (I interpret this to mean that NPCT did not make an additional payment for an extension, but that both sides are proceeding together on good faith). Paul is fully confident that the funding is in place for NPCT's financial commitment to the deal, and expects the money to be in hand within two to three weeks. Assuming that happens as expected, I asked how long it would be before they were able to start pushing product out the door. Paul's answer: 90 to 120 days.

Although YBG is beneficial as a dietary additive for many other kinds of critters, the intial focus will be on poultry. Paul emphasized that there are firm commitments to purchase more than 100 percent of the output capacity of the first production line.

Poultry is very big business in Georgia and very important to the state's economy. It is the #1 state in the U.S. for poultry production and processing. State and county officials have been highly supportive of this project. They are very enthused about it and will soon be helping to publicize it. The University of Georgia is widely viewed as having the top experts in poultry science and they are also involved.

On the international front, the JV is receiving lots of inquiries from poultry producers in other countries. Competing products (artificial antibiotic and hormone supplements) have many undesirable effects, and will be banned by the EU beginning January first, 2006. American poultry producers will be shut out of the European market unless they are able to replace the old artificial additives with YBG or something comparable, so they are very keenly interested. Poultry producers in other countries (Paul mentioned Brazil -- the second largest processor in the world -- and South Africa in particular) and their governments are also very eager so that they will be able to export their processed chickens to the EU.

Other possibilities may include production facilities to be located in other countries, and/or licensing deals.

The NPCT/X-Act/Bio-Agra process is very efficient in producing high quality YBG for animal food additives at a comparatively low cost.

Paul is extremely confident that this will prove to be a very fruitful venture for NPCT. Yes, I know, people may say ''When has Paul ever NOT been confident that NPCT would make tons of money?'' And that's true, I agree, but those who've known Paul through the years can distinguish many shades of enthusiasm, and I would say right now he's as stoked as I've ever heard him.

Best regards,

Geoff

Und nehmt das ...

02.03.05 18:48
As my wife and I sat down to try to figure out how to complete the college financing for our three remaining kids, it became pretty clear that I had really put too much faith in others' dreams. I have become more careful, and maybe overly cautious.

My point is this.... As Colesully's post suggests, this isn't a real clear-cut partnership between two companies.

To me, it appears that X-Act is an international marketing company. To me, it appears that the YBG product is really a joint venture between X-Act and Progressive BioActives, Inc. (PBl), a privately held company, in the forming of Bio-Agra, LLC. There is no direct connection between Nanopierce and BioActives.

As stated on the Bio-Agra website regarding X-Act:

''Do you have a product or service that you would like to sell worldwide but you do not have a global sales force? If so, then you should join X-Act Resources and see how we can help you expand your business in the global marketplace. ''

''We will combine our worldwide sales force and Internet capabilities to accelerate your sales worldwide. Become our partner, use our services and pay nothing up front.''

''Gain the best results in the shortest time by having a commission-based, global sales force that specializes in only one product category and one brand. A local representative in each country will be dedicated to you, acting as a distributor and import/export agent of your products. Couple this with the exposure you will get from being part of our online advertising and marketing campaigns, delivered to a captive audience in up to 11 languages.''

To me, the wording of this information suggests that X-Act is a marketing company, not a science company. They apparently have an agreement with Progressive BioActives, which collectively will manufacture and market YBG.

But how does Nanopierce fit into this equation? Could it be that X-Act made an agreement with BioActives to provide the building and the some (or all) of the production equipment? Did X-Act seek out an outside partner who would be willing to provide capital for the purpose of purchasing that equipment? And if there was an agreement between X-Act and BioActives, why didn't X-Act just put up the money to fund their side of any commitment to BioActives?

To cut to the chase, what isn't clear is how Nanopierce will be rewarded if YBG is a success. There are too many unknowns with this deal to make it attractive to me. X-Act appears to be an international marketing company. Period.

To me this venture is even more speculative than the original Nanopierce investment. There are too many unknowns... and the unknowns about all of the new partners is what concerns me the most.

I still have a fair number of shares in Nanopierce. Nothing would make me happier than to have the company succeed. However, there is absolutely nothing in what has been discussed to date that would justify any further investment by me in Nanopierce. When a profit is recorded by Nanopierce as result of this venture, then I will reconsider.

After all of these years, and the loss of a great deal of money, all I can caution is..... Be Careful.

All my personal opinion.

Jeff

Joyce eine Frau in mittleren Jahren

05.08.05 19:31

Bob O'Brien, the head of the National Coalition Against Naked Shorting that ran the advertisements in the Washington Post (NYSE: WPO) that attracted attention of Dow Jones (NYSE: DJ) and other media, said he has received "outraged emails" after publishing a story of a woman who lost everything investing in NanoPierce Technologies (OTCBB: NPCT), a company that is suing the Depository Trust and Clearing Corp. for its alleged role in the StockGate scandal that has impacted the company.

O'Brien (that is not his real name) said the outrage wasn't over the plight of the woman who lost everything, but over identifying his cause and organization with a bulletin board company such as Nanopierce.

"I have no idea if NanoPierce is the best thing since sliced bread or a complete sham. And I don't really care," said O'Brien, continuing:

I'm of the quaint and naive opinion that everyone is entitled to the protections that the law affords. Even companies that some dislike, for whatever reason. If their complaint is that they were naked shorted out of existence, my question is why aren't they entitled to have their case heard ' and why is the DTCC so hell bent on keeping their books from the public eye? If everything is on the up and up, wouldn't it be simple - throw open the books, demonstrate that it's "all a dirty lie", and end of story.

But that's not the way it is playing. So my story stands - the true story of a woman known to me who is now having a different life than she should have, and is convinced that naked shorting is responsible.

That story is: Not So Bad.

Not So Bad

The neighborhood is an older one, quiet, a little worn around the edges, but conveniently located. Las Vegas has grown a lot over the years, and this neighborhood has been spared much of the rampant sprawl that characterizes the outlying areas of the city.

A woman, older, but still vital, makes her way out to her car, ready to depart for her part-time job at one of the casinos.

"It really isn't so bad," she insists with a tone of quiet dignity ' "you get to see the shows, and it pays more than minimum wage. I get by. I do alright."

Widowed, Joyce N's time is her own. But for all the pragmatism, she admits that this isn't the retirement she'd planned out for herself. She'd imagined going on cruises, playing a little golf, maybe a nice restaurant now and again. As she thinks about what it could have been like, her face clouds for a moment, and then takes on a look of determination mixed with resignation.

"It's not so bad," she says, quietly, almost to herself.

She'd worked hard all her life, and had invested pretty wisely, or so she'd thought. Starting out with a financial services firm in the early 70's, she'd actually become a stockbroker, and had built up a reasonable clientele of like-minded women who took their financial futures seriously.

But at some point, maybe during the late 80's, the business had changed, or maybe she'd just been at it for too long, and she'd lost her taste for it. All she knew was that she was tired of the market, tired of working very long, hard hours, tired of the sacrifices that it demanded.

And then her husband had gotten sick. Caring for him had occupied a lot of her time, and as his condition had worsened, she'd left the brokerage to attend to his needs. Inevitably nature took its harsh course, and he passed away, changing her life forever in the process.

She never went back to work.

A meager pension was supplemented by her investments ' conservative for the most part, but with a certain portion of her portfolio devoted to growth. She was a professional, so she thought she understood the rules of the game, and with hard work and some moxy, she figured she could use her knowledge to build a future with her savings. Everything went pretty well, and then she made a devastating mistake. She had the misfortune to invest in several smaller companies that she believed were at the forefront of their fields, and should have left her comfortable in her later years. Instead, they left her seriously impaired.

One of the companies was Nanopierce Technologies. She had carefully, painstakingly done the research, and had educated herself all about their prospects and their likely future. And ultimately had decided to make a larger than usual investment as she felt, based on her years in the market, that it was a "can't lose" proposition. She saw what she felt was smart management, strong technology, momentum, strategic partnerships ' this had the makings of a profitable long term investment.

But Joyce hadn't factored in a newer type of player in the game, something that hadn't been part of the mainstream when she'd been in the business. That mistake cost her everything she invested. And it happened with the relentless momentum of a runaway train, leaving her shocked, and angry, and broke.

"I had bought a lot of the stock when it was at $2 and $3, and then over a period of maybe six months it went to under 50 cents. And then under 25 cents. And I couldn't understand why, where all the shares were coming from, who would be selling when everything was going so well for them."

She pauses, looks bleakly at the horizon, then smiles.

"It finally got to the point where it just wasn't worth it to sell anymore ' I'd already lost 95 cents on the dollar. I didn't think this kind of thing could happen in America, but I've learned an important lesson. The market isn't fair, and it isn't safe, and there's nobody looking out for you. Nobody is prosecuting the thieves that stole my money from me. Nobody cares."

She cracks open her car door, considers her watch, registers that she's now running late ' she needs to be on time, can't afford to lose her job or have a reprimand on her record. Traffic in Vegas can be pretty terrible at times. She has to go.

"It's not so.listen...really. Some times are just harder than others. But what're my choices? Hey, I really have to get going. Thanks for listening." She slams her door, starts the tired sounding engine, cautiously puts the car into gear.

Another day, another sad story, another casualty who'd learned a harsh truth about the system and its workings. The irony is that Joyce isn't a gambler, doesn't roll the dice, doesn't really have a taste for the blinking lights or the ringing bells ' and yet that's where she spends 4 to 6 hours a day, on her feet, doing what she has to do.

Still.

It's not so bad, O'Brien concluded.

NEWS!!!!

09:00 EDT Tuesday, August 16, 2005

DENVER (Business Wire) -- NanoPierce Technologies, Inc. (OTCBB: NPCT) and X-Act Resources International, Inc. today announced that they have formally organized BioAgra LLC, under the laws of the State of Georgia, by executing an Operating Agreement. BioAgra LLC will produce, market and sell YBG-2000, a biotech yeast beta glucan product. YBG-2000 is a natural beta glucan immune system feed supplement purified from spent baker's yeast and is used to replace growth promotion antibiotics that are currently used in the feed of the livestock, swine, poultry and shrimp industries.

NanoPierce and X-Act will each own a 50% interest in BioAgra and will have equal voting control and managerial authority as the two Managers of BioAgra. Mr. Neal Bartoletta will be President and Chief Executive Officer and will have responsibility for the day-to-day operations of BioAgra. Paul H. Metzinger will serve as Executive Vice President, and Kristi J. Kampmann, Chief Financial Officer of NanoPierce, will serve as the Chief Financial Officer of BioAgra. C.M. " Chick" Mihalich will serve as V.P. of Operations. William C. Lowenkamp Jr., Ph.D. of Lowenkamp R&D Labs International has been engaged as a scientific marketing advisor to the Company. Mr. Sean D. Register, a marketing organizer in the national poultry industry, has been engaged as a consultant to BioAgra.

BioAgra, based in Hinesville, Georgia, has a Lease-Purchase Agreement with the Liberty County Industrial Authority on its new ultra-modern production facility. The facility, located on seven acres, will permit future expansion of additional production systems beyond those which can be installed in the present facility as anticipated market demand for YBG-2000 increases.

NanoPierce has completed its capital contribution for its 50% interest in BioAgra. X-Act has assigned to BioAgra all of its rights, licenses, intellectual properties, know-how, processes, testing data, permits, approvals, customers, purchase orders and similar items essential to the business to BioAgra for its 50% interest.

BioAgra has received extensive support from the State of Georgia and Liberty County Industrial Authority relating to its proposed business activities. BioAgra is in the process of finalizing various applications for grants from the State of Georgia that are being offered as incentives to locate and operate the business in Georgia. Georgia is the largest poultry processing state in the U.S. The poultry industry's annual contribution to Georgia's economy exceeds $13.5 billion. Poultry processors in the State of Georgia process approximately 15% of all broilers processed in the poultry industry in the United States (department.caes.uga.edu/poultry/2002%20 Updated%20Poultry%20facts%20Charts_files/frame.htm).

Paul Metzinger, President and Chief Executive Officer of NanoPierce, said: " It has been a difficult process but we have succeeded in funding and forming BioAgra. Based upon existing purchase orders and expressed market demands made to BioAgra for YBG-2000, I believe that this business opportunity will represent the first significant revenue and earnings generating business activity undertaken by NanoPierce. We and our partner are dedicated to the success of BioAgra." Metzinger further noted that a recent decision of the FDA banning the use of Baytril, an antibiotic used in the poultry industry could only enhance BioAgra's market opportunity.

Mr. Neal Bartoletta, President and Chief Executive Officer of BioAgra, said: " We have been working hard over the last nine months with State and local officials to convince them that BioAgra will become a working partner in the State. Our various customers are all eagerly awaiting for our new plant to go into production.

" We have also been working with various companies on the volume of YBG 2000 that we can supply them with to meet their present and future requirements. BioAgra attended the International Poultry Exposition in Atlanta in January 2005 (www.internationalpoultryexposition.com). Attendance involved participants in the poultry industry from all over the world. We met with many representatives of both national and international poultry processors. They all are searching for an alternative to antibiotics and growth hormones. We have been in contact since the Expo with many of these companies and the market opportunities for YBG 2000 are, in our opinion, limited only by our production capability and other resources.

" The interest from people in the animal farming industries, as well as people interested in getting information as to how they can participate in the new technology has been very high. We are also in the process of designing various other products based on beta glucan and other immunoenhancers and are continuing to do basic and applied research with various universities in the United States and other countries. The results of these studies are very promising and should lead to expanded market opportunities, as well as recognition of BioAgra as a leader in the application of novel technologies to animal husbandry."

CEO Paul Metzinger im Interview bei CEOCast ...

17.08.05 19:27

BioAgra LLC Begins Production of YBG-2000 (AgraStim®) beta-Glucan Feed Supplement

YBG-2000 (AgraStim®) beta-Glucan is a registered and patented formulation for the production as a feed additive releaving the need for antibiotics and growth hormones traditionally given to animals for human consumption.

(PRWEB) October 19, 2005 -- We know many of you have been waiting for some time regarding YBG-2000 (AgraStim®) beta-Glucan as an additive for feed relieving the need for antibiotics and growth hormones. We are gearing up for full production before the end of 2005.

We wish to invite everyone to come and see this new facility when time permits or visit the new web site www.bioagra.net

We are gearing up with the latest technically advanced equipment as well as a brand new facility and in house R&D.

Currently, we are able to produce a limited supply per month of beta-Glucan for customers, and will steadily increase that production to 10,000 kilos per month once a new centrifuge is installed shortly.

We are ready to work with anyone who is interested in this high quality product that will be produced at BioAgra LLC. This is not the same or similar product that is currently found in the marketplace. It is a patented, proprietary product.

We will answer all inquiries as quickly as possible and we will continue to manufacture beta-Glucan for domestic use first to support domestic farmers as well as work with the State Department of Agriculture in Georgia on beta-Glucan usage.

Export sales will be limited until 1st quarter 2006.

Make your own mind!

No risk, no fun!

Also, Ende 1sten Quartals sprechen wir uns zu diesem Thema erneut. Heutiger Kursstand bei 0,054€ !!!

Our BioAgra Visit

My friend, Kent Kloock, and I visited the BioAgra facility in Hinesville, Georgia, on November 11. Here is my report.

When we entered the parking lot we were impressed by the size of the new 30,000 square foot building, with stucco exterior, and finished landscaping. The building had a sign in front, informing us that we were about to enter the "World Headquarters" of BioAgra. Inside the front door, we were met by , C.M. ''Chick'' Mihalich, Vice-President of Operations, who proceeded to give us a tour.

The building is, as advertised, "state of the art". It is located on a seven acre lot in a new industrial park. There is a large paved parking lot behind the building, enclosed with a chain link fence. The back of the building has 6 overhead doors and a truck loading dock.

The interior consisted of 3 separate, yet connected spaces. The front door opened into a reception area that sported an attractive semi-circular reception counter at the back of a large open space with a glass block wall and ceramic tile floor. This area seems to have been designed as a waiting and reception space. There was, as yet, no furniture, but it was a cheerful and inviting place. There was an "in box" on the reception counter, with 6 spaces, each with only first names of people I assumed to be working there in some capacity. Behind the reception desk was a corridor leading to rest- rooms, offices and several multi-purpose rooms. One office had a desk, a phone, a leather desk chair and a couple of white plastic patio chairs. It was obvious that start-up financing had not been frivolously squandered on opulent or excessive furnishings. There was room for at least 6 large offices, all but one of which were empty. There was plenty of room for growth and expansion.

The 2 multi-purpose rooms were equipped with utility sinks and wall mounted white boards. These rooms, we were told, would be the locations of Research and Development, as well as the laboratory for testing each batch of product for quality assurance purposes. We were told that the company intends for R&D to take a very important role, and that development of new, related product lines was part of their business model. It was expected that these labs would be equipped and operational by the time the first batch of product was ready for testing in about 6 weeks.

We were shown a mock-up of the new blue and green BioAgra logo that was awaiting final tweaking. This logo was part of a label that will go on each container of product. We were told that BioAgra is hopeful that smart tags from Exypnotech will be utilized in BioAgra's inventory control process. It was also mentioned that they are hoping to work with Exypnotech on a pilot program using smart tags for commercialization in other areas the agricultural industry.

The largest area, by far, was the manufacturing/warehouse. It was large enough that the contractor and workmen had driven their trucks into the building , and across the warehouse to bring their tools closer to the work area. When we entered, we saw the boiler room with raised concrete pads and a concrete containment basin. Water and steam lines had been piped in and were awaiting the arrival of the primary and back-up electric boilers. We were told that a negotiated electric rate made the operation cost of electric boilers very favorable, and that a new transformer had been installed by the electric service provider to accommodate BioAgra.

We met the contractor responsible for installation of the piping and equipment, and the BioAgra employee who will ultimately be responsible for the physical plant mechanicals. It was explained that the BioAgra employee is participating in the installation so that he will be very familiar with the system when it is placed in operation.

There were numerous large plastic tanks that appeared to have a capacity of 1000 gallons each. The tanks were elevated on steel legs. Much of the plumbing to, from, and between those tanks, was already installed, though installation of valves and grinding of some welds was in progress that day in anticipation of the delivery of several stainless steel vats expected the following day (Saturday).

One of the items that I had looked forward to seeing was the centrifuge. I was disappointed to learn that though it had arrived in the US from its country of origin, delivery had been delayed because of hurricane Katrina. (We were informed that Katrina had affected almost every aspect of business in the South, and that it was fortunate that progress has continued despite the delays.) The centrifuge was expected to be delivered shortly, and may already be on site as I write this report. "Chick" said he was not happy with the delays, but that they were still anticipating that they would be set up and in production according to the announced schedule (January 1, 2006).

The "first" production line seemed to be planned to occupy about a quarter of the available manufacturing space. It seemed to me that there might actually be room for at least 3 lines, and possible a fourth. "Chick" explained that piping was being installed so that additional lines could be added without interruption of production.

Kent and I were invited back to the sparsely furnished office where we sat in the plastic patio chairs and pummeled "Chick" with questions. Some of our questions were simply met with a smile. Others were willingly answered by someone who was obviously enthusiastic about the subject. I did not take notes, but what follows are as many points of the conversation as I can remember.

1) We asked "Chick" about the status of sales, and the public announcements that there had been purchase orders or commitments to account for the entire first year's production. "Chick" confirmed that the first line of production is essentially "sold". He qualified this as follows:

When the initial announcement was made in late 2004, regarding the joint venture with Nanopierce, it was expected that Nanopierce would contribute $1.5 Million to the venture within 90 days, and consummate the agreement. The JV was delayed for a year while Nanopierce worked to raise the required capital. During that time, BioAgra canceled purchase orders that they had in hand, realizing that they would not be able to deliver in the time originally specified. "Chick" indicated that their potential customers responded with understanding of the delay, and simply said to keep them informed and when BioAgra was ready to produce, new purchase orders would be executed. "Chick" indicated that there are more than enough customers who have said, "We are ready to buy", to account for initial production of a minimum of 10,000 kilos/month. He indicated that 10K was a conservative number and that 15K was more probable once they get into full operation.

(I asked at what price BioAgra would be selling their product, saying that I had learned that one of their competitors was selling a kilo domestically for $175.00. "Chick" responded by saying, "That is good to know", but then smiled, as if to say, "our price is our secret".)

"Chick" explained that in the agricultural business, it was important that customers be able to rely upon consistent delivery of product. "Animals have to eat, and they don't stop eating just because there is a hurricane, or because your equipment breaks down." He said BioAgra would have to maintain inventory to deliver in the event there was an interruption of production. He indicated that is why the will have "back-up" equipment to insure uninterrupted product flow.

"Chick" said that the agricultural sales business depends on relationships. Consistency, service, and trust promote sales. He said that BioAgra is continuing to build those relationships, even though they are not yet producing and delivering product. I asked "Chick" if he had any doubt whatsoever as to BioAgra being able to sell their full production. Without hesitation, he said, "No. I wish I could bring in equipment and start building a second line right now."

2) We asked "Chick" about the relationship between Nanopierce Technologies and Xact Resources in forming the joint venture. "Chick" said that Xact is very big on forming strong relationships, and from the very beginning felt very comfortable with the people associated with Nanopierce. He mentioned Paul Metzinger and Stan Richards by name, saying that he believes they are "good people", and that Nanopierce and Xact have formed a strong working relationship. "Chick" indicated that he believed Nanopierce shareholders should soon be very pleased with the value the BioAgra joint venture would bring to their investment.

3) We brought up the current concerns around the world regarding avian flu, asking if those concerns had increased the interest in beta glucan. "Chick" said that yes, avian flu was a major concern, and that clinical trials were being conducted outside the country. He would not elaborate further, but said that the risks to the 28 billion dollar US poultry industry were far too great for the work to be done in within the United States right now.

4) "Chick" talked about the need to train customers in the use of the product. He said that you can't just start selling product without educating customers and controlling application. He explained that providing inconsistent feedings, or inaccurate dosage was counterproductive, and would have a negative impact on effectiveness. He said that if too much or too little beta glucan were to be fed to farm animals, the desired results would not be obtained. He said that BioAgra plans to work hard to train consumers in use of the product, and may even consider selling a "Pre-mix" (beta glucan added and thoroughly mixed with the appropriate amount of feed), as has been done with other feed supplements.

5) "Chick" explained that Neal Bartoletta had planned to meet with us and show us around. He said that Neal's home in Florida had been damaged in the recent hurricanes and that Neal had to return to Florida to meet with an insurance adjuster. Neal phoned several times while Kent and I were there, and stayed in contact with "Chick" throughout our visit.

We also learned that since "Chick" and Neal both still retain their homes in Florida, and still, for the time being, return to Florida on Friday afternoons to spend the weekends with their families. It became obvious to Kent and me that though "Chick" was being a gracious host, we were keeping him from his weekly routine of leaving Hinesville and returning home for the weekend. We thanked him for his willingness to meet with us, and asked if he and Neal would be eventually relocating to Georgia. "Chick" said, "Yes, they were making plans to do so."

As we prepared to end our 2 hour visit, Kent posed the question that was uppermost on our minds. "Now that BioAgra has received the funding, is there is anything, short of a major catastrophe, that you believe will keep this venture from succeeding. "Chick", without hesitation, responded, "No".

Wanting to be certain that there was no misunderstanding, I rephrased the question by asking, "So you believe BioAgra will be a commercial success?" "Chick" smiled indulgently and responded, "Yes, that's why I'm here."

I came away from the meeting, grateful for the opportunity of seeing the facility, and feeling very bullish about my investment in Nanopierce. It may be that the most beneficial connection Nanopierce has made to date, is their connection with the people at Xact Resources, forming a joint venture called BioAgra.

Also, da tut sich weiter was!

Es bleibt also weiter spannend.

Basta!
