MMRGlobal to Form Wholly-Owned Subsidiary to Maximize Value of Biotech Assets

MMRGlobal, Inc. (OTCBB: MMRF) today announced that it has begun the process of forming a wholly-owned subsidiary called MMR Life Sciences Group, Inc. The subsidiary company will remain part of parent MMRGlobal and is being formed exclusively to maximize the value of MMRGlobal's biotech assets, which were acquired via its merger with Favrille, Inc. in January 2009.

At a recent meeting of MMRGlobal's Board of Directors, it was decided that its biotech assets, developed at a cost of more than $100 million and which include data from its FavId®/Specifid™ vaccine pre-merger clinical trials, other intellectual property to treat B-cell malignancies, patient tumor samples, anti-CD20 monoclonal antibodies and numerous worldwide biotech patents in various stages, will be transferred to the new subsidiary.

According to Robert H. Lorsch, Chairman and Chief Executive Officer of MMRGlobal, "Based on recent successes in licensing and interest in forming strategic alliances to utilize these biotech assets in various forms of research and development, we believe that the value of our intellectual property is not accurately reflected in MMRGlobal's current corporate structure and current valuation."

"Additionally, potential partners interested in our MyMedicalRecords Personal Health Record and document management business, who might be interested in investment or other strategic relationships with MMR, find it complicated to deal with the biotech component of our business with their management and boards. Separating the two distinct business opportunities allows us to maximize the potential of both," Lorsch added.

MMRGlobal will continue to identify opportunities with universities, biotech and pharmaceutical companies and institutional biotech investors that can expand the value of MMRGlobal's pre-merger Favrille assets on a worldwide basis. As previously stated, MMRGlobal will also focus on cross-selling MMRGlobal's Personal Health Record products for customized use in the design of clinical trials.

(OTCBB: MMRF) today announced that it will donate its first month's revenue from new retail subscribers to its MyMedicalRecords Personal Health Record and MyEsafeDepositBox virtual vault for the benefit of Japanese relief organizations. Do Incentives for Electronic Medical Records Outweigh the Costs?

Electronic Medical Records (EMR) are receiving a lot of attention as well as investment. The federal government has earmarked some $20 billion to get help medical records go digital. The assumption is that EMR will improve quality and lower costs over the long term. But in the short term it requires capital investment and a potentially steep learning curve. A couple of papers in the latest issue of Health Affairs and the Journal of the American Medical Informatics Association (JAMIA) help to quantify the investments of time and money that your average doctors practice might need to go digital. Currently only 13-17% all physicians report using some form of EMR, only 4% use the type of advanced system that fully meets the governments new standards for "meaningful use." That standard qualifies practitioners for the full suite of financial incentives, described below.

Researchers looked at 26 primary care clinics in the HealthTexas Provider Network, all of whom where integrating General Electric's Centricity Electronic Medical Record. In a nutshell they found that it costs an average of:

--$32,409 per physician to implement EMR over the first 60 days, $46,659 over the first year.

--$162,047 for a 5-doctor practice over the first 60 days, $233,297 for the first year

--134 hours of staff time, including doctors and nurses, to prepare to use the systems.

A recent paper in JAMIA seems to dispel the myth that EMR will suck up clinicians' time with data entry. This paper, looking at a large academic tertiary facility, looked at backend tracking logs and found that attending and resident docs spent about 90 minutes a day in the EMR authoring or reviewing notes. Past studies have cited much higher figures, often because they relied on self reports and lets face it, each minute spent on "paper work" of any kind can feel like hours.

In addition to the need to purchase software and hardware (extra computers, printers, wiring, etc..), the cost of licenses was a significant contributor to costs.

An obvious question about the costs of EMR is whether incentives or other benefits make it "worth it" from a financial angle. Or put crudely, if you are a doctor, can you afford it?

An estimated 90% of primary care doctors qualify for financial incentives to implement EMR from the Health Information Technology for Economic and Clinical Health (HITECH) portion of the American Recovery and Reinvestment Act of 2009 (other specialties are also eligible as well). Practices that see Medicaid patients are eligible for up to $18,000 in the first year, and $44,000 over five years. If 30% of their patients are on Medicaid, the amount rises to $21,250 the first year, and $63,750 over five years. In order to qualify for the highest dollar amounts, physician's need to adopt more advanced systems that meet "meaningful use" guidelines.

Do those numbers add up? If you are a five-doc facility looking to spend $233,000 to implement EMR, and you receive a $21,000 financial incentives from CMS, how do you make up the additional $212,000? Obviously this is oversimplified and doesn't account for depreciation and other accounting methods for spreading costs over time, and possible tax benefits for investments in technology. But what do we tell financially strapped primary care offices who are essentially asking us to make the business case for EMR? Where does the financial benefit show up?

How would you make the case?

Then there're the non-financial benefits that are often touted by advocates of EMR. An upcoming post will look at a new review of the literature supporting the use of EMR to improve quality and safety.

Never Be Afraid To Experience Your Feelings

Back in Los Angeles after a red-eye flight last night, the last 5-day whirlwind trip had much to remember. However, it was marked with one of the most important and emotional highlights of my life. It came at the Points of Light Institute Tribute to President and Mrs. George H. W. Bush. It was called “All Together Now-A Celebration of Service”. If you watch American Idol and cry at the back-stories, then this was American Idol on steroids.

The emotional highpoint came when everyone was seated and the announcer said, Ladies and Gentleman…..United States President Jimmy Carter and his wife Rosalyn; Ladies and Gentleman…..United States President William Jefferson Clinton; Ladies and Gentleman…..United States President George W. Bush and his wife Laura; and, finally, Ladies and Gentleman…..tonight’s honorees United States President George Herbert Walker Bush and his wife Barbara. At that point, the person sitting next to me reached over to shake my hand; at first, I did not recognize Governor Tom Ridge, the first Secretary of The Department of Homeland Security.  Then I connected the fact that the universe had placed me next to the one man in this country who could do more for MMRGlobal at this time than just about anyone but President Obama who beamed the opening remarks in from his South American travels.

The message of the evening was all about all of us being a star in the galaxy of 1000 Points of Light and how anything we do for anyone can make a profound difference. I have spent much of my life in service to others and was particularly moved by the stories of the evening. I hope you will watch or record the evening on March 28th on NBC Prime Time. I promise you a family night you will cherish and an experience that you will never forget. For me, it is especially gratifying to be in a business where the deployment of a www.mymedicalrecords.com account or a www.myesafedepositbox.com account can do so much for someone in need, even perhaps save a life.

I get the pleasure of running a company that by its very existence gives back with these remarkable service offerings that can make a difference in an emergency or disaster. In addition to sitting with The Honorable Governor Ridge, Kira and I were joined by friends from the NRA and the Vice President of Marketing for Kaiser Mid-Atlantic. It always amazes me how when you put things into the universe, great things come back. Kaiser, The NRA and, of course, Governor Ridge are already on my call list this week (and they are expecting my calls).

On the MMR front, I spent Friday in Basking Ridge, at Verizon, where we are making great progress in what I believe will be a long-term very exciting relationship. Also, we will soon be announcing an integration of our products and services on the HealthVault platform. In fact MMR is planning on participating at the Microsoft Health Conference April 27, 2011 in Chicago. There we will be selling MMRGlobal as a PHR solution to HealthVault strategic partners. We will also continue our series of investor roadshows in Chicago.

I could not write this blog on Volunteerism and ignore the human suffering in Japan. If you read this blog, you know that I have been involved in Earthquake Preparedness since 1994.
