The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 4, 2009.

Number of shares: 20 million flow-through common shares and 8.75 million common shares

Purchase price: Five cents per common share

Warrants: 28.75 million common share purchase warrants to purchase 28.75 million common shares

Warrant exercise price: 10 cents per common share during the five years following the closing of the private placement

Insiders: Cliffs Greene B.V., 8.75 million; Frank C. Smeenk, 6.45 million; Bruce Reid, five million; Maurice Lavigne, one million
