Starcraft's Tecstar Venture Signs New Supply Contracts; New Packages for Chevrolet S-10 Pickups, Cadillac Escalade SUVs; New Canadian Facility Begins Production  


GOSHEN, Ind., Jan 28, 2003 (BUSINESS WIRE) -- Starcraft Corporation
(Nasdaq: STCR), said today that its Tecstar joint venture has signed two new
contracts with General Motors to provide key components for selected S-10 pickup
trucks and Cadillac Escalade sport utility vehicles.

Starcraft said Tecstar will begin next month supplying and installing vent-type
power sunroofs on Chevrolet S-10 pickups at its Shreveport, La., plant, where
Tecstar currently installs design components for the S-10 Xtreme. Starcraft said
that the sunroof contract will continue through the 2003 model year ending this
September, and will generate an estimated $5 million in additional revenue.

The second contract covers the engineering and supplying of certain components
for the 2004 Cadillac Escalade sport utility vehicle. Tecstar will supply
various components to be assembled by General Motors in Silao, Mexico. The
three-year supply contract will begin in October at the start of the 2004 model
year, and generate an estimated $3 million in annual revenues.

"These agreements provide even more evidence of the quality, value and
flexibility that Tecstar offers as a key supplier and installer of design
components for GM," President and COO Michael H. Schoeffler said. "We are eager
to offer the same level of quality and service across a broader range of
automobile and truck programs."

In addition, Tecstar launched full production at its Whitby, Ontario, Canada

plant. The Whitby plant assembles second stage components on Chevrolet's SS
Silverado pickup truck. This program is expected to generate $30 million in
annual revenue and last thru the 2006 model year. The new 80,000 square foot
facility will employ approximately 80 people.

meet strong demand for the Silverado pickup with advanced styling features,"

GOSHEN, Ind., May 5, 2003 (BUSINESS WIRE) -- Starcraft Corporation (STCR) today announced results for its fiscal second quarter ended March 30, 2003, and the comparable year-earlier period as follows:

          §    --   Revenues more than doubled to $47.2 million for the second
        quarter;




          §    --   Net income increased 169% to $2.9 million; and




          §    --   Basic earnings per share increased to $0.61 cents per share.



"The second quarter benefited in part from new contracts and expanded production capacity at Tecstar," according to Michael H. Schoeffler, President and Chief Operating Officer of Starcraft. "With all four of our production facilities in operation, and with extremely strong sales in the H2 Hummer parts business, our prospects for continued growth are strong."

Revenues for the quarter ended March 30, 2003, were $47.2 million, up $24.0 million or 104 percent from the year earlier period. Net income was $2.9 million ($0.61 per basic and $0.56 per diluted share), up 169 percent from prior year earnings of $1.1 million ($0.24 per basic and $0.21 per diluted share).

Over the last several months, the Company's Tecstar operation increased its production capacity to meet customer demand for its products. An expansion at the Texas plant, which produces appearance packages for GM's Suburban and Tahoe sport-utility vehicles, was completed and brought on line last fall. Sales of dealer-installed parts for GM's hot-selling H2 Hummer also began last fall and were 18.7% of revenues in the second quarter. In December 2002, Tecstar opened its fourth plant, in Ontario, Canada, which provides upfit enhancements for Chevrolet Silverado pickup trucks.

Revenues for the six months ended March 30, 2003 were $87.1 million, up $43.0 million or 98 percent from the year earlier period. Net income was $4.9 million ($1.03 per basic and $0.95 per diluted share), up 146 percent from prior year earnings of $2.0 million ($0.44 per basic and $0.40 per diluted share).

Schoeffler reiterated Starcraft's guidance estimate for fiscal 2003 of revenues of approximately $180 million, up more than 70 percent from fiscal 2002. Earnings per share are expected to be in a range of $2.00 to $2.15 per basic share ($1.85 to $2.00 fully diluted), compared with EPS of $0.65 per basic share and $0.55 per diluted share, respectively, in fiscal 2002. The 2002 results include a charge related to the redemption of certain stock warrants and options. Excluding the charge, basic and diluted EPS would have been $1.11 and $0.94 per share, respectively in 2002.

Starcraft's Third Quarter Revenues, Net Income Double  


GOSHEN, Ind., Aug 4, 2003 (BUSINESS WIRE) -- Starcraft Corporation
(Nasdaq: STCR) today announced results for its fiscal third quarter ended June
29, 2003, and the comparable year-earlier period as follows:



   --  Net sales more than doubled to $62.1 million;



   --  Net income increased 109% to $4.1 million; and



   --  Earnings per diluted share increased to $0.77 per share, from

       $0.36 per share.

"The pickup and SUV segment of the automotive market remained remarkably strong
during the 2003 model year, enabling Starcraft to continue to generate strong
sales growth from its design, engineering and component installation services,"
according to Kelly L. Rose, Chairman and Chief Executive Officer of Starcraft.
"We are continuing to seek ways to apply the expertise we have developed
throughout our organization to new vehicle platforms and new customers."

Net sales for the quarter ended June 30, 2003, were $62.1 million, up 111% from
$29.4 million for the prior year. Net income was $4.1 million ($0.85 per basic
and $0.77 per diluted share), up 109% from prior year earnings of $1.9 million
($0.42 per basic and $0.36 per diluted share).

The provision for income taxes was $2.7 million for the fiscal third quarter,
compared with $99,000 in the same 2002 period. Tax expense in 2003 resulted from
Canadian taxes on Tecstar's new operation in Whitby, Ontario. The Company's U.S.
federal taxable income was offset by tax loss carryforwards generated in prior
years.

Starcraft's net sales for the nine months ended June 29, 2003 were $149.2
million, up $75.7 million or 103% from the previous year. Net income was $8.9
million ($1.89 per basic and $1.73 per diluted share), up 128% from prior year
earnings of $3.9 million ($0.86 per basic and $0.76 per diluted share).

Rose said that Tecstar has received several new contracts for engineering,
design and installation services for the 2004 model year, which begins in
September 2003:



   --  Later this month, Tecstar will begin installing ZR2 model

       upfit packages for specific models of the Chevrolet Blazer at

       its plant in Bridgewater, N.J.



   --  Beginning in the first quarter of fiscal 2004, Tecstar will

       offer a 20" wheel to GM dealers. The wheel will be engineered

       to GM's specifications and will be distributed through GM's

       parts subsidiary directly to GM dealers for installation. The

       custom wheel will fit GM's 800 series trucks including

       Suburbans, Tahoes, Silverados, Yukons and Escalades. GM

       recently announced its intention to provide certified custom

       wheels directly to its dealer base.

Starcraft expects that the programs will be in production by the end of the
calendar year and increase fiscal 2004 sales by approximately $6 million.

As previously reported, Tecstar's program to provide upfit packages for certain
pickup truck models at its Shreveport, La., plant was completed at the end of
2003 model year production. This program provided 5.4% of the company's net
sales for the first nine months of fiscal 2003. Tecstar will not be the supplier
of this package on GM's replacement vehicle in Shreveport for model year 2004.
As additional opportunities exist for the Shreveport facility, the decision to
maintain the Shreveport facility will be made in the 2004 fiscal first quarter.

Tecstar has been awarded a contract to engineer the components for new special
edition vehicles on the Chevrolet Trailblazer and GMC Envoy. GM expects to
implement production vehicles for these new models in the mid-2004 or early 2005
model years.

In addition, in July 2003 Tecstar purchased the assets of Troy Tooling, Inc., a
low volume specialty manufacturer of RIM and plastic products for interior and
exterior applications primarily for automotive customers. Troy Tooling, located
in Rochester Hills, Michigan, operates in a 24,000 square foot facility
generating approximately $2 million in annual sales with ten employees. The
purchase price includes an option to buy the real estate. Troy Tooling will be
an integral part of the company's aftermarket parts strategy.

Rose said Starcraft expects to exceed previously issued financial guidance for
the fiscal year ending September 29, 2003. Revised earnings guidance for fiscal
2003 is net sales of approximately $195 million, up 86% from fiscal 2002 and
earnings per share in the range of $2.40 to $2.50 per basic share ($2.20 to
$2.30 fully diluted), compared with EPS of $0.65 per basic share and $0.55 per
diluted share, respectively, in fiscal 2002. The 2002 results included a charge
of $0.46 per basic share and $0.39 per diluted share related to the redemption
of certain stock warrants and options.

GOSHEN, Ind., Oct 30, 2003 (BUSINESS WIRE) -- Starcraft Corporation
(Nasdaq: STCR) announced today that it has signed a definitive merger agreement
with Wheel to Wheel, Inc. of Troy, Mich. and its shareholders. The agreement
calls for Starcraft to acquire the remaining 50 percent ownership of Tecstar LLC
and Tecstar Canada that it does not currently own through the merger of closely
held Wheel to Wheel, an automotive engineering and design business.

Under the agreement, Starcraft will issue 3.55 million shares of Starcraft
Corporation common stock. Based on the trailing 30 day average closing price of
Starcraft common shares, the transaction is currently valued at approximately
$122 million. The final value of the transaction is dependent upon the market
price of Starcraft common stock at the time of closing as the number of shares
to be issued in the transaction is fixed. After the transaction, the current
owners of Wheel to Wheel will own approximately 40% of Starcraft's fully diluted
shares outstanding.

The transaction will be effected by merging Wheel to Wheel into a newly created
subsidiary of Starcraft, which will exchange Starcraft common shares for shares
of Wheel to Wheel. As a result of the merger, Starcraft will own directly or
indirectly 100% of the equity interest in Tecstar.

Starcraft and Wheel to Wheel jointly formed Tecstar in 1998. Tecstar provides

and installs appearance enhancement items on vehicles provided by and returned
to an original equipment manufacturer. Tecstar had sales of approximately $190
million for the fiscal year ended September 30, 2003. Wheel to Wheel had annual
revenues to customers other than Tecstar of approximately $8.7 million in fiscal
year 2003, which includes revenues from production, design, engineering,
validation and testing of automobiles and automotive components.

"Tecstar provides substantially all of the revenues and net income of Starcraft
Corporation," said Kelly L. Rose, Chairman of the Board. "This move enables us
to become a single-focus company with improved financial flexibility, allowing
Starcraft to more effectively take advantage of new opportunities that will
enhance shareholder value."

Under terms of the agreement, Rose, 51, currently Chairman and Chief Executive
Officer of Starcraft, will remain Chairman of the Board of the combined company.
Jeff Beitzel, 49, currently President of Wheel to Wheel and Tecstar and Mike
Schoeffler, 42, currently Starcraft President and Chief Operating Officer, will
become co-CEOs of Starcraft Corporation after the merger. The Company's
headquarters will remain in Goshen, Indiana.

"As Starcraft evolves, this co-CEO structure is ideal," Rose noted. "Mike
Schoeffler currently handles financial and corporate strategy, aftermarket parts
operations and investor relations, while Jeff Beitzel will have day-to-day
responsibility for all manufacturing and engineering operations. Their
complementary experience will unify our corporate structure while helping
clarify management's roles and accountability."

Richard Anderson, 50 and Doug Goad, 46, currently executive vice presidents of
Wheel to Wheel and Tecstar, will hold the same titles at Starcraft after the
merger. "I have enjoyed a long, solid working relationship with Doug and Rich,"
Beitzel added. "Their expertise has helped us successfully penetrate the
automotive industry since Wheel to Wheel was founded in 1995. They will be major
assets to the combined company."

After the merger, Goad, Anderson and Beitzel are to be appointed to Starcraft's
Board of Directors. "All three have spent the majority of their careers in the
automotive industry," Schoeffler noted. "Their presence on the board will
provide excellent insight for future corporate development and growth
opportunities." Starcraft also expects to appoint two more independent directors
to its Board to comply with anticipated NASDAQ listing requirements.

The directors of Starcraft and the directors and shareholders of Wheel to Wheel
have approved the agreement. Completion of the transaction is subject to
regulatory approvals and an affirmative vote of a majority of Starcraft's
shareholders. Members of Starcraft's management and Board of Directors,
representing approximately 36 percent of the Starcraft shares outstanding, have
expressed their intention to vote in favor of the transaction.

Starcraft shareholders will receive a proxy statement in December 2003,
containing additional information about the proposed transaction. The Company
expects to hold a shareholder meeting in January 2004 to vote on the agreement.
If approved, it is anticipated the merger would be effective immediately
following the meeting.

FISCAL 2003 EARNINGS ESTIMATE:

Separately, the Company announced it expects improved revenues and earnings for
the fourth quarter and fiscal year ended September 28, 2003. The Company expects
revenues of $192 million for fiscal year 2003 compared to $105 million in the
prior year. Net income is estimated to be $11.6 million, or $2.44 per basic
share and $2.21 per fully diluted share this year. Fiscal 2002 net income was
$3.0 million, or $0.65 per basic share and $0.55 per fully diluted share.

Revenues for the quarter are expected to be $43 million, compared to $31 million
for the fourth quarter of fiscal 2002. Net earnings for the quarter are expected
to be $2.6 million, or $0.55 per basic share and $0.49 per diluted share. In
fiscal 2002 the Company incurred a net loss of $946,000 in the fourth quarter,
or a loss of $0.20 per basic share. During the fourth quarter of fiscal 2002 the
Company incurred a one-time charge of $2.1 million related to the redemption of
certain warrants and options.

These results are preliminary and subject to final review. The Company plans to
report full fourth quarter and year-end results after the close of the market on
November 18, 2003.
