   News@CHS@nline   Core Healthcare (8250) to pay $51M under referral agt   2007/11/16 10:38       (Infocast News)         Core Healthcare Investment (8250) announced that upon completion of the acquisition of the Class 1 New Drugs in the PRC or investment in PRC Drugs Distribution Network, it will pay fees using 200 million consideration shares and 100 million consideration shares respectively to the referral agent, U Man-iong, pursuant to the referral agreement. The consideration shares are priced at $0.17 each and the two consideration amounts total $51 million.

Immediately after the issue of the placing shares to Atlantis Investment Management Limited and the consideration shares to U Man-iong but before the conversion of the convertible bonds in the principal amount of $150 million to be issued by Core Healthcare to Precious Success Group Limited, U Man-iong's shareholding in Core Healthcare will be 29.01%.

Core Healthcare also entered into a service agreement with each of Town Health International (8138) and Hong Kong Health Check and Laboratory (0397). Pursuant to the service agreements, Town Health and Hong Kong Health Check will assist Core Healthcare in its assessment of the feasibility of the acquisition of any Class 1 New Drug which the referral agent has identified as a potential acquisition target.
