Bio-One and their advisors have developed strict criteria in targeting of the acquisition candidates. Research has revealed that 90% of the marketing companies outsource the manufacturing of their products. Approximately 40% of the marketing companies’ sales, which previously went toward their cost of goods sold, can be captured by the Bio-One owned manufacturer subsidiary, thus increasing operating profits.

After much foundational work, management has begun our development strategy. We have acquired our first four companies, 100% of PNLabs, Inc. (www.interactivenutrition.com), and 51% of Weifang Shengtai Pharmaceuticals Co. Ltd (www.chinaglucose.com). We have also formed three new subsidiaries, Nutrition Sciences Corporation, ANI Distribution and Healthy Choices Concepts. Management anticipates that the combined revenues for year-end 2004 will approach $40 million with operating profit in the 10% range. We have three Letters of Intent signed and are in discussions with additional candidates. Upon the Closings of the aforementioned, Bio-One’s annualized revenues will approach $100 million with operating profit in the 15% range. Management has raised $21.5 million in capital, of which $6.5 million is in equity and $15 million is in a convertible debenture. We also have an equity line of $50 million. To date all funds and the equity line have come from Cornell Capital Partners (www.cornellcapital.com), a U.S. hedge fund. We are now in discussion with certain investment funds and accredited investors regarding longer-term capital. Our Management Team has been working with Health Business Partners (www.healthbusiness.com), which is the leading mergers and acquisition advisor in our industry. Their assignment is to assist in identifying additional acquisitions that would grow Bio-One revenues to $200 million annualized by the end of 2007 with operating profits in the 15% to 20% range. Future plans include applying for listing on the American Stock Exchange. Management is also considering a possible spin off of Bio-One China and applying for a separate listing on the NASDAQ. Bio-One Q3 Reports Revenue of $10.4M, Operating Income of $938,000; Nine Month Revenue is $26M, Operating Income $2M

ORLANDO, Fla., Nov. 16 /PRNewswire-FirstCall/ -- Bio-One Corporation (OTC Bulletin Board: BICO - News) reported today consolidated net sales of $10,467,162 in the third quarter ended September 30, 2004 compared with $20,220 in the third quarter of 2003, an increase of 517%. The company said that after deducting non-operating expenses of depreciation, amortization and interest, it had a net loss of ($1,265,003) or ($0.01) per share compared with a net loss of ($367,198) or ($0.01) per share in the comparable quarter a year earlier.

For the first nine months of 2004, the company reported consolidated net sales of $26,068,340 compared with $20,220 in the first nine months of 2003, an improvement of 1288%. After deducting non-operating expenses of depreciation, amortization and interest, the company incurred a net loss of ($6,354,083) or ($0.08) per share compared with a net loss of ($691,125) or ($0.02) per share in the first nine months of 2003. Operating income for the first nine months of 2004 was $2,047,716 versus an operating loss of ($678,343) in the first nine months of 2003, an improvement of 402%.

Armand Dauplaise, chief executive officer of Bio-One, said, "I am pleased to report our second consecutive quarter of operating profit. These results reflect the impact of our acquisitions and vertical integration program coupled with the operating performance of our subsidiaries. Our balance sheet has also been considerably strengthened. At the end of the quarter, we had total assets of $52,262,004 and total liabilities of $40,173,848."

The company is actively marketing the E3 Video WebPhone to prospective high-unit-volume purchasers including the multi-family, hospitality, telecommunications and consumer retail markets, for which the E3 provides valuable benefits as well as revenues from shared advertising sales.

Cerus, Baxter Intend Larger BioOne Deal

CONCORD, Calif. (AP) -- Cerus Corp. reported Wednesday that it and units of health-care products company Baxter International Inc. agreed to allow BioOne Corp. to commercialize their Intercept blood system for plasma products in Asia.

Cerus, which co-developed Intercept with marketing partner Baxter, received an upfront payment of $3 million for signing a letter of intent. The companies are in talks for a definitive agreement.

Cerus and Baxter received $15 million in October from BioOne to commercialize the pathogen inactivation technology in Japan, China, Taiwan, South Korea, Thailand, Vietnam and Singapore for platelet products. The new agreement covers plasma products in the same countries.

Shares of Cerus rose 2 cents to $3.33 in morning trading on the Nasdaq. Baxter shares rose 69 cents, or 2 percent, to $35.24 on the New York Stock Exchange.

DEERFIELD, Ill. (AP) -- IV supplies maker Baxter International Inc. and Cerus Corp., a developer of blood-safety technology, said Thursday they agreed to market and develop the Intercept blood system in Europe at least through 2006, and resolved their loan dispute and related legal actions.

Under a separate agreement, Cerus will immediately pay $34.5 million to Baxter Capital Corp. and provide a promissory note for $4.5 million, payable with interest in December 2006. Baxter Capital has agreed these payments satisfy the loan obligation.

The companies said this deal doesn't change their relationship with Asian partner, BioOne Corp. In 2004, the companies announced an agreement under which BioOne would market and distribute the Intercept blood system for platelets in Japan, China, Taiwan, South Korea, Thailand, Vietnam and Singapore.

Baxter shares rose 34 cents to $34.31 in afternoon trading on the New York Stock Exchange. Cerus shares rose 13 cents, or 3.5 percent, to $3.90 on the Nasdaq.
