I am writing in English because my German is quite poor. There are probably good reasons to be attentive to what is happening with TCU right now. About a year ago, a number of stakeholders saved the Swedish listed company Circle Energy from bankruptcy with convertible loans. In connection with this, Circle's business was also changed to mainly deal with CO2 credits, trading in them and the trading platform for this and this via CO2 credits acquired from United Eco Solutions, more specifically their Swedish company, United Eco Solutions International AB which in turn is owned by United Eco Solutions America Inc, i.e. the company that TCU is about to acquire. During this process, Martin Boulton has been CEO of Circle Energy, he resigned somewhat unexpectedly only to reappear as CEO of TCU just a few weeks later. In the spring of 2025, Circle Energy and United Eco Solutions became increasingly integrated. UES sold 100,000 CO2 credits to Circle and added another 100,000 credits via an unconditional shareholder contribution. Circle received the exclusive right to become a reseller of UES's various sustainability services. The share price has risen like a rocket during strange trading and with large elements of influence via social media about how fantastically good this business is. The company itself used words like "strategic knockout" in a press release that they were later allowed to clarify. During the summer, Circle Energy has presented oddity after oddity. Financial reports that contain major errors and cannot even be summed up. Press releases that were probably unfounded or at least greatly exaggerated. United Eco Solutions was presented as the main owner, they bought the shares of the previous stakeholders and then took over about 60 percent of the ownership. This triggered a mandatory bid that they said they would try to apply to avoid, but no application for it seems to have ever been submitted. After that, UES's ownership has increased further through a new share issue. Media in Sweden drew attention to the events surrounding Circle and noted that there are connections to well-known eco-criminals and all current board members in Circle have previous dealings with that central person. Trading in Circle's shares was temporarily halted in August and then with another halt for suspected market manipulation in combination with demands to redo the listing process because the company was considered to have new main owners, new management and new operations (and then Nasdaq requires a new listing review). On October 17, Nasdaq announced that Circle's shares will be delisted. Right now the situation is such that the Swedish United Eco Solutions International AB has been renamed U2E2S2 International AB, they have debts to the public and their board member has resigned at his own request. All information about the Swedish company and the Norwegian company within UES has been removed from their website. Likewise the British company and it has also changed its name (to Arundel Asset Management Plc). In Circle, the auditor quit the other day and in Sweden it is a serious sign that something is seriously wrong. The American company that was supposed to build the AI platform for trading CO2 credits has taken down its website and replaced it with a “coming soon” site. Most of what UES says it intends to add to TCU is something that is actually owned or will be owned by Circle Energy, so there is good reasons to really pay attention here. It may be that it is possible to make money by trading the stock at the right times, but there are also about 10,000 Swedish small savers who have really burned themselves out on this gang. It is not that they have excelled at particularly successful entrepreneurship, but on the contrary, nothing they put their hands on usually survives.
