Power Integrations Reports Inducement Grants under Nasdaq Listing Rule 5635(c)(4)

This inducement grant was granted pursuant to Power Integrations’ Amended and Restated 2025 Inducement Award Plan. One-fourth (1/4^th) of the RSUs will vest on each of the first four anniversaries of the Grant Date, subject to the recipient’s continued service through each applicable vesting date. The inducement grant is subject to the terms and conditions of the applicable RSU agreement and Power Integrations’ Amended and Restated 2025 Inducement Award Plan.

The inducement grant was approved by the talent and compensation committee of Power Integrations’ board of directors, as required by Nasdaq Rule 5635(c)(4), and was granted as a material inducement to employment in accordance with Nasdaq Rule 5635(c)(4).
