Williams Communications and Boeing Enter Into $267 Million Agreement

TULSA, Okla. – Williams Communications (NYSE:WCG), a leading broadband provider for bandwidth-centric customers, today announced it has signed a 20-year telecommunications agreement with The Boeing Company (NYSE:BA). The transaction has a gross value estimated at $267 million. Additional terms of the agreement were not disclosed.

Williams Communications to Purchase Assets of CoreExpress

Agreement Enhances Company's IP Service Offering; Provides Significant Time-to-Market Advantage

TULSA, Okla. - Williams Communications (NYSE: WCG), a leading broadband provider for bandwidth-centric customers, has signed an asset purchase agreement to obtain the fiber-optic network, intellectual property, and Internet protocol capabilities of CoreExpress, the first company to guarantee data communications across multiple Internet Service Providers. Financial terms of the agreement were not disclosed. Closing on the agreement is subject to satisfaction of final terms and certain conditions.

CoreExpress, established in August 1999, offers industry-leading value-added services that complement the traditional services offered by ISPs. These value-added services drive additional demand by transforming the Internet into a viable means for transporting and exchanging premium data where consistency, speed and reliability are critical. Winner of the 2000 Networld + Interop Best of Show award, the CoreExpress Extranet provides the industry's first multi-ISP, site-to-site performance guarantees for data delivery over existing Internet connections. With the CoreExpress Extranet Viewer service management technology, Williams Communications' virtual private network (VPN) customers will for the first time have the ability to view and measure performance of their networks.

Rapid integration of this asset will enhance our suite of IP and media services, improving and expanding the services we deliver to our customer," said Bross.

Core Express recently participated in a successful field trial for a major news network to test the multicasting of broadcast-quality video over an IP network. The field test demonstrated that an IP network can be used to reliably exchange live and taped news content among stations affiliated with the news network. Core Express provided the backbone transport, network monitoring and network integration for the field trial.
