ICG Chairman and CEO, Walter Buckley, Clarifies Recent Stock Disposition by
Lender

WAYNE, Pa., June 23 /PRNewswire-FirstCall/ -- Internet Capital Group, Inc.
(Nasdaq: ICGE - News) ICG today clarified that recent selling attributed to
Walter Buckley was, in fact, executed by a third party, in conjunction with a
personal loan that is secured by a portion of Mr. Buckley's ICG stock. At the end
of 2001, the lender foreclosed on the loan and gained sole authority over these
shares. The lender sold a portion of those shares periodically in early 2002, and
recently made the decision to sell 3.15 million additional shares. The decision of
when and how these shares were sold was made by the lender and was not
within the Mr. Buckley's control. Accordingly, the lender continues to hold and
have exclusive control over approximately 875,000 shares of ICG stock in
connection with this loan.
"I have been an ICG stockholder
for more than seven years and
personally purchased
approximately $10 million worth of
ICG stock in 2000. I have never
personally sold any ICG stock and
continue to hold a significant
equity interest in ICG, tightly
aligning my interests with those of
the Company," said Buckley. "Of
course, this sale of shares is
neither my preference nor my
choice. Most importantly, this
decision is in no way driven by
any change in my view of our
prospects - it reflects nothing
more than a debt that was due."

confidence in ICG, its partner companies, and the potential of B2B
e-commerce," Buckley continued. "The actions we've taken over the past year to
strengthen our financial position and the results being delivered to the

All dispositions of stock relating to this loan collateral have been, and will be
reflected in Form 4 SEC filings. This was not a margin loan and ICG has no
responsibility for this loan.
