Following the August 2, 2010, reverse split, GNTA reported approximately 8.4 million shares of common stock outstanding. As of November 11, 2010, GNTA reported already 111 million of shares of common stock outstanding. Moreover, on January 7, 2011, GNTA reported 261 million of common stock shares outstanding. Accordingly, a special meeting of the Company’s stockholders was held on December 29, 2010, and they authorized the board of directors to effect up to two reverse stock splits of its outstanding Common Stock, with each reverse stock split having a ratio ranging from 1-for-2 up to 1-for-100, until December 31, 2011. In addition, GNTA’s shareholders approved an amendment to the Company’s Restated Certificate of Incorporation, as amended, to increase the total number of authorized shares of common stock available for issuance to 100,000,000,000.
While the company’s product portfolio offers some opportunities to launch a dominant cancer targeting drug over the medium term, there are significant doubts about GNTA’s ability to have a successful research story during 2011-2012 time span. In addition, financing issues have caused significant dilution and capital losses to existing shareholders that are currently searching to limit their losses and sellout their GNTA’s stakes.
