LETTER FROM THE CHAIRMAN
The Directors have pleasure in presenting to you this Prospectus
which relates to a non-renounceable pro rata rights issue of Options
in Magna Pacific (Holdings) Limited ("MPH") to Shareholders on the
basis of nine Options for every ten shares held at 5:00pm (Brisbane
Time) on the 4th May, 2000, at an issue price of 5 cents per Option.
The offer is for not less than 45,335,864 Options depending on other
Options being paid up at this date. At 5 cents per Option the issue
is expected to raise up to $2,266,793.20 before expenses. The Options
will be exercisable at 70 cents each on or before 30th May 2003. The
time for determining entitlements to participate in the option issue
will be 4th May, 2000. Consequently, Magna Pacific (Holdings)
Limited Options will be quoted on an "ex" basis as of 28th April,
2000.
The Funds raised pursuant to the issue will be used for investment
purposes. MPH is looking for investment opportunities to grow
shareholder value. MPH's cash on deposit with its bankers is in
excess of $5.5M.
In December 1999 MPH signed an agreement with Becker Group Limited
that has commenced to deliver the rights for cinema release movies
for rental and sell through on VHS and DVD in Australia, New Zealand
and Pacific Islands. MPH also signed a wholesale agreement in October
1999 with E-Tec Limited as its exclusive wholesaler for its catalogue
of in excess of 500 video titles. Between these two deals, MPH's
revenue will increase by between 100 and 300% over the next two
years. MPH anticipates making further investments in the
entertainment sector.
A Prospectus will be dispatched to shareholders on the 9th May 2000
and acceptances close on the 30th May 2000.
I recommend to prospective investors that this Prospectus be read in
its entirety in conjunction with all publicly available information
on MPH before deciding to apply for Options being offered for
subscription under this Prospectus.

renounceable pro rata rights issue of Options in Magna Pacific
(Holdings) Limited ("MPH")to Shareholders on the basis of nine
Options for every ten shares held at 5.00pm (Brisbane time) on 4 May
2000 ("Record Date") at an issue price of 5 cents per Option,
expecting to raise up to $2,266,793.20 before costs of the Issue.
This Prospectus is required to invite subscriptions for up to
45,335,864 Options in relation to the rights issue.
The funds raised by the Issue will be used for investment purposes.
Details of investments, should they eventuate, will be announced to
ASX in compliance with Listing Rule 3.1.
Material contained in this Prospectus in indicative only, based on
data available to MPH prior to lodgement with ASX and ASIC.
