(OTCBB:BLSV - news) (Berlin BB: BV7) ("Balsam") reports that it is aggressively seeking to exploit the global rights it acquired to the InstaCool(TM) chilling system, for canned and bottled beverages in June of 2002, and to this end is seeking to bring on board management that can help fast track and implement this goal according to the company's business model. Active discussions with potential candidates within the Food and Beverage industry in Germany, are being guided by a consultancy with considerable experience in this sector as well, the Company is contemplating additional North American directors.

The introduction of this self-chilling technology will allow the consumer to buy a single serve drink or a six pack of drinks, or more, be it beer, soda, juice or water, and take it any where without the inconvenience of coolers or bags of ice. It will also provide an advantage to the retailer in the amount of refrigerated space they have to allocate to single serve beverages. On June 7th, 2002, Balsam announced that it had entered into an exclusive licensing agreement for the global licensing rights to the InstaCool(TM) cooling system for bottled and canned drinks.

InstaCool(TM) is a unique proprietary patented technology, which may be utilized with any aluminium, glass or plastic (PET) container for soft drinks, beer, juice or water and which chills the beverage quickly when opened by the consumer. Retail sales for the beverage industry reach into the hundreds of billions of dollars annually on a worldwide basis, and over 100 billion cans are produced annually in the U.S. alone.

ITEM 2. ACQUISITION OR DISPOSITION OF ASSETS

On June 6, 2002, Balsam Ventures, Inc. ("Balsam") entered into an exclusive licensing agreement (the "Agreement") with Cool Can Technologies, Inc., ("Cool Can") granting Balsam the exclusive worldwide right and license, for a period of 40 years, to enjoy, commercialize and exploit Cool Can's proprietary Instacool self-chilling beverage container technology (the "Technology") including the right to manufacture, use and sell apparatus and products embodying the Technology. Balsam also has the right to sub-license the right to manufacture, use and sell products embodying the Technology. The consideration for the Agreement is as follows:

1. Balsam must pay Cool Can a license fee of $200,000 within 90 days of June 6, 2002;

2. Balsam must expend $1,800,000 to develop and commercialize the technology within 24 months of June 6, 2002; and

3. Balsam must pay ongoing royalties to Cool Can equal to 5% of gross profits from sales of products or 5% of gross licensing revenues subject to minimum royalty payments of $200,000 per year in each fiscal year of Balsam following the fiscal year ended June 30, 2004.

Subject to the license, the patents and trademarks included in the Technology (the "Intellectual Property") remain the property of Cool Can however, Balsam has a right of first refusal to acquire the Intellectual Property should Cool Can seek to dispose of the Technology during the currency of the Agreement.

Das hat Gott sei Dank ein Ende. Das Management von Cool Can hat seine Unfähigkeit über Jahre unter Beweis gestellt. Balsam hat nun die Verwertungsrechte und wird Lizenzen an Getränkehersteller verkaufen.

Schon bevor die komplette Übernahme der Lizenzrechte zu 100% klkar war, hat Balsam bereits eine renommierte deutsche Unternehmensberatung beauftragt, Kontakte zur Industrie herzustellen. Jetzt soll ein qualifiziertes Managementteam zusammengestellt werden, scheinbar auch aus der Industrie in Deutschland! Das stimmt mich sehr positiv. Und ich glaube, daß wir nun gewaltige Chancen haben, daß sich das System Instacool durchsetzen wird!

Und wenn es sich durchsetzt, dann wäre die oben genannte Rendite gar nicht mal so abwegig, auch wenn sie im ersten Moment arg übertrieben scheint ...

welchen Umsatz und Gewinn wäre dafür notwendig?? Kann ich nicht glauben. Vielleicht, wenn sich das Konzept durchsetzt, 3,50€ mehr nicht.

Weltweit werden im Jahr rund 500 Milliarden Dosen produziert. Ich gehe für Balsam mit der selbstkühlenden Dose lediglich von einem Marktanteil von 1% aus! Jetzt fangen wir mal an zu rechnen. Das sind 5 Mrd Dosen im Jahr. Balsam will an Lizenzgebühren verdienen, mindestens 2 Cent pro Dose je nach Vertrag. Das wären 100 Mio$ Revenues, und das Unternehmen hat kaum Ausgaben.

20 Mio Aktien sind auf dem Markt, da wären wir abzüglich Ausgaben bei mindestens 4$ Gewinn pro Aktie. Bei einem KGV von 10 wären das schon 40$ pro Aktie. Und ich glaube, dass ein höherer Marktanteil möglich ist, vor allem in den Sommermonaten.

Konzept klingt bestechend, aber mit etwas naturwissenscahftlichem Hintergrund erkennt man schnell, dass sich das nicht durchsetzen wird. Prinzip zur Kühlung beruht darauf, dass sich Gase (z.B. CO2) beim Ausdehnen abkühlen. D.h. in jede Dose muss ein Hochdruckbehälter für CO2 eingebaut werden, zusätzlich ein Öffnungsmechanismus etc. Das nimmt einigen Raum in Anspruch, die Dosen werden erheblich grösser und schwerer. Ausserdem sind Dosen heute ein Cent-Artikel, der Kühlmechanismus dürfte den Dosenpreis mindestens verdoppeln. Irgendwo hatten die auch gesagt, der Preis für den Kunden würde um ca. 15 Cent je Dose steigen (was kosten normale Dosen? SChätze mal so um die 25 - 30 cent).
Ich denke: Schöne Story, genau wie Comroad. Besser Finger weg.

Die Dose soll im 0,5 l Format auf den Markt kommen, mit 0,33 l Inhalt. Ich denke, das klingt akzeptabel. Außerdem sollen entsprechende Machbarkeitsstudien vorliegen. Ich selbst habe bei CocaCola angerufen, ob an sowas Interesse besteht. Man bestätigte mir dies. Ich glaube, dass hier gewaltiges Potenzial in der Dose steckt. Laut "Der Aktionär" (auf die ich eigentlich scheiße, sorry für Ausdruck) hat die Industrie großes Interesse an dem Produkt.
