Immune Response sets 1-for-4 reverse stock split

CARLSBAD, Calif., Oct 8 (Reuters) - Biotechnology company The Immune Response Corp. (NasdaqSC:IMNR - News) on Tuesday said its board has set a 1-for-4 reverse split of the company's common stock in order to protect the shares from being delisted.

The Carlsbad, California-based company, which intends to develop therapies for HIV, autoimmune diseases and cancer, said the reverse split will be effective as of Thursday to shareholders of record on the same date.
The split was authorized by the company's stockholders on June 17, but the board decided to refrain from implementing it and instead apply to the Nasdaq exchange to move its stock listing from the Nasdaq National to the Nasdaq SmallCap Market in order to extend the deadline by which the company's stock price was required to be above $1 per share for 10 consecutive trading days.
Immune Response said its application was approved by the Nasdaq, and its common stock moved to the Nasdaq SmallCap Market effective Sept. 9, but its share price has remained below the $1 minimum threshold.
On Tuesday, the stock lost 1 cent to close at 32 cents.
