I can say that I am confident that the company will complete the financing and that the board and management are committed to the success of the company. The quality of the investors that are coming into this financing is excellent and form the base upon which Slyce can really become a dominant U.S. technology player in Visual Search.

Slyce will continue to assertively grow its position in the retail e-commerce space and start to look for select opportunities in other industries to establish a foothold.

I wish that the road was a little easier to travel given the challenging financial markets. That said,   the future of Visual Search and the potential upside for Slyce is prolific. The company makes progress each month and is worth more today than it was 6 months ago and I think will be worth more in 6 months. My view is that it is a matter of time and the markets will recognize this and reflect the value accordingly.

Wir erinnern uns: Das war die bude, die eine tolle Analystenbewertung geschrieben hat und eng mit Slyce finanziell verknüpft ist, wie ich schon 7/2015 geschrieben hatte:

Wir erinnern uns, dass das auch genau die Bude ist, die die Kapitalerhöhung von Slyce durchführen soll.

Unexplained, ist ja schön das du auf der Suche nach Infos bist.

Das die Firma nun dicht macht, muss nicht mit slyce zusammenhängen.
Sie waren 22 Jahre im Geschäft.
Allerdings ist es möglich, das sich dadurch die KE von slyce verzögert.

Alles kann, nichts muss ein.

Allerdings warte ich noch auf die nächste News, bevor ich mich entscheide was ich mit meinen slyce Anteilen mache.

Wir den Grund für Verzögerung. Vermutlich hat Slyce nun einen neuen Partner.

Erstaunlich ist nur, dass die Investmentbanking Abteilung von denen schon im Dezember dicht gemacht hat. Wieso nehmen die noch einen Auftrag an, wenn der Betrieb quasi schon eingestellt ist?

Alles sehr dubios: Scherz Übernshmeangebote etc.

Aufträge werden gerade wenn es kriselt noch gerne aufgenommen um das Geschäft zu retten. Keiner wird sagen: Hey wir sind bald pleite, gib und keine Auufträge mehr.

Das ist en natürliches Verhalten.

The Corporation also announces today that it has entered in to a standby commitment loan agreement for a secured bridge loan of up to CDN$1 million (the "Bridge Loan"). In consideration for and upon entering into the Bridge Loan, Slyce has agreed to pay a standby fee in the amount of CDN$20,000. Slyce has also agreed to pay a commitment fee in the amount of CDN$20,000 and to issue 150,000 common shares of Slyce ("Common Shares") to the lender, in consideration for any advance under the Bridge Loan, subject to TSX-V approval.

The Bridge Loan shall be made available in one advance of up to CDN$1 million (the "Advance") on or before February 5, 2016 and will bear interest at one and one-half percent (1.5%) per month. The lender has the option to convert any amount of the outstanding principal amount, together with accrued interest, into Units of Slyce pursuant to and in accordance with the terms of the Offering.

Kevin Taylor is a director of Slyce and principal of JJR Private Capital Limited Partnership ("JJR"), which is the lender providing the Bridge Loan. Accordingly, the entering into of the Bridge Loan is a "related party transaction" pursuant to Multilateral Instrument 61-101 - Protection of Minority Securityholders in Special Transactions ("MI 61-101"). Pursuant to MI 61-101, the Bridge Loan is not subject to formal valuation requirements and the transaction is also exempt from the minority approval requirement, in reliance on sections 5.5(a) and 5.7(1)(a), respectively, of MI 61-101, as neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the Bridge Loan, insofar as it involves interested parties, exceeds 25% of Slyce's market capitalization.

As previously announced, Slyce has obtained a receipt from the securities regulatory authorities in the provinces of Ontario, British Columbia and Alberta for a preliminary short form prospectus dated December 1, 2015 (the "Preliminary Prospectus") in connection with a public offering (the "Offering"), on a commercially reasonable efforts basis, of a minimum of CDN$9 million and up to a maximum of CDN$13.5 million of units of Slyce.

The Offering is now expected to close the week of February 15, 2016, subject to certain conditions including, but not limited to, the execution of a formal agency agreement, the issuance of a receipt for a final short form prospectus (the "Final Prospectus") in connection with the Offering and the approval of the TSX Venture Exchange.

The net proceeds of the Offering will initially be added to the Corporation's working capital and will subsequently be applied to various purposes as disclosed in the Corporation's short form prospectus.

Aber es geht weiter!

Ich fasse mal zusammen was in den News steht:

Achtung: Keine Gewähr für die Richtigkeit, ich lasse mich gerne berichtigen falls was nicht stimmt.

1. Mitglieder des Direktorium von Slyce haben einen unbesicherten, unverzinslichen Schulschein von 255.000 CAD gezeichnet.
   
   
2. Slyce hat einen gesicherten Darlehenvertrag von 1 Millionen CAD aufgenommen. Das kostet Slyce 20.000 CAD und 150.000 Aktien an den Verleiher
3. Der Kredit wird am 05.Febraur 2016 zur Verfügung gestellt und kostet 1,5%
4. Kevin Taylor ist Direktor (Geschäftsführer) von Slyce, Kevin Taylor ist auch der Geldgeber (JJR Private Capital Limited Partnership)
5. Die "Kapitalerhöhung" soll vorraussichtlich zum 15.02.2016 beendet werden.

Falls ich noch was vergessen habe, bitte ich um MIttteilung.

Durch den gefallenen Kurs hat die Bude nur noch einen Marktwert von 11 Mio CAD.

Damit kann eigentlich keine Kapitalerhöhung im Wert von 9 Mio CAD stattfinden, da die TSXV eigenständige Kapitalerhöhungen nur bis zu 25% de Unternehmenswertes zulässt. Für alles andere ist ein Beschluss der Aktionärsversammlung notwendig.
Es gibt wohl Ausnahmen und mit Hilfe des Notkredits könnte so eine Ausnahme eingeleitet werden.

Nun hat die Bude also 1,3 Mio Schulden und 150.000 neue Aktien, d.h. ich senke mein Kursziel auf 0,004 EUR.

0,004? Jetzt übertreibst Du ;-)
Habe mit VIDWRX mein eigenes Fiasko, aber Slyce halte ich inzwischen für noch riskanter - sorry.
