Please note that in our Press Release of 6/17 announcing the public offering the information about the bookrunning banks is given. Interested investors may then contact the bookrunning banks, who control the distribution of shares. In an underwritten deal such as this deal, the bankers purchase all of the shares and control the allocation. The greatest amount of the allocation is made to institutional investors, and said institutional investors are selected to be long term stock holders. The Company feels it is in the best interests of all shareholders to have long term stockholders involved in accumulating the company's shares.
To clarify any confusion, the offering was completed by midweek of the past week, all of the shares under the offer have been placed. These deals typically close within three business days of announcement.
Nonetheless, should you choose to increase your investment at a level below the price you stated as attractive, the opportunity now presents itself on the open market. By necessity in such deals one of two outcomes is the case, a stock quickly trades back to pre-deal levels and previous investors see no impact, or investors have the opportunity to buy in at a lower price should they choose to.
You refer to the publicly available records of Organovo stock holders including Gupta Wealth Management. These lists are not provided by the company. To our knowledge they are compiled from the self-reporting of these funds, as the SEC has reporting requirements for certain corporate public investors. The lists that are currently publicly available (such as this one: www.nasdaq.com/symbol/onvo/institutional-holdings/new) reflect those filings made as of 3/31/2015, well before the offering date, and thus do not reflect purchasers of shares in this round. The reports filed for the next period ending 6/30, which should be filed by about 45 days following the period end, would reflect those new or increased holdings so long as a given fund has reporting requirements. We cannot represent ourselves to know or track the reporting requirements of these funds, so such reporting may be incomplete.
