Ein genauerer Blick auf die Fusion von Beadell Resources und Great Panther Silver

Die Angaben stammen alle aus der Präsentation zum Zusammenschluss.

Die fusionierte Firma kommt aktuell auf einen Börsenwert von 158 Millionen USD, bei 74 Millionen USD Cash und 85 Millionen USD Schulden.

Wenn die Prognosen eingehalten werden, dann wird das Unternehmen mit den Minen einen jährlichen Überschuss von 64,1 Millionen USD erzielen.

Das vereinfachte KGV würde dann bei 2,47 liegen, was nicht haltbar wäre. Eine Kursverdopplung ist daher das Minimum, was ich mir nach dem Zusammenschluss erwarte, soweit die Prognosen eingehalten werden!

Beadell Resources Ltd.: Gute Updates

Gestern ein Produktionsupdate zum abgelaufenen Jahr (Link). Beadell Resources konnte im Gesamtjahr gut 123.000 Unzen Gold produzieren und hat somit das untere Ende der Prognose (125.000 Unzen) nur ganz leicht verfehlt. Interessant aus meiner Sicht die Entwicklung der Produktion in den vergangenen Monaten:

Die Fusionsunterlagen wurden Ende des alten Jahres versendet und das entscheidende Aktionärstreffen findet am 12.02.2019 statt. Läuft alles nach Plan, wovon ich aktuell ausgehe, dann wird die Fusion mit Great Panther abgesegnet und es entsteht ein neuer Gold- und Silberproduzent mit einem starken Projektportfolio und einer deutlich stärkeren Bilanz.

Gestern Nachmittag unserer Zeit fand die Hauptversammlung von Great Panther Silver Ltd. statt und die Aktionäre stimmten mit einer eindeutigen Mehrheit von 96,71% für die Übernahme von Beadell: 

Heute Nacht dann die Versammlung bei Beadell Resources Ltd. und auch hier eine deutliche Mehrheit von 96,92%: 

Wie oft geschrieben, macht der Deal für mich sehr viel Sinn. Es wird eine kapitalkräftige Firma mit einer kapitalschwachen Firma zusammengehen und daraus entsteht ein länderdiversifizierter Gold- und Silberproduzent mit einer besseren Bilanz und einem hohen Produktions- und Explorationsupside. 

Wir als Beadell-Aktionäre reduzieren das Risiko der bisher schwachen Kapitalausstattung und Great Panther Silver kauft sich mit Beadell ein Unternehmen mit einer produzierenden Mine, bei der die größten Aufwendungen in den vergangenen Monaten bereits getätigt wurden.

VANCOUVER, March 5, 2019

Name Changed to Great Panther Mining Limited

VANCOUVER, March 5, 2019 /CNW/ - GREAT PANTHER MINING LIMITED (TSX: GPR; NYSE American: GPL) ("Great Panther", the "Company") is pleased to announce that it has completed the acquisition (the "Acquisition") of Beadell Resources Limited ("Beadell") and changed its name to Great Panther Mining Limited.

"We are very pleased to close this important transaction that immediately transforms Great Panther into an intermediate precious metals producer with a strong and diversified portfolio of producing mines, advanced stage growth projects, and exploration assets," stated James Bannantine, President and CEO. "Combining Great Panther and Beadell's respective guidance adds to approximately 200,000 of gold equivalent ounces for 2019 and positions the Company in the ranks of intermediate producers⁽¹⁾. Our focus in the near-term will be on the integration of the Brazilian operations, the continued optimization of the Tucano gold mine, and advancing an exploration program to unlock the significant exploration potential of Tucano."

Concurrent with the completion of the Acquisition, Dr. Nicole Adshead-Bell, former CEO & Managing Director of Beadell, joins Great Panther's Board of Directors.  Mr. R.W. (Bob) Garnett, Chair of Great Panther said: "We are pleased to welcome Dr. Adshead-Bell to Great Panther's Board of Directors. Her extensive knowledge of precious metal exploration and mining, plus many years of buy-side, capital markets and corporate experience, will help Great Panther in realizing the significant upside potential of Tucano."

Great Panther acquired 100% of the issued and outstanding shares of Beadell through the issuance of 103,593,043 Great Panther shares to Beadell shareholders, representing approximately 38% of the post-Acquisition issued and outstanding Great Panther shares.  The share exchange represents a ratio of 0.0619 Great Panther shares for each Beadell share.

Name Change and Trading of the Great Panther Shares
The Company's CUSIP will remain unchanged with the name change to Great Panther Mining Limited and the shares will continue to trade on the Toronto Stock Exchange under the symbol GPR and on the NYSE American under the symbol GPL.  Beadell's shares ceased trading on the Australian Securities Exchange on February 18, 2019and are expected to be delisted on March 6, 2019.

Gold equivalent ounce production guidance for Great Panther based on the January 17, 2019 press release and associated metal conversion assumptions, and Beadell's January 29, 2019 press release with production guidance for Tucano. The Company will review Beadell's guidance and expects to provide an update with the Company's reporting for the first quarter of 2019.

Offer to Purchase Outstanding Debentures
As disclosed in Great Panther's news release dated November 30, 2018 and its information circular in connection with the Acquisition, Great Panther will now proceed to make an offer (the "Offer") to purchase for cash Beadell's outstanding US$10,000,000 principal amount, 6.00% convertible senior secured debentures maturing on June 30, 2023 (the "Debentures") at a price equal to 105% of the principal amount, plus accrued and unpaid interest.  The Offer will be open for acceptance until April 3, 2019. Great Panther will provide a further update on the earlier of acceptance by all holders of the Debentures of the Offer, or expiry of the Offer. Any Debentures that are not purchased in the Offer will remain outstanding and will be guaranteed by Great Panther and convertible into Great Panther common shares further to a supplemental indenture to the original indenture governing the Debentures. Details of the Offer will be provided in a notice of the Offer to be mailed to the holders of the Debentures.

Eilt: Warum wir diese Woche noch Silber-Aktien kaufen!

Silber steht im Schatten von Gold. Während sich der Goldpreis allmählich dem Hoch aus dem Jahr 2016 bei 1.366 Dollar nähert, ist Silber noch weit von den Höchstständen von vor zweieinhalb Jahren bei über 20 Dollar entfernt. Doch sollte man Silber deshalb abschreiben? Keineswegs. Bei Silber liegt ein Schlüsselwiderstand in Reichweite. Und sollte der überwunden werden, dann kann es schnell gehen.

Der Widerstandsbereich bei Silber ist klar definiert und reicht von 16 bis 16,50 Dollar. Ein Ausbruch über diesen Bereich ist gleichbedeutend mit einem Ausbruch über 1.366/1.375 Dollar bei Gold. Für Silber sollte es bei einem Ausbruch relativ rasch in Richtung 20 Dollar gehen. Davon dürften auch die Silberminenaktien deutlich profitieren. Sieht man sich die Charts einiger Aktien an, dann stehen diese quasi in den Startlöchern. Was fehlt, ist der Startschuss. Und der dürfte in unseren Augen in einem Ausbruch von Silber über eben diesen Widerstandsbereich liegen.

Beadell Resources / Great Panther Mining: Wann erfolgt der Umtausch der Aktien?

In den vergangenen Tagen habe ich immer wieder Anfragen erhalten, wann denn die Stücke von Beadell auf Great Panther Mining Ltd. im Depot umgebucht werden. So leid es mir tut, ich weiß nicht, wann die Banken das tun werden. 

Der Prozess wurde am 08.03.2019 angestoßen und nun werden die Abwicklungsstellen den Vorgang bearbeiten. Ich denke es dauert bei dieser Übernahme einfach länger, da wir zusätzlich eine Lagerstellenverschiebung haben (Australien nach Nordamerika) und Beadell Resources Ltd.zudem extrem viele Aktionäre hatte. 

Aus der Erfahrung heraus, können Sie nichts tun, um diesen Prozess zu beschleunigen. Sie können gerne bei Ihrer Bank anrufen, doch die Antwort wird vermutlich sein: Wir wissen nichts davon. 

Sie müssen auch selbst nichts unternehmen, da der Prozess automatisch läuft.

Die Einbuchung der Aktien ist heute bei mir erfolgt. Da wohl doch der eine oder andere den Aufschwung seit der Fusion (ehemalige Beadell Resources Aktionäre) den GEwinn von ca. 20-40% mitnehmen werden, gehe ich von einem fallenden Kurs die kommenden Tage aus.
