Toronto, November 30, 2009 LEXAM EXPLORATIONS INC. (TSX-V:LEX) (PINK SHEETS:LEXEF) today reported financial results for the Third Quarter, 2009. The Company recorded net earnings of $1,664,740 ($0.03 per share) as compared to $588,263 ($0.01 per share) for the Third Quarter, 2008. The market value of securities, cash and other monetary assets minus total liabilities increased to approximately $38.6 million during the Third Quarter, 2009 versus $11.0 million in the respective period, 2008 and $16.5 million at the end of the Second Quarter, 2009.

Fonds-Schließung oder Fusion: Was ist denn mit der Steuer?
Branchenriese DWS oder die kleine Berenberg-Bank: Viele Fondsgesellschaften gaben in den letzten Wochen Zusammenlegungen oder Auflösungen ihrer Fonds bekannt. „Und wie wird das steuerlich behandelt?“ wollten viele Anleger wissen. DAS INVESTMENT.com hat nachgefragt.

„Eine Fusion ist ein steuerneutraler Vorgang“, erklärt Felix Fortelka vom Bundesverband Investment und Asset Management (BVI). Besitzt der Anleger einen Investmentfonds, der mit einem anderen Investmentfonds verschmolzen wird, erhält er neue Anteile des anderen Investmentfonds. Nach der sogenannten Fußstapfentheorie treten die neuen Anteile in die Rechtsposition der alten Anteile ein. Verkauft der Anleger also seine Anteile, ist der Gewinn abgeltungssteuerfrei, sofern die alten Anteile vor 2009 gekauft und mindestens ein Jahr gehalten wurden. Kurz: Ein Fondsfusion ist kein Verkauf und aus steuerlicher Sicht daher unbedenklich.

Ganz anders verhält es sich, wenn ein Investmentfonds geschlossen wird. „Die Auflösung bedeutet aus steuerlicher Sicht die Rückgabe der Fondsanteile“, erklärt Fortelka. Beträgt die Haltedauer also weniger als ein Jahr – bei Anschaffung vor 2009 – muss der Anleger den Veräußerungsgewinn mit dem persönlichen Steuersatz versteuern. Hier gilt noch die alte Spekulationssteuer. Wurde erst im laufenden Jahre gekauft, gilt die Abgeltungssteuer; Fonds zu, das wird teuer.

War der Anleger länger als ein Jahr investiert, greift der Bestandsschutz – der Gewinn ist steuerfrei. Wird das Kapital erneut angelegt, muss der potentielle Gewinn mit dem regulären Abgeltungssteuersatz von 25 Prozent versteuert werden. Das Gleiche gilt, wenn er alten Fondsanteile gegen Anteile eines anderen Fonds derselben Gesellschaft tauscht.

Otish Basin Uranium Project “Lexam Option” – Property location within the Otish and Mistassini Basins
Background

Golden Valley Mines acquired the properties through staking in 2004. The property is currently believed to be the dominant landholding position in the Mistassini-Otish Basins totalling approximately 83,124 hectares (1,565 mining titles). Targeting for the property acquisitions was principally focused on unconformity-associated uranium deposit models similar to those found in the world-class Athabasca Basin mines in Saskatchewan, Canada, that currently account for approximately 30% of total global production. Much of the historical work that was preformed in the area (1976-83) was conducted by companies also then active in northern Saskatchewan and using similar prospecting techniques. Additional exploration opportunities and geological potential recently reported by Strateco Resources Inc. and the continuing exploration presence of Cameco provided additional motivation for the property acquisitions and exploration work activities on the GZZ-LEX Option/Joint Venture properties. Subsequent to the original property acquisitions, additional claims were also acquired on the basis for potential fault controlled uranium mineralization of the “Matoush”-type, where Strateco continues active exploration.

A historical drillhole compilation was initiated over the Mistassini portion of the project area during the first quarter of 2008. A compilation of the historical holes drilled by Western Mines Ltd. (Ministère de l’Énergie et des Ressources naturelles, documentation technique GM 35584) in 1979 identified a zone of uranium mineralization on the Mistassini portion of the project area that is larger and higher grade than was previously believed to exist. Holes within the zone were reported to reach up to 5,100 ppm (0.51%) U3O8 and ten holes returned values better than 850 ppm (0.085%) U3O8 over a drill indicated strike length of approximately 80 metres (262.5 ft.). The inferred strike extension of the above described mineralized zone was intersected in historical drilling by SOQUEM (Ministère de l’Énergie et des Ressources naturelles, documentation technique GM 36262) in 1979 about 2.4 kilometres to the north along trend. Here a single hole intersected a best value of 1,140 ppm (0.114%) U3O8.

Ontario, Canada. LEXAM EXPLORATIONS INC. (TSX-V: LEX) and VG GOLD CORP. (TSX: VG), (FRANKFURT: VN3), (OTCQX:VGGCF) are pleased to announce that voting at their separate December 13, 2010 special meetings of shareholders resulted in over 99 percent approval by votes cast in favor of the proposed business combination between Lexam and VG Gold to form Lexam VG Gold Inc.

Shareholders of both companies also voted in favour of the private placement by Rob McEwen, current Chairman and CEO of Lexam, for gross proceeds of $5 million.  The business combination and private placement are expected to be completed by year-end.

Tom Meredith, who will become President and CEO of the new Lexam VG Gold, said "We are very pleased by the overwhelming support from our shareholders. This merger will enable the combined Company to prepare for an aggressive exploration program in 2011 with the goal of making a significant high-grade discovery and further expanding our current resources.”

Completion of the Arrangement requires the approval of the Superior Court of Justice (Ontario) and satisfaction of certain other conditions precedent. A hearing by the Superior Court of Justice (Commercial List) is scheduled to be held on December 20, 2010.

Upon court approval and all other conditions being satisfied, it is expected that the Arrangement will become effective on January 1, 2010. The combined company, Lexam VG Gold Inc., will trade on the TSX Stock Exchange under the symbol “LEX”.

•Strategic land position: Well positioned around Goldcorp’s Dome Mine that has produced 17 million ounces of gold;
