On February 22, 2008, iVoice, Inc. (the "Company") entered into an Amendment Agreement dated February 21, 2008 with YA Global Investments L.P. ("YA Global") whereby the terms of a Secured Convertible Debenture dated May 26, 2006 with an original principal amount of $1,250,000 were amended whereby: a. The term of this secured convertible debenture was extended from the original expiration date of May 25, 2008 to May 25, 2010. b. The interest rate was revised from 7.5% to 15% effective March 1, 2008. c. The conversion price was revised from ninety percent (90%) to seventy percent (70%) of the lowest Closing Bid Price of the Common Stock during the thirty (30) days trading days immediately preceding the Conversion Date, as quoted by Bloomberg, LP. The Company also agreed to fully repay a second Secured Convertible Debenture held by YA Global originally dated May 11, 2006 on its expiration date of May 11, 2008 with a current principal amount equal to $4,986,510.
