ASX ANNOUNCEMENT & MEDIA RELEASE 26 March 2012 US$12 MILLION DEBT FACILITY SIGNED Further to its announcement of 7 March, 2012, Perth-based gold producer Navigator Resources Limited (ASX: NAV) (Navigator) is pleased to provide the following financing update. Highlights US$12 million gold stream debt facility agreement signed; US$1.5 million drawdown under stage 1 completed; Drawdown under the main facility expected to be available in the coming days; Gold deliveries to Waterton commenced on 12 March. DEBT FACILITY The Company is pleased to advise that it has now completed the required documentation and has signed the US$12 million debt financing facility agreement with Waterton Global Value LP (“Waterton”), an affiliate of Waterton Global Resource Management, Inc.
The facility is a general working capital facility for the Company to use for the continued development of the Bronzewing Gold Project (BGP) as well as exploration. The loan will be for a period of 18 months (ie. to 30 September 2013) with repayments commencing on 31 December 2012.
The loan is to be repaid in ounces of gold based on the spot price multiplied by 0.90 unless Waterton request that the repayment be paid in cash, whereupon the equivalent cash amount would be due. The loan is to be repaid at the nominal rate of US$1.2 million per month of principal borrowed until fully repaid. The repayment period will depend upon the amount of the facility actually borrowed.
Navigator has the right to repay early without penalty. The process of satisfying these conditions is well underway and is expected to be completed in the coming days. The loan will be secured by a charge over the assets of the Navigator group and is subject to the usual terms and conditions of a debt facility. GOLD SUPPLY AGREEMENT In accordance with the previous execution of the Gold Supply Agreement, Navigator has commenced delivery of gold to Waterton and received the first sales proceeds therefrom.
