Major Investor Offers 50% More for Intrabiotics Shares Than Mario's Insider Group
CHICAGO, Mar 20, 2003 /PRNewswire via COMTEX/ -- C. Robert Coates, owner of 4%
of the common stock of Intrabiotics (Nasdaq: IBPI), has submitted a formal offer
to buy the company's proposed new issue of convertible preferred stock.
As background on his all cash offer for the preferred stock, Robert Coates said,
"We're responding to what we view as a very unfair offer for the preferred stock
by Dr. Mario and his insider group. Dr. Mario not only proposed this new,
dilutive financing but is also pushing the vote through in only a few weeks on
April 3. Neither he nor the company's other senior executives have explained the
urgency of this vote given the current depressed price of Intrabiotics shares
and the substantial cash holdings of the company.
"Nor has Dr. Mario justified paying less than the cash or book value of the
company for these shares, thereby giving no weight at all to the company's
valuable intellectual property."
Mr. Coates went on to say, "We have offered to pay 50% more for the common
shares underlying the proposed new issue of preferred stock and attached
warrants. We have also asked the board to offer the preferred stock to any
interested stockholder on a pro rata basis on these same terms. We ask each
member of the board to consider their duty to the shareholders in making their
decisions on our offer."
