The company paid a total cash commission of $250,960 in connection with offering to the agents. In addition, as a commission for the sale of the units under the offering, the agents were granted compensation options which will entitle the agents to purchase 141,920 common shares of the company at an exercise price of $1.25 per common share. As a commission for the sale of the flow-through shares under the offering, the agents were granted compensation options which will entitle the agents to purchase 49,040 common shares of the company at an exercise price of $1.50 per common share. All compensation options granted to the agents will have an exercise period which expires two years from the closing date.

In connection with the concurrent offering, the company paid a cash commission of $298,150 to Parolini Marketing Services Ltd. In addition, the company paid Limited Market Dealer Inc. a cash commission of $28,500 and compensation warrants which will entitle Limited Market Dealer to purchase 13,333 common shares of the company, at an exercise price of $1.25 per common share and have an exercise period which expires two years from the closing date.

For providing advisory and due diligence services to the company in connection with the concurrent offering, D&D received a payment of $111,500. In addition, D&D was granted compensation options which will entitle the agents to purchase 475,000 common shares of the company at an exercise price of $1.25 per common share and 13,334 common shares of the company at an exercise price of $1.50 per common shares. All of the compensation options will have an exercise period which expires two years from the closing date.

Proceeds of the private placement will be used toward financing exploration on the company's magnetite project in Nunavut and other obligations of the company under the option agreement it entered into with Roche Bay PLC to acquire up to 50.1 per cent in the project which was previously announced in Stockwatch on Feb. 12, 2007. The closing of the option agreement is concurrent with the closing date.

Pursuant to the option agreement, on the closing date the company issued 12 million rights to Roche Bay as follows:


Eight million rights at an exercise price of 35 cents per right, effective immediately upon issue;
Two million rights at an exercise price of 60 cents per right, effective upon completion of 15,000 metres of drilling; and
Two million rights at an exercise price of $1 per right, effective upon the completion of both a total of 30,000 metres of drilling and a National Instrument 43-101-compliant prefeasibility study based on an envisioned minimum six-million-tonne-per-year mining operation containing a resource estimate of at least 750 million tonnes on iron ore in total among the "measured" and "indicated" categories. Each right will entitle the holder to purchase one common share of the issuer within a period of three years after the effective date of the right.

The company paid finders' fees in connection with the option agreement to the following arm's-length parties:


48,206 common shares issued to 834689 Ontario Ltd.; and
96,413 common shares issued to John Moses.

In consideration of entering into certain non-recourse loans agreements with the company, the company issued a total of 420,591 common shares as bonus shares to certain lenders. The following insider is one of the lenders receiving the following amount of bonus shares: John Gingerich, 160,000 (via Geotechnical Business Solutions Inc.) and 64,000 (via Gingerich Family Trust).

On the closing date, the company issued 294,763 common shares to 2053068 Ontario Ltd. to settle outstanding debt for $368,454.14.

All securities issued pursuant to this transaction and are subject to a hold period expiring Oct. 5, 2007.

ROHSTOFF-SPIEGEL: Advanced Explorations besitzt die Option auf den Erwerb von bis zu 50% des Roche Bay Magnetite Projekts in Nunavut/Kanada. Was macht dieses Projekt derart interessant für einen Eisenerzexplorer?

ADVANCED EXPLORATIONS: Auf unseren Roche Bay – Lizenzen wurden bereits in den 70er und 80er Jahren umfangreiche Explorationsarbeiten durchgeführt. Es zeigte sich dabei, dass wir es hierbei mit einem sehr aussichtsreichen Projekt zu tun haben, das es sich lohnt fortzuführen. Darüber hinaus zeigten sich gewisse ökonomische Vorteile gegenüber anderen vergleichbaren Projekten, vor allem in Hinsicht auf den kostenmäßig nicht unbedeutenden (Ab-)Transport des Erzes.

ROHSTOFF-SPIEGEL: Aus dieser Zeit existiert eine Schätzung über circa 1,2 Milliarden Tonnen erzhaltigen Gesteins mit einem durchschnittlichen Eisengehalt von 30%. Darüber hinaus stieß man in jüngerer Zeit auf eine zweite, etwas südlicher gelegene Vererzung, die möglicherweise eine noch höhere Ressource beinhaltet. Was erwarten Sie sich auf Basis dieser Zahlen von Roche Bay, auf wie hoch schätzen Sie die zu erwartenden Gesamtressourcen und wann ist mit einer ersten Schätzung nach internationalem Bergbaustandard NI43-101 zu rechnen?

ADVANCED EXPLORATIONS: Bisher wurde erst ein Bruchteil des Gesamtgebiets untersucht. Wir schätzen das Gesamtpotential weitaus höher ein, als man das vor 30 Jahren tat. Momentaner Stand ist, dass wir zwei Bohrgeräte im Dauereinsatz haben und Anfang 2008 insgesamt fünf Bohrer haben werden. Eine erste Ressourcenschätzung erwarten wir für das ausgehende Frühjahr 2008.

ROHSTOFF-SPIEGEL: Um nochmals auf die bereits erwähnten ökonomischen Vorzüge von Roche Bay zurückzukommen: Ihr Projekt liegt sehr nahe an der gleichnamigen tiefseetauglichen Roche Bay, an deren Küste man relativ problemlos einen Verladehafen installieren könnte und von dort aus direkten Zugang zum Atlantik hätte. Was würde die Errichtung eines solchen Hafens kosten und welche weiteren Vorteile hätte diese direkte Verlademöglichkeit?

ADVANCED EXPLORATIONS: Eine exakte Kostenaufstellung wurde bis dato noch nicht durchgeführt. Am teuersten wären sicherlich die Verladegerätschaften sowie die Andockkais für Hochseefrachter. Die Vorteile eines solchen Hafens liegen auf der Hand. Man hätte direkten Zugang zum Atlantik und damit auch zu den Märkten in Nordamerika, Europa und dem Nahen Osten. Sollte die Nordpolarroute wie prognostiziert in Zukunft dauerhaft eisfrei sein, dann wäre auch ein schneller Zugang nach Asien und Russland gegeben. Die Transportkosten nehmen einen sehr großen Posten innerhalb der gesamten Produktionskosten ein, welcher bei unserer Lage auf ein Minimum gedrückt werden würde. Somit wären wir in der Lage bis zu einem Drittel günstiger zu fördern und somit einen umso höheren Profit zu erzielen.

ROHSTOFF-SPIEGEL: Gibt es umwelttechnische Bedenken oder Einschränkungen gegenüber der Errichtung eines solchen Hafengeländes?

ADVANCED EXPLORATIONS: Die Umweltbeeinflussungen wären sehr gering und auch von Regierungsseite her ist man wenig beunruhigt. Vielmehr zeigt man sich davon überzeugt, dass diese einmalige Lage eine große Chance für die weitere Entwicklung dieser Region in sich birgt.

ROHSTOFF-SPIEGEL: Schaut man sich einmal die Temperatur- und generellen Wetterverhältnisse dieses Gebiets an, so dürfte der Hafen lediglich an 90 bis 100 Tagen eisfrei sein. Reicht dieses Zeitfenster zum Abtransport des geförderten Erzes? Wie sieht es generell mit den Fördermöglichkeiten aus, ist dies ganzjährig möglich?

ADVANCED EXPLORATIONS: Ganz im Gegenteil! – Es ist faktisch so, dass wir ganzjährig in der Lage sein werden zu fördern und es uns an maximal 90 Tagen nicht möglich sein wird die geförderten Mengen abzutransportieren. Dies stellt allerdings kein Problem dar und hängt im Übrigen auch nicht von technischen Problemen oder Ähnlichem ab, sondern hat seine Ursache vor allem in umwelttechnischen Gegebenheiten. So darf beispielsweise während der Wanderungszeiten von Eisbären oder während der Robbenjagd-Periode kein Eis gebrochen werden. Wir gehen also von einer Produktion an 365 Tagen im Jahr und einer Hafennutzung von 270 bis 300 Tagen pro Jahr aus. Dabei wollen wir anfangs eine Menge von acht Millionen Tonnen jährlich verschiffen, welche sich problemlos auf über 20 Millionen Tonnen ausbauen ließe.

ROHSTOFF-SPIEGEL: Gibt es Pläne weitere Projekte in dieser Region zu akquirieren? Wie sieht es aktuell mit Projekten in anderen Erdteilen aus?

ADVANCED EXPLORATIONS: Ja, es gab bereits ernsthafte Gespräche unsere Lizenzgebiete zu erweitern. Darüber hinaus haben wir Angebote für den Erwerb von Lizenzen in Afrika und Südamerika erhalten. Generell ist es so, dass wir großes Interesse an neuen Möglichkeiten haben zu expandieren, jedoch müssen diese Projekte unseren hohen Qualitätsansprüchen genügen und vor allem das politische Risiko in den jeweiligen Regionen muss verhältnismäßig sein, das sind wir unseren Shareholdern schuldig. Unsere besondere Aufmerksamkeit gilt aktuell Brasilien, dort kristallisieren sich einige hochinteressante Optionen für uns heraus.

ROHSTOFF-SPIEGEL: Was sind aus Ihrer Sicht die nächsten wichtigen Schritte für Ihre Company? Wie steht es aktuell um Ihr Bohrprogramm?

ADVANCED EXPLORATIONS: Wir haben im Moment zwei Bohrgeräte im Einsatz, bis Anfang 2008 werden es deren fünf sein. Die nächsten Stages werden eine erste international anerkannte Ressourcenschätzung und die Fertigstellung einer Vor-Machbarkeitsstudie bis zum zweiten Quartal 2008 sein. Darüber hinaus wollen wir bis spätestens zum vierten Quartal 2009 eine komplette Machbarkeitsstudie erstellen. Bis 2010 werden alle Genehmigungen vorliegen, sodass wir in 2011 in volle Produktion gehen können.

ROHSTOFF-SPIEGEL: Wie sieht es mit Ihrer aktuellen finanziellen Situation aus? Inwieweit sind die anstehenden Bohrarbeiten bereits durchfinanziert?

ADVANCED EXPLORATIONS: Wir haben aktuell knapp sechs Millionen kanadische Dollar in der Kasse. Eine weitere Finanzierung kommt zum aktuellen Aktienkurs nicht in Frage, das läge auch nicht im Interesse unserer Aktionäre. Wir rechnen mit einer weiteren Kapitalerhöhung ungefähr bei Veröffentlichung der erwähnten Vor-Machbarkeitsstudie.

ROHSTOFF-SPIEGEL: Wie stehen Sie zum aktuellen Eisenpreis und was erwarten Sie dabei für die Zukunft?

ADVANCED EXPLORATIONS: Experten gehen von einem neuerlichen Anstieg des Eisenpreises um weitere 25 bis 30% aus. Dem schließen auch wir uns an. Die drei größten Minenunternehmen der Welt erwirtschaften ungefähr ein Drittel ihrer Umsätze mit Eisenerz. Wenn der Preis hierfür wie prognostiziert weiter steigen sollte, werden auch diese ihre Marktposition weiter ausbauen können.

ROHSTOFF-SPIEGEL: Warum sollte man gerade jetzt in Advanced Explorations investieren?

ADVANCED EXPLORATIONS: Unsere aktuelle Marktkapitalisierung stellt einen üblichen Wert für Explorer in unserem Entwicklungsstadium dar. Allerdings haben wir bereits ein zweifellos hochkarätiges Eisenerzprojekt in der Hinterhand, dessen historische Ressource wir mit einer neu entdeckten Vererzung wohl mehr als verdoppeln können. Zusammen mit unserem erwähnten bedeutenden Standortvorteil besitzen wir ein enormes Aufwärtspotential, welches wir mit unserer Vor-Machbarkeitsstudie Mitte nächsten Jahres bestätigen werden.

ROHSTOFF-SPIEGEL: Wird Advanced Explorations in der näheren Zukunft auf einer europäischen Messe vertreten sein, sodass sich potentielle Investoren persönlich ein Bild von Ihnen und Ihrer Company machen können?

ADVANCED EXPLORATIONS: Wir waren bereits im Juni in Frankfurt vertreten und wollen das 2008 wiederholen. Als nächstes werden wir uns Ende November in London der Öffentlichkeit präsentieren.
