Aufgrund eines Zeitungsartikels über Spam, der nicht nur Server unnütz beschäftigt sondern auch angeblich Angestellte vom Arbeiten abhält (geschätzter Schaden 12 Mrd USD weltweit) bin ich auf die suche nach einer Firma gegangen die eine Lösung für das Spam Problem anbietet.

Gefunden:
Der NASDAQ SC Wert CTCH bietet eine sogenannte Enterprise Sollution die gesamte Firmen von unerwünschten Spam schützen soll!

Ich habe eine kleine Position (leider) bei 0,15 in mein Depot gelegt und wollte sie eigentlich ein paar Monate halten.

Doch siehe da CTCH preschte heute Intraday auf 0,40! :)

Commtouch Closes First Tranche Funding  


MOUNTAIN VIEW, Calif., Apr 2, 2003 (BUSINESS WIRE) -- Commtouch (Nasdaq: CTCH),
a developer and provider of proprietary anti-spam solutions, today announced
that it has successfully closed the first tranche under the convertible loan
agreement described in its February 13 release, with the company receiving a
total of $362,000. The company further advised that the lenders under the
agreement have exercised their option to fund an additional $543,000, which is
to be delivered to the company upon completion of certain closing conditions,
including receipt of shareholder approval of an increase in Commtouch's
authorized share capital. An extraordinary meeting of shareholders is expected
to be held on May 15, 2003.

The company also noted that an additional option exists to fund the remaining
$345,000 under the agreement, which may be exercised by no later than the date

Commtouch Reports Q4 2002 and Year-End Results  


MOUNTAIN VIEW, Calif., Mar 7, 2003 (BUSINESS WIRE) -- Commtouch (Nasdaq: CTCH),
a developer and provider of proprietary anti-Spam solutions, today announced
results for the year ended December 31, 2002.

"Once again, the results for Q4 2002 met with the company's internal goals. The
cash burn for the fourth quarter was negligible. However, we anticipate that as
we expand our efforts to promote and sell our new anti-Spam solution
(ASAP!(TM)), cash burn will increase going forward," said Gideon Mantel, CEO of
Commtouch.

Mr. Mantel added, "We are encouraged by the progress we have made in rolling out
ASAP!. Likewise, we are pleased to announce that the closing conditions of the
first tranche of the convertible loan, as described by us in the press release
of February 13, have been met."

Revenues for the quarter -- attributable to email services -- were $0.6 million
compared to $0.5 million in the prior quarter and $2.6 million in the comparable
quarter last year. Total loss for the quarter was $2.2 million, which consists
primarily of non-recurring non-cash charges of idle equipment write-offs,
depreciation and reserves against notes receivables. In comparison, the losses
for the prior quarter and Q4 2001 were $1.1 million and $7.5 million
respectively. During the fourth quarter, the company had impaired assets
totaling $750K to reflect the value of idle equipment.

Revenues for the year ended December 31, 2002 were $3.4 million compared to
$13.6 million in the comparable period last year. Total loss for the year ended
December 31, 2002 was $4.9 million compared to $61.0 million in the comparable
period last year. Headcount as of December 31, 2002 was at 25, down from 94 at
the end of 2001. Also, during 2002, the company divested itself of its majority

Commtouch Settles Shareholder Class Action Litigation; Settlement to Be Fully Funded by Insurance Policy  


MOUNTAIN VIEW, Calif., May 28, 2003 (BUSINESS WIRE) -- Commtouch (Nasdaq: CTCH),
a developer and provider of proprietary enterprise anti-spam solutions, is
pleased to announce that it has settled the shareholder class action lawsuit
filed on behalf of shareholders against the company in early 2001. The
litigation was initiated against the company and two members of management in
response to the company's announcement that it had decided to restate earnings
for the first three quarters of 2000, alleging violations of the antifraud
provisions of the Securities Exchange Act of 1934.

Judge William H. Alsup of the United States District Court for the Northern
District of California, presiding over the litigation, recently signed a
preliminary order confirming the settlement terms, which call for the payment of
$15 million to shareholders who are members of the class by virtue of their
shareholdings in the company during the class period (April 19, 2000 through
February 13, 2001). The settlement terms do not include any admission or finding
of wrongdoing on the part of the company or individual defendants, who
maintained their denials of improper behavior throughout the proceedings.

The settlement is being fully funded by Commtouch's Directors and Officers
insurance policy.

das die Klage die bei Commtourch angehangen hat auch in der vergangenen Zeit auf die Kauflust der Investoren gedrückt hat!

Jetzt da der Rechtsstreit beigelegt und die Schadenssumme von der Versicherung übernommen wird....

Da habe ich zuwenig nachgesehen, denn normalerweise müssen Klagen in den Jahresabschluß Filings gemeldet sein!

Aufgrund des leichten Käuferüberschusses kann Commtouch sicherlich in der Nähe von 0,8 schließen!

Um eine Firma zu finden, die hierfür Lösungen anbietet, braucht Ihr nicht unbedingt bei den Amis zu suchen.
Group Technologies(WK555611) vom Ex-NM (war mal ne Ceyoniq-Tochter) bedient dieses Thema.
Die MK beträgt schlappe 3,5 Mio € (deutlich unter Cash), da der Kurs mit der Ceyoniq-Pleite und der Abschreibung eines größeren Kredits an die Mutter in deren Folge völlig
weggebrochen ist.

Seit einigen Wochen gehts wieder aufwärts und nachdem ich diesen Thread gelesen habe, meine ich zu wissen warum.
Erwäge, nochmals ne Schippe Group nachzulegen.

Commtouch Secures $1.6 Million in Additional Funding  


MOUNTAIN VIEW, Calif., Aug 4, 2003 (BUSINESS WIRE) -- Commtouch (Nasdaq: CTCH),
a developer and provider of proprietary anti-spam solutions, today announced
that an additional private placement has been secured from Israel Seed Partners,
a major Israeli venture capital group, Argos Capital Management, a New York
based hedge fund and a private individual investor. Commtouch will issue
2,666,667 million ordinary shares against the investment in the company by
Israel Seed Partners of $1,000,000, Argos Capital of $500,000 and the individual
investor of $100,000, or $0.60 per ordinary share. The investors will also
receive warrants to purchase up to an additional 1.6 million ordinary shares,
exercisable at a price of $0.65 per share. The warrants are currently
exercisable and expire in five years.

Commtouch has agreed to file a registration statement with the SEC within 60
days to allow the two investors to publicly resell all shares sold in the
private placement, including those issuable under the warrants. Commtouch has
agreed to keep the registration statement effective for 36 months.

If the registration statement is not filed in 60 days, or does not become
effective in four months or does not remain effective for 36 months, then
Commtouch may be required to pay investors a penalty. The penalty will be 5% per
month of the aggregate purchase price paid plus the spread between the warrant
exercise price and the average price for the ordinary shares for each trading
day until the registration conditions are fulfilled. The penalty is payable
either in cash or in registered ordinary shares. Also, if the registration

statement is not declared effective by the SEC in 90 days, the investors will
have the right to register their shares on any registration statements filed by
Commtouch for corporate financings.

Commtouch expects to receive the $1,600,000 in offering proceeds in the near
future. The proceeds will be targeted mainly for use in expanding Commtouch's
marketing and anti-spam product development plans.

The $1.6 million investment proceeds are in addition to the private placement
proceeds to be received by the company under the agreement announced on July 16,
2003. Subsequent to that announcement, the company raised a further $240,000,
bringing the total investment under the previously announced deal to $1,440,000.
