Wenn dir das nicht reicht: Ich denke da geht was. Hab mich da ziemlich reingekniet in die Recherche. Entscheidend wird sein, ob die Gläubiger dem Restrukturierungsplan zustimmen. Bis Ende März entscheidet sich da alles. Ist etwas riskant. Wenn trinity, eine Honkonger Investment Firma nicht einsteigt, weil die Gläubiger nicht zustimmen, dann geht die Pleite weiter. Ich denke aber, dass Canada als Staat interessiert sein wird, die eigene Fluggesellschaft zu halten.

entnehme ich dem Zwischenbericht von gestern. Insofern nix Neues. Entscheidend ist der März. Bis Ende März muss der Restrukturierungsplan abgearbeitet sein. Dann steigt TTI endgültig ein und das Insolvenzverfahren wird dann wohl aufgehoben. Also weiter Geduld.

Danke für deine aufmunternden Worte - war nicht verheerend. Jedenfalls nichts passiert, was man nicht mit Geld wieder gut machen könnte.
Aber wie ich seh, erlebt hier ja wohl jeder manchmal so ein Debakel. Wird wohl notwendig sein, um uns wieder mal auf den Boden runterzuholen.

Letzte Woche hat mich die Meldung über die Aktien der United Airlines ein wenig aufgeschreckt - obwohl ich die Sache dann nicht wirklich weiterverfolgt habe...

Also - jedenfalls schönen Abend euch allen!

letzte restructioning-news vom 23.2., Kleinkram und alles im Plan. Tut mir leid für dich mit farmatic. Bei mir gehts seit Wochen seitwärts, Gewinne auf der einen werden sofort durch Verluste auf der anderen Seite wettgemacht. Aber wenigstens nicht abwärts. Weiter abwarten.

Frankfurt (vwd) - Die geplante gemeinsame IT-Plattform der Fluggesellschaften Lufthansa, United Airlines (UAL) und Air Canada wird den beteiligten Unternehmen nach Aussage von Lufthansa-Vorstandsmitglied Holger Hätty jährlich 200 Mio bis 300 Mio EUR einsparen. Das sagte Hätty bei einem Pressegespräch am Montag, machte jedoch keine Angaben zu den Aufbau- bzw Umstellungskosten. In den nächsten Wochen werde über den Kooperationspartner entschieden, der die IT-Infrastruktur bereit stellen soll, wobei die Amadeus Global Travel Distribution SA, Madrid, weiter gute Chancen auf den Auftrag habe. Das Projekt soll Ende 2004 starten und 2007 einsatzbereit sein.

Mit der gemeinsamen IT-Plattform der 3 im Luftfahrt-Bündnis "Star Alliance" vertretenen Gesellschaften sollen Kunden künftig bei jedem Reisebüro, Call Center oder Automaten auch Tickets der jeweils anderen Airlines kaufen können. Auch Check-In und Boarding sollen bei jedem Schalter der drei Partner möglich sein. Der Bereichsvorstand Netzmanagement, IT und Einkauf bei der Deutschen Lufthansa AG, Köln/Frankfurt, betonte, dass die Initiative der 3 Fluggesellschaften später offen für die anderen 11 Star-Alliance-Partner sei. +++ Eddy Holetic

den ich hier landen konnte :-)))

Um aber auch mal was zur Sache loszuwerden: habe gleich nach den Anschlägen in Madrid meine Lufthansaaktien zur Hälfte verkauft, da ich seit ca. 8 euro dabei war und nicht zusehen wollte, wie der schöne Gewinn komplett den Bach runter geht.
Muß schon sagen, diese Branche ist wirklich sehr empfindlich, was Terror angeht und ich hoffe, AC ist nur ein kleineres Bonbon in Deinem Depot?
Konnte es mir - als leidenschaftlicher Luftfahrtfan - selbst nicht verkneifen, ein paar zu kaufen und sehe nun mit freudigem Interesse, dass selbst zu schlimmsten Zeit in der letzten woche die Teile kaum unter 26 Ct gerauscht sind. Könnte optimistisch stimmen, nicht wahr?! Als würde sie sich wappnen für ihren großen Auftritt Ende März (pünktlich zu Deinem Geburtstag...)

TORONTO, March 17 (Reuters) - Air Canada's (Toronto:AC.TO - News) planned emergence from bankruptcy protection ran into turbulence on Wednesday when its main equity investor warned it could walk away from the deal due to "union intransigence" over pensions.

Trinity Time Investments, controlled by Hong Kong businessman Victor Li, said it was reviewing its planned C$650 million ($485 million) investment because of a refusal by Air Canada's unions to discuss changes to the pension plan.

"By refusing even to discuss the issue, union leaders are now forcing us to reconsider the entire investment. If the numbers are not there, we will be forced to walk away from investing in Air Canada," Trinity director Harold Gordon said in a statement.

An Ontario court endorsed a restructuring plan in January that would give Trinity a 31 percent controlling stake in the airline, paving the way for Air Canada to emerge as a leaner, profitable carrier with stable finances.

Canada's dominant airline and the world's No. 11, has been under court protection from creditors since April 1 last year.

But Air Canada's unions rejected a request last month for a meeting over pension changes, saying the matter was not open to discussion. They said employees have already made enough economic sacrifices to help the airline restructure.

An Air Canada spokeswoman declined to comment on Trinity's latest move. But union officials said they were not impressed and Trinity was well aware of their stand on pensions when it fought to buy into the airline.

"That was a fair settlement and they knew about it up front," Pam Sachs, head of the union representing 6,500 Air Canada flight attendants told Reuters.

"We've said all along that if Trinity is not the right partner for Air Canada because they don't like the arrangements ... then perhaps Air Canada needs to find another equity investor."

Li's company was picked by Air Canada to be the leading equity partner after Trinity improved its original offer to overcome a competing bid from New York buyout firm Cerberus Capital Management LP.

"We expected this. We hope he changes his mind and, if not, I guess the challenge will be to find another investor. There were six or seven of them registered in the beginning," said Gary Fane, head of the transport section of the Canadian Auto Workers. The union represents more than 7,000 Air Canada workers, including ticket clerks and maintenance staff.

"We have absolutely no interest (in changing our position) and we're confident that he understood the arrangements before he decided to put forth his investment."

Don Johnson, president of the Air Canada Pilots Association, told Reuters the union negotiates with Air Canada, not Trinity. He also noted that Trinity knew about the pension issue when they bought in.

"If Trinity believes there's not enough money in it for them, I don't know if we can solve that problem for them, but don't play with us like this," he said.

"Our position, everybody has known it from day one. The line is drawn in the sand over pension. We gave up the money that we gave up, we gave up the working conditions. We agreed to layoffs, all in order to not touch pension. And we don't think that there's any reason to change that right now."

Air Canada currently has a defined benefit scheme, in which employees are guaranteed specific pension levels regardless of market fluctuations.

Trinity is pushing to switch Air Canada employees to a defined contribution plan, which would transfer the investment risk from the company to the employees. The proposal has been adamantly rejected by the unions.

Wenn die Gewerkschaft dieser miesen Erpressung nicht nachgibt, springt Li ab und die Suche nach einem Großinvestor beginnt von neuem!

Und es geht nach meinem Verständnis nicht darum, wie viele Leute AC rauswerfen soll, bevor Herr Li sich zu seinem Investment herabläßt, sondern darum, die Betriebsrenten einzuschmelzen, bzw. die konjunkturUNabhägkeit der Betriebsrenten aufzuhebeln und das Risiko auf die Angestellten abzuwälzen, indem die Höhe dieser Zuwendungen von der Konjunktur abhängig gemacht wird.

Ich hoffe, es ist einfach nur chinesischer Poker und Li, der ja nun wirklich nicht überrascht sein konnte, dass die Betriebsrenten einmal in dieser Form vereinbart worden waren, sich immer noch ne fette Rendite verspricht, wenn er AC vor dem Konkurs rettet.

was meinst du wovon bei uns die NORMALE zusatzrente abhängig ist. die werden genauso im freien markt angelegt und wenn mal jahre kommen wie sie wir die letzten 4 hatten, dann werden die prognosen einfach runtergeschraubt.

ein betrieb mit geringen margen kann sich das auch über kurz oder lang  bei uns nicht mehr leisten, sofern es überhaupt noch betriebe gibt, die betriebsrenten zahlen.


und die jenigen die eine zahlen, die haben auch so ihre klauseln.

Und eigentlich ja auch irgendwie logisch, muss ich zugeben.
Wenn die Verhältnisse hier denen in Kanada ähneln (und auch das wäre eher logisch), müsste das ja bedeuten, die Gewerkschaft verteidigt ein Privileg der AC-Angestellten, das von den meisten Kanadiern als ungewöhnlicher Luxus empfunden wird? Wenn das so ist, könnte ich mir vorstellen, dass auch die AC-Angestellten vielleicht eher bereit sind, in diesem Punkt auch noch nachzugeben, wenn daddurch ihr Job gesichert wird.
Dann wär der HickHack also nicht minder ein Kanadischer Poker...

PS: was haben die gewerkschaften davon, wenn sie auf biegen und brechen dagegen sind. man müsste natürlich jetzt genaue zahlen kennen, um welche beträge es sich handelt. aber wenn es sich beim einzelnen um einige ca-$ handelt, dann währe es doch dumm, wegen dieser beträge ein unternehmen auf spiel zu setzen, oder nicht????

es wird sich ja hoffentlich nicht um beträge von ein paar hundert ca-$ handeln nehm ich mal an.

mit ein paar Zahlen mehr. Es Handelt sich also um ein Defizit in der Pensionskasse von immerhin 1Mrd. US-Dollar. Und nicht nur Trinity ist an einer neuen Regelung interessiert, auch die Gläubiger sehen an dieser Stelle hohe Risiken für die Zukunft. Und letztlich hängt der ganze Sanierungsplan daran, ob die Gläubiger dem zustimmen. Da ist also leider nix in trockenen Tüchern, die Pensionsregelung scheint sich da zum springenden Punkt herauszuentwickeln und die Gewerkschafter klingen nich sonderlich Kompromissbereit:

The Air Canada component of the Canadian Union of Public Employees, which represents flight attendants, called Trinity's threat a "last-minute pension grab" that threatens the airline and its workers.
"It's meant to put fear and uncertainty into our members," union component president Pam Sachs told Reuters.
The Montreal-based airline's shares fell 9 Canadian cents or 8.4 percent to C$1.15 at midday on Thursday before closing at C$1.19 on concerns Trinity may act on its threat.
In a statement on Wednesday, Trinity said the unions' stance on the pension issue was forcing it to reconsider its plan to take up a 31 percent stake in the airline.

A pullout by Trinity would likely postpone the airline's plan to emerge from bankruptcy protection by April 30.
GE Capital Aviation Services, Air Canada's largest aircraft lessor, has told the court overseeing the restructuring that it is also concerned about the pension impasse. Some C$1.8 billion of financing from GE Capital hinges on the airline emerging from bankruptcy protection on schedule.
If Air Canada fails to complete the court-supervised restructuring of its costs and finances, it could face liquidation.
Unions representing the bulk of Air Canada's roughly 35,000 employees have flatly rejected Trinity's proposal and say the matter is not even open to discussion.
"That's their monkey, it's not mine," Sachs said. "They have created this problem."
"They are going to try to squeeze our members for every single drop they can get right up until this deadline."
"That deadline will move. It's moved two or three times," said Gary Fane, of the Canadian Auto Workers union, which represents 8,000 reservation and airport workers.
Canada's dominant airline and world No. 11, under court protection from creditors since April 1, refused to comment on Thursday.
"It's Trinity's release, we're not commenting on it," said Air Canada spokeswoman Isabelle Arthur.
The airline's pension fund has a C$1.3 billion ($1 billion) deficit.

na ja , was für alternativen hat die gewerkschaft denn???

stimmen sie ohne zu kämpfen zu, stehen sie vor der belegschaft schlecht da.

stimmen sie dagegen, wird dieses unternehmen, so wie es jetzt ist, geschlossen. anschliessend wird sie wieder unter einem andern namen und vielleicht anderer führung wieder eröffnet, sowieso mit neuen bedingungen.

meine meienung ist, dass zuerst die gewerkschaften sich dagegen aussprechen werden, dasmit sie ihr gesicht bewahrt. dann werden verhandlungen geführt werden und ungefähr in der mitte , zur zufriedenheit aller wird man sich dann einigen.

natürlich wird sich jeder ein HINTERTÜRCHEN  offen halten wollen.

aber ich denke mal, auch im interresse der belegschaft, wird sich die gewerkschaft einigen.

was hat man von hohen ansprüchen , wenn es das unternehemen nicht mehr gibt , bei denen man sie ansprüche hätte.

Toronto (vwd) - Die Air Canada, Montreal, will ihren Gläubigerschutz um einen Monat bis zum 30. April verlängern. Am 30. April enden die Verhandlungen des Unternehmens mit 2 wichtigen Investoren. Wie aus einem Bericht der gerichtlich bestellten Insolvenzsachverständigen Ernst & Young vom Donnerstag weiter hervorgeht, wird die Fluggesellschaft voraussichtlich in der kommenden Woche ihre Zahlen für 2003 und ihren überarbeiteten Geschäftsplan vorlegen.

Laut Ernst & Young muss Air Canada mehrere Bedingungen erfüllen, damit der Gläubigerschutz aufgehoben werden kann. Zum einen muss die Gesellschaft ihre Pensionspläne ändern und die Zustimmung der zuständigen Behörden zur Finanzierung der Unterdeckung des Pensionssystems einholen. Zum anderen müssen die Verträge mit den Investoren Trinity Time Investments Ltd und GE Capital Aviation Services (GECAS) abgeschlossen sein. Trinity zahlt voraussichtlich 650 Mio CAD für 31% an der restrukturierten Gesellschaft. UPDATE - Air Canada says needs more time to restructure

MONTREAL, March 25 (Reuters) - Air Canada (Toronto:AC.TO - News) wants more time in bankruptcy protection so that it can sort out a pension dispute between its unions and its key equity investor that threatens the insolvent airline's restructuring plans.


On Monday, the Montreal-based carrier will ask the Ontario court overseeing its restructuring to extend its protection from creditors by one month to April 30.

Air Canada, the largest airline in Canada and the world's 11th biggest, obtained bankruptcy protection on April 1, 2003.

The judge overseeing Air Canada's court process has warned that failure to resolve the pensions issue could jeopardize the airline's restructuring and that raises the specter of liquidation.

The key investor in Air Canada's restructuring is Trinity Time Investments, run by Victor Li, a Canadian citizen who is the son of Li Ka-shing, Asia's wealthiest businessman.

Trinity is investing C$650 million ($489 million) in Air Canada to take up a 31 percent stake in a restructured version of the airline.

Li has threatened to abandon his rescue plan for Air Canada if the airline's big unions do not agree to a switch in their pension schemes that they say would expose them to greater financial risk.

Robert Milton, Air Canada's president and chief executive, said he plans to meet Li in the coming days.

"Trinity is serious in its intent to reexamine the $650 million equity investment in Air Canada and as a result I will be meeting with Victor Li in the next week to review these matters," Milton said in a letter to employees on Wednesday.

Air Canada officials will not say exactly where and when Milton and Li plan to meet. "We're not going into that level of detail," said Air Canada spokeswoman Isabelle Arthur.

Unions for 85 percent of Air Canada's 35,000 staff, from pilots to mechanics, have refused to discuss Trinity's plan to change their pensions from defined contributions schemes to defined benefit ones.

The unions argue this would effectively transfer the investment and payout risk from the company to the workers. The plans are running a C$1.3 billion deficit.

Trinity says big U.S. airlines, rivals to Air Canada on cross-border and international routes, have already switched their pension plans to lower their costs and financial risks.

OBLIGATIONS EXCEED CASH

The April 30 date for Air Canada's exit from bankruptcy protection is important because Trinity's agreement to invest in the airline expires on that day.

Air Canada said in court documents it needs the one-month extension to finalize a timeline for its exit from the process. That includes submitting a plan to creditors on how much the airline is proposing they recoup on their original investment and setting a date to vote on it.

The airline said it expects to complete its revised business plan by Friday and release its year-end financial results on Wednesday. Analysts are forecasting a deep loss for the airline.

Financing agreements between Air Canada and General Electric Capital Corp. and its affiliates also hinge on the airline exiting bankruptcy protection by April 30. GE units are providing some C$1.85 billion of new funding for Air Canada to modernize its fleet.

A report released on Thursday by Ernst & Young, Air Canada's court-appointed monitor for its restructuring, said that at Feb. 29, the airline had accumulated C$1.5 billion of obligations since its bankruptcy protection filing. Those obligations exceeded its C$827.3 million of cash by C$692.1 million.

"When combined with the amount of post-filing advance ticket sales of C$503.6 million, the overall deficiency is significant and accordingly, the monitor notes that in the event the company's restructuring is not successful and the company is liquidated there will be limited assets available from realization to fund post-filing obligations," Ernst & Young said.

In Ottawa, Finance Minister Ralph Goodale said no special provision had been set aside for the former state-owned flag carrier airline.

"There's no contingency or other provision on the books at the moment. There are potentially existing programs within Industry Canada, for example, that may be relevant to a company in distress but there's no special provision," he said.

Transport Minister Tony Valeri said the federal government was still optimistic the airline would find a private sector solution to its restructuring.

Air Canada shares closed up 4 Canadian cents at C$1.32 in Toronto on Thursday.

TORONTO, March 29 (Reuters) - Air Canada's (Toronto:AC.TO - News) key equity investor, Victor Li, will decide within two weeks if he will go ahead with a C$650 million ($500 million) cash infusion to help the insolvent airline get out of bankruptcy protection, his lawyer said on Monday.

Li, through his Trinity Time Investments unit, plans to take up a 31 percent stake in Canada's biggest airline, and the world's 11th largest, but the Hong Kong-based businessman has threatened to walk away because Air Canada's unions have rejected his proposed overhaul of their pension plans.

Judge James Farley of the Ontario Superior Court increased pressure on Li on Monday by extending Air Canada's bankruptcy protection only until April 15, instead of April 30 as was requested by the airline.

"The employees have the most to lose so we need to know sooner than later what is happening," said Pamela Sachs of Air Canada's flight attendants union.

Li wants to change the company's underfunded pension plans so that investment risks would be borne by employees instead of by the company.

The unions say they have already agreed to C$1.1 billion in labor cost concessions in exchange of a guarantee that their pensions would remain intact.

But Trinity says big U.S. airlines, rivals to Air Canada on cross-border and international routes, have already switched their pension plans to lower their costs and financial risks.

Air Canada chief executive Robert Milton, who stands to receive a C$20 million bonus if Li stays on board, met with Li last week to try to solve the impasse, and both are continuing to talk, the court heard on Monday.

Air Canada said that if Li keeps its investments in the company, it would submit on April 15 a detailed timeline for the completion of its restructuring. That would include holding as soon as possible a creditor meeting to vote on a plan of arrangement to settle up to C$10 billion in claims.

BUSINESS TOUGHER THAN EXPECTED

Milton will also present a revised business plan to Li and Air Canada's board of directors on Tuesday that will reflect a darker than expected picture after a full year of restructuring under bankruptcy protection.

Milton warned employees last week the airline has failed to reap the expected labor-cost savings.

Air Canada, which carries two-thirds of Canadian domestic traffic, is facing stiffer competition from low-cost carriers WestJet Airlines Ltd.(Toronto:WJA.TO - News) and Jetsgo, while suffering from near-record high prices for jet fuel.

Dave Ritchie, vice-president of Air Canada's mechanics and luggage handlers, said employees will not accept another round of job and pay cuts.

Ritchie said Air Canada just has to find another investor if Li is not satisfied with Air Canada's financial prospects.

"There are a lots of people out there, and Li is just one of them," Ritchie said.

But further delays in Air Canada restructuring are also threatening C$1.85 billion in loans and aircraft financing that General Electric Capital Corp.(NYSE:GE - News) has agreed to with Air Canada.

Those agreements are conditional on the airline emerging from bankruptcy protection no later than April 30.

Air Canada has been operating under bankruptcy protection since April 1, 2003, and is expected to show a deep loss when it reports yearend financial results on Wednesday.

Its shares fell 9 Canadian cents, or 7 percent, to C$1.18 on the Toronto Stock Exchange (News - Websites) on Monday.

ist doch bis jetzt genauso wie ich es gesagt habe.

die gewerkschaften müssen erst mal ihr gesicht bewahren in dem sie dagegen sind. dann gehts hart auf hart. wie lin sagt. andere haben diese sanierungen schon durchgeführt , wird ihnen zur fortführung der fluglinie nicht viel anderes überbleiben.

das hört sich zwar hart an, ist aber unumgänglich. die gewerkschaften würden hier 1000sende jobs aufs spiel setzen. die fluglinie wird übernommen werden und dann sind die bedingungen meines erachtens noch viel schlechter als sie jetzt ausverhandelt werden können.

haben wir nicht alle einschnitte in kauf nehmen müssen die letzten jahre, dies ist keine europäische erscheinung, sondern eine weltweite. und um weiter zu existieren müssen sie halt opfer bringen. wenn ich es mir aussuchen könnte, würde ich lieber sinnvoll zurückstecken, als an irgend eine fluglinie angeschlossen zu werden, dann mit wahrscheinlich schlechteren bedingungen ,als jetzt ausverhandelt werden können.

mein fazit für die gespräche der nächsten wo. viel bla bla bla... und dann eine für jede seite vertretbare einigung zu gunsten aller hier beteiligten, besonders den arbeitnehmer.

So naiv kann ja wohl nicht mal ein Gewerkschafter sein, zu glauben, dass da massenhaft Leute da sind, die sich so ne marode und verschuldete Klitsche an die Backe binden wollen. Da ist wirklich ne Menge Kleingeld nötig, um den Laden wieder hochzubringen. Sieht wirklich nach Poker aus. Nur gut, dass der Richter jetzt Druck macht und eine Entscheidung erzwingt.

TORONTO (CP) - Conflicting announcements from Air Canada's largest union threatened what appeared to be a key agreement on pensions Wednesday that would have smoothed the bumpy path towards a restructuring of the insolvent airline.

Early Wednesday, the Montreal-based District lodge 140 of International Association of Machinists and Aerospace Workers announced a deal had been reached with the airline. Hours later, however, the union's national office in Toronto said the lodge did not have the authority to strike the deal.

The union infighting means the pension dispute continues to threaten an eventual restructuring of Air Canada, which faces an April 15 deadline to get a deal between its proposed main shareholder and the unions on changes to the pension plan.

The machinists said its Toronto headquarters told Air Canada months ago that it had taken over the bargaining on pension issues after the airline went into bankruptcy protection a year ago Thursday.

"There is no deal and Air Canada knows it," said Dave Ritchie, the Canadian leader of the international union.

"Our position on the pension issue with Air Canada remains unchanged and it will stay that way. Our members pensions are not negotiable."

Calls to the district lodge office, which is responsible for the Machinists' transportation sector in Canada, were not returned Wednesday.

However, in an earlier statement, the lodge said a deal had been reached that would give current employees a choice of staying in a defined-benefit plan or switching to a defined-contribution plan.

"This agreement provides all our members with the right to choose the pension program that's best for them according to their personal circumstances," said Jean Jallet, union president at district lodge 140.

Air Canada spokeswoman Laura Cooke said in the past, contracts between the airline and the Machinists union were negotiated with the district lodge.

"The May 2003 restructuring negotiations were conducted by Mr. Jallet and he also signed that agreement as well," Cooke said.

The pension deal appeared at first to shatter a united front the airline's unions had presented in opposing making any changes to their pension plans.

If the Machinists ended up breaking ranks, it would have ratcheted up the pressure on Air Canada's other unions to strike similar deals. The other unions have maintained that they've already agreed to give up more than $1 billion annually in concessions in return for protection of their pension plans.

Don Johnson, head of Air Canada Pilots Association, said Wednesday that his union's opposition to pension changes has not changed, but as always it would be willing to talk about it with the airline.

"We have a standing policy that if our company calls us and says we need to talk we go and we talk," Johnson said.

Gary Fane of the Canadian Auto Workers, which represents customer service staff at Air Canada, also said he's willing to listen, but he didn't know what the company would say.

"If they're saying to me exactly what they've been saying to me in the past, 'Just give it to us,' it will be difficult to imagine the union would do something like that," Fane said of the deal with the Machinists.

The agreement announced by the Machinists lodge - representing 11,500 technical operations, ground service, clerical and financial personnel - was similar to one that Trinity Time Investments, the proposed new controlling shareholder in Air Canada (TSX:AC), presented to non-union employees.

It is a compromise from an earlier proposal by Trinity that would have forced new and younger employees into a defined-contribution plan, while older employees and retirees would have remained on the defined-benefit plan.

Under the agreement with non-union workers, current employees who opt for the defined-contribution plan will receive a bonus of 10 per cent of their base annual salary. New employees will receive a defined-contribution plan.

Headed by Hong Kong businessman Victor Li, Trinity is reviewing its proposed $650-million investment in Air Canada and has threatened to walk away if the pension changes were not made.

Defined-contribution pensions are easier for a company to budget for, because if a defined-benefit plan's investments decline in value, the employer must make up the difference to pay predetermined benefits.

The agreement comes as the airline's board of directors reviews the airline's updated business plan and 2003 financial statements in which Air Canada is expected to report a massive loss.

Under its current agreement with Trinity and GE Capital Aviation Services, which is to provide $1.5 billion US in financing and restructure leases on 108 aircraft, Air Canada must emerge from creditor protection by the end of April.

The court overseeing Air Canada's restructuring extended the airline's creditor protection earlier this week to April 15, by which time Trinity is expected to decide whether to proceed with its investment and on what terms."

Air Canada chief executive Robert Milton praised the union for the "decisive attempt to break the logjam currently threatening our successful restructuring executive."


But Ritchie said Jallet had no authority to bargain on pensions issues, which are dealt with at a national level.


"There is no deal and Air Canada knows it," Ritchie said, adding that union lawyers warned the company months ago that pension issues could not be negotiated at the local level.


Air Canada said it still considered the tentative agreement to be valid and expects the union to complete a ratification vote by April 12.


"We have always reached agreements with Mr. Jallet and not the national office," Air Canada spokeswoman Isabelle Arthur said.


Jallet said union bylaws give him clear authority to negotiate the agreement on pensions.


"I don't understand what's going on. Quite frankly, there are political games going on," Jallet said.


"Maybe it's because I said I would run against him in the next elections," he said.


The machinists union was the first to agree to the pension overhaul demanded by Air Canada's new equity investor, Hong Kong businessman Victor Li.


Eight other unions, representing around two-thirds of the airline's workforce, still reject Li's revamped pension plan, even though Li has warned he would abandon his C$650 million ($500 million) investment if pensions are not changed.


"There is no discussion on the subject," a spokesman for the powerful Air Canada Pilots Association said on Wednesday.


"Right now, our position has not changed," said Pamela Sachs, head of the flight attendants union.


The unions argue they have already agreed to C$1.1 billion in labor cost concessions in exchange for a guarantee that their pensions would remain intact.


Li stands to get 31 percent of the airline once the restructuring is over, but he wants to reduce its risks and costs by shifting the pension plans to a defined contribution structure instead of a defined benefits structure.

 



Air Canada's C$8.5 billion pension plans have a deficit of C$1.2 billion. The airline is trying to convince regulators to let it spread its reimbursement over a 10-year period, twice the length required by law.

On Monday, the world's 11th largest airline won an extension of its bankruptcy protection until April 15 so it can try to break the impasse on the pension issues.

Further delays in the restructuring are also threatening C$1.8 billion in loans and aircraft financing deals the carrier has with General Electric Capital Corp. .

Air Canada stock gained 22 Canadian cents, or 20 percent, to C$1.32 on the Toronto Stock Exchange on Wednesday, even though the airline has said the stock will be worthless once it emerges from court protection with a new equity structure."

schade warte schon immer auf treads usw.... von air canada habe aber immer nur unter börse geschaut.Finde gut jetzt etwas gefunden zu haben war letztes Jahr in Canada beim Lachs fischen und bin nur mit Air Canada geflogen.Dort drüben gibt es nicht viele andere Ailines und ich halte seit meinem Urlaub 5000St.Was sollen die mit den ganzen Fliegern machen ???? oder sie kauft sie ein anderer ein.Wäre aber schade dafür weil die Leute und Personal einfach suuuuper waeren.Hoffe es geht weiter den Air canada finde ich persönlich ToPPPPP.Gruß Bayer

Montreal-based Air Canada has been operating under protection from bankruptcy for the past year after amassing more than C$12 billion in debt and lease obligations.

Air Canada and Jallet and issued a press release that outlined a tentative agreement in which mechanics, bag handlers and clerical staff represented by the machinist's union would get bonuses if they switched pension plans. In the statement, the airline said current employees can choose to remain in a plan that guarantees benefits or switch to one whose payout is based on investment performance.

Sie sagen, das Abkommen sei ganz in Ihrem Sinne und sind sauer auf den Boss in der Zentrale. Der hat ein Verfahren angestrengt gegen AC bei einer Schiedsstelle (CIRB). Die Mitglieder der Gewerkschaft schreiben an die Schiedsstelle, sie soll den Boss der Gewerkschaft abblitzen lassen. Hier einer der offenen Briefe im Wortlaut (die Gewerkschaft heißt IAMAW):

Also ich hab den Eindruck, die Gewerkschaftszentrale hat was gegen Li und ist mit anderen Bietern, die ausgebootet waren, im Geschäft.
Die Mitglieder der Gewerkschaft sind stinksauer, denn sie hatten für den Deal gestimmt.

Das gibt noch eine spannende nächste Woche. Allerdings bin ich froh, dass ich nicht zugekauft hab. Hatte es überlegt, als der Kurs so tief stand.

Air Canada Reports 2003 Results; Current cash balance at $910 million
   MONTREAL, April 2 /CNW Telbec/ - Air Canada reported today an operating
loss before reorganization and restructuring items of $684 million for the
year ended December 31, 2003 compared to an operating loss before non-
recurring labour expenses of $192 million for the year ended December 31,
2002.
   On April 1, 2003, Air Canada obtained an order from the Ontario Superior
Court of Justice providing creditor protection under CCAA. Air Canada also
made a concurrent petition under Section 304 of the U.S. Bankruptcy Code.
   As a result of restructuring under CCAA, the Corporation has and will
continue to record a number of significant reorganization and restructuring
items directly associated with the restructuring. These "reorganization and
restructuring items" represent revenues, expenses, gains and losses, and
provisions for losses that can be directly associated with the reorganization
and restructuring of the business under CCAA, and do not relate to the normal
operating expenses of the airline. For the year 2003, these mainly non-cash
reorganization and restructuring items amounted to $1,050 million.
   Including these reorganization and restructuring items, the net loss was
$1,867 million compared to a net loss of $828 million in 2002. In 2002, an
income tax valuation allowance was recorded to reduce the value of the
Mainline carrier's future income tax asset by its full carrying value of

$400 million. This allowance had no impact on Air Canada's cash position or
operating results.
   As at December 31, 2003, the Corporation's cash and cash equivalents
amounted to $670 million. At December 31, 2003, CDN$840 million was available
from the US$700 million debtor-in-possession (DIP) financing facility from GE
Canada Finance Holding Company. In January 2004, CDN$300 million of funds were
drawn from this facility.
   As at April 1, 2004, the Corporation's combined cash balance, measured on
the basis of cash in its Canadian and United States bank accounts, amounted to
an estimated $910 million remaining before taking into account the amounts
available under the DIP facility.
   "Our restructuring has become more challenging as a result of record high
fuel prices, increased domestic capacity by our low cost competitors and the
geopolitical issues faced by the airline industry as a whole", said Robert
Milton, President and Chief Executive Officer. "However, our 2004 revenues are
tracking in line with what we projected in our business plan last October.
Furthermore, we are seeing year over year unit cost declines in the range
of 14%. Our cash balances are healthy. We have made major progress on most key
aspects of our restructuring, including a significant fleet, debt and lease
restructuring, major reductions in supplier arrangements and changes to our
fare structures and distribution channels. We are well positioned to carry on
business effectively while seeking alternative equity arrangements in light of
today's announcement by Trinity Time Investment Limited that it is not seeking
extension of its Investment Agreement beyond April 30, 2004. We trust that our
unions and other stakeholders will recognize the urgency of resolving the
remaining obstacles to our exit from CCAA, particularly since the arrangements
with GECAS and Deutsche Bank also expire at the end of April, unless extended
by agreement.
   "The past year has been particularly difficult for Air Canada's
employees. I thank them for their hard work and dedication in taking care of
our customers whose continued support has been heartening. It remains business
as usual for our customers as it has throughout our restructuring," concluded

Also wenn man den folgenden Artikel liest, kriegt man einen guten Eindruck, was da hinter den Kulissen vor sich geht:

Wenn man das noch kombiniert mit der Tatsache, dass in dem Deal mit Trinity offensichtlich eine Klausel drin war, die die aktuellen Aktienbesitzer benachteiligt, dann könnte man auch auf die Idee kommen, dass da im Hintergrund von den Aktienbesitzern (auch Gewerkschaft?) hart gearbeitet wird, den Trinity-Deal zu torpedieren. Das schließe ich aus dem Satz in der Meldung in Posting 55:

"Air Canada stock gained 22 Canadian cents, or 20 percent, to C$1.32 on the Toronto Stock Exchange on Wednesday, even though the airline has said the stock will be worthless once it emerges from court protection with a new equity structure."

Insofern könnte der Kurs heute sogar auch steigen, falls durch den Ausstieg von Li
eine "shareholder-value"-Lösung winkt. Dafür spricht, dass der ausstieg von Li schon am Freitag während der Börsenzeit bekannt wurde und der Kurs sogar anzog.

Da könnte man fast über spekulativen Nachkauf nachdenken!

The deal fell apart after Air Canada unions refused to agree to restructure their pension plans.


In announcing it would not extend its proposal, Trinity also released Air Canada from the exclusivity obligations of the investment deal - thus allowing the airline to seek out another investor willing to fill the void.


Reports have suggested that some of Canada's largest pension funds are looking into a possible investment in Air Canada and have held preliminary talks with the airline.


Others that may be interested include Cerberus Capital Management, the New York investment firm whose bid lost out to Trinity, and conglomerate Onex, which made a hostile bid for the airline in 1999.


Air Canada has been operating under creditor protection since April 1 last year."

MONTREAL (Dow Jones-VWD)--Die Air Canada, Montreal, sieht sich trotz zunehmender Konkurrenz im Billigflugsegment auf der Einnahmenseite im Plan. Die Umsätze entwickelten sich wie im vergangenen Oktober geplant, erklärte CEO und President Robert Milton, bei Vorlage der Bilanz 2003 am Wochenende. Allerdings stehe die Restrukturierung der unter Gläubigerschutz arbeitenden Fluggesellschaft angesichts eines Kerosinpreises auf Rekordniveau vor neuen Herausforderungen. Als Folge der Kostensenkungen sei 2004 aber mit einem verbesserten operativen Ergebnis zu rechnen, heißt es im Geschäftsbericht des Unternehmens für das abgelaufene Jahr.

2003 beendete Air Canada mit einem auf 684 (192) Mio CAD erhöhten operativen Verlust, in dem die Kosten für Reorganisation und Restrukturierung des Unternehmens nicht enthalten sind. Im vierten Quartal fiel das operative Ergebnis mit -77 (-262) Mio CAD bei rückläufigen Umsätzen allerdings besser aus als im Vorjahreszeitraum. Unter dem Strich schlugen für 2003 insgesamt 1,05 Mrd CAD an Restrukturierungskosten zu Buche, überwiegend allerdings unbarer Natur. Der Nettoverlust kletterte damit auf 1,867 (0,828) Mrd CAD.

Im Laufe des Jahres will die Fluggesellschaft den seit 1. April bestehenden Gläubigerschutz wieder verlassen. Die Kapazitäten dürften im laufenden Jahr moderat steigen, die Umsätze aus dem Passagiergeschäft sollten steigen, hieß es weiter. Den Kassenbestand zu Monatsbeginn bezifferte Air Canada mit 910 Mio CAD.

der staat canada hat schon erklärt , dass sie es nicht zulassen würden ihre fluglinie untergehen zu lassen. die wissen schon was oder wie oder wer da kommt, da bin ich mir sicher.

haben ja auch genug arbeitslose in can. , so fliegen da die jobs auch nicht mehr rum wie früher.

The offering has been increased to C$850 million ($630 million) from C$450 million. The latest figure is C$150 million more than the airline had sought last year when it began the process, Air Canada said in a release.

The deal, which needs court approval and is contingent on additional cost concessions from Air Canada's unions, would reduce the amount it must raise from an outside partner to C$250 million from C$650 million by providing more equity to bond holders.

"Air Canada's restructuring regains its momentum today with a vote of confidence in our restructuring business plan from a major global financial institution," Chief Executive Robert Milton said.

Canada's dominant airline obtained court protection from creditors on April 1, 2003, but said on Monday under this plan it could emerge as a reorganized airline by the end of September.

Under the agreement, the offering to creditors will be expanded to C$850 million at the same pre-investment valuation of Air Canada as had been provided in its agreement with Hong Kong magnate Victor Li and his company Trinity Time Investments.

Li earlier this month pulled out of a C$650 million equity deal to rescue Air Canada, forcing the world's 11th largest airline to seek a new partner and casting doubts about whether it can stay aloft.

Trinity Time Investments, Li's personal company, walked away from taking a 31 percent stake in the airline because of Air Canada's unexpectedly large losses and the unions' opposition to cuts in pension plans.

Schön, nur: So wie das aussieht, werden dafür neue Aktien ausgegeben, und wenn mich nicht alles täuscht, werden die alten dann wertlos. Das heißt, die Firma wird an die Deutsche Bank und die Gläubiger gehen - Altaktionäre werden dann in die Röhre gucken. Jetzt wird es interessant, dass es hier 2 Arten von Aktien auf dem Markt gibt. In D sind ja nur die mit dem Zusatz "Nonvtg." zu haben. Weiß jemand, was das bedeutet?
Dasselbe Problem war glaube ich auch schon mit dem Trinity-Deal. Auch da sollten Altaktionäre leer ausgehen. Hab ich jedenfalls mal gelesen. Und ich vermute mal, dass eine Reihe der Beteiligten Gewerkschaften auch share-holder sind und deshalb Trinity zum Teufel gewünscht haben.
Jedenfalls entnehme ich den Meldungen, dass sie schon wieder mucken, weil sie an dem DB-Deal wieder nicht maßgeblich beteiligt wurden. ("Some of Air Canada's unions were also pushing for a larger role in deciding how Air Canada would replace Mr. Li. They may complain that the deal with Deutsche Bank was reached without their involvement.")
Bin mal gespannt, wie es weitergeht.

Heute sollte jedenfalls ein Kurssprung drin sein, da die Meldung erst gestern nach Börsenschluss rauskam.
Ich überlege grade, ob ich zum Traden ein paar nachkaufe.

General Electric Capital Aviation Services (NYSE:GE - News), Air Canada's main aircraft lessor, is expected to back the deal by announcing before the end of the week an extension of a C$1.8 billion loan package to help fund operations and purchase regional jets, a source close to the restructuring said.

The agreement between Deutsche Bank and Air Canada is seen putting its year-long restructuring back on track after Hong Kong magnate Victor Li walked away from an equity investment of C$650 million because of union opposition to pension cutbacks.

Air Canada, the world's 11th largest airline, is now hoping to emerge from bankruptcy protection by the end of September, nine months later than originally planned.

The Montreal-based carrier originally hoped to raise C$650 million by selling a third of its equity to Li. Another C$450 million was also to be raised by selling rights to its creditors to buy new shares at a discount.

Air Canada made up for the departure of Li with the revised agreement with Deutsche Bank to extend the right offering to C$850 million. That leaves the airline looking for a smaller investment of about C$250 million from an equity partner.


"It will facilitate the search for a new investor," said Captain Jean-Marc Belanger, spokesman for Air Canada Pilots Association.

UNIONS OPPOSE CUTBACKS

The agreement with Deutsche Bank is conditional on cost cut demands already meeting union resistance.

Air Canada says it is C$200 million short of the labor cost reductions of C$1.1 billion its 35,000 employees agreed to last year.

The pilots' union, the most influential Air Canada employee group but also the most affected by cutbacks, feels they have already done enough.

"We are not convinced yet that we haven't met our commitments," Belanger said, adding the union is still willing to talk with airline management.

Unions officials for the flight attendants, baggage handlers and mechanics voiced similar views, but the head of the reservation and ticket clerks unions categorically refused any more concessions.

"We delivered exactly what we were asked for and we won't be delivering any more," said Gary Fane, head of the transport section of the Canadian Auto Workers.

Air Canada stock continued to defy investment logic and rallied 9 percent on Tuesday to close up 10 Canadian cents at C$1.22 on the Toronto Stock Exchange (News - Websites) .

"What part of the story do people not understand?" said Harry Koza, senior market analyst at Thomson IFR.

"The bondholders and Deutsche Bank are going to end up with 99.99 percent of the stock in the newly restructured company. The old stock is worthless, but it trades like crazy. It doesn't make sense to me," he said.

Air Canada bonds rose 2 cents to about 32 cents on the dollar on news of the Deutsche Bank agreement, traders said.

"I think the market is still reserving judgment on this agreement," Koza said.

kann natürlich sein, dass da noch ein bisschen rumgezockt wird. Aber so wie es aussieht sind die Teile über kurz oder lang wertlos. Bei 0,22 ist mein Verlust mit o,o3 Cent noch ziemlich moderat. Werde das noch ein paar Tage beobachten, womöglich aber zu geeignetem Zeitpunkt raus.
Es gibt schließlich Alternativen. Der Reiz wäre ja gewesen, dass man an einem Ende des Insolvenzverfahrens partizipiert. Das wird immer unwahrscheinlicher. Die Kleinaktionäre dürften leer ausgehen.

Da hab ich doch sehr viel weiter oben gelesen, dass sich das Schicksal der Fluglinie bis zum 12.5. entscheiden soll. Gestern stand dei Aktie bei 0,18 und heut ist sie leicht gestiegen.

Angeschlagene Air Canada mit Gewerkschaften einig

Toronto (AFP) - Die vom Konkurs bedrohte Fluggesellschaft Air Canada hat sich mit Gewerkschaftsvertretern auf einen Plan zur Kostensenkung geeinigt und so den Weg für die erhoffte Finanzspritze durch die Deutsche Bank freigemacht.

Bei einem Krisengespräch in kleiner Runde hätten Air-Canada-Chef Robert Milton und der Chef der Automobilgewerkschaft CAW, Buzz Hargrove, eine Einigung erzielt, sagten Vertreter beider Seiten der Nachrichtenagentur AFP in Toronto. Details wurden zunächst nicht bekannt. Die CAW war die letzte der neun Arbeitnehmervertretungen bei Air Canada, die sich noch der von der Deutschen Bank geforderten weiteren Kostensenkungen verweigert hatte.

Die Einigung gelang wenige Stunden vor einem wichtigen Gerichtstermin; dabei sollte der zuständige Richter entscheiden, ob der Gläubigerschutz für Air Canada verlängert wird oder ob die zehntgrößte Fluggesellschaft der Erde unter Konkursverwaltung gestellt wird.

Air Canada befindet sich seit April vergangenen Jahres unter Gläubigerschutz. Die Deutsche Bank hatte im vergangenen Monat erklärt, bei der Ausgabe neuer Aktien einen Betrag von 850 Millionen kanadischen Dollar (511 Millionen Euro) zu garantieren. Im Gegenzug muss die Fluglinie weitere Kosteneinsparungen von jährlich 200 Millionen kanadischen Dollar durchsetzen.

Nach dem Deal mit der DB ist - soweit mir bekannt - die Ausgabe neuer Aktien geplant. Demnach werden die Altaktien möglicherweise völlig wertlos. Also Vorsicht!
Was ich nicht weiß: gilt dies nur für die Aktien mit Stimmrecht, die in D gar nicht gehandelt werden, oder auch für die Aktien mit dem Kürzel "nonvtg". Wäre interessant, das rauszukriegen.

Air Canada vor Ende des Gläubigerschutzes

Die finanziell angeschlagene kanadische Fluggesellschaft Air Canada kann darauf hoffen, Ende September aus dem Gläubigerschutz nach dem kanadischen Insolvenzrecht entlassen zu werden.



 






OTTAWA. Richter James Farley vom Obersten Gerichtshof der Provinz Ontario verlängerte am Wochenende den Gläubigerschutz, unter dem sich die Fluggesellschaft seit April 2003 befindet, bis zum 30. September.

Zuvor hatte als letzte von sieben beteiligten Gewerkschaften die Gewerkschaft der Automobilarbeiter (CAW) Einschnitten beim Einkommen der Air-Canada-Mitarbeiter zugestimmt. Die Verständigung zwischen Gewerkschaften und Unternehmensführung war eine der Bedingungen für eine Finanzspritze der Deutschen Bank zugunsten Air Canadas. Das Institut will mit bis zu 850 Mill. kan. $ (510 Mill. Euro) die Ausgabe neuer Air-Canada-Aktien an die Gläubiger sichern. Dazu hatte die Deutsche Bank allerdings eine Senkung der Lohnkosten um 200 Mill. kan. $ gefordert.

Er hoffe, dass nun die Zeiten von „Blut, Schweiß und Tränen“ vorbei sind, sagte der Richter kanadischen Medien zufolge. Ein Sprecher der Deutschen Bank in New York zeigte sich nach der Einigung zwischen Gewerkschaften und Air Canada „äußerst zufrieden“. Man werde nun daran arbeiten, die Vereinbarung mit Air Canada unter Dach und Fach zu bringen und der Fluglinie zu helfen, die Zahlungsunfähigkeit hinter sich zu lassen, sagte Deutsche-Bank-Sprecher Ted Meyer dem Handelsblatt. In den kommenden Tagen wird die Airline die Haupt-Kreditgeber, neben der Deutschen Bank ist dies GE Capital Aviation Services (GECAS), über die Vereinbarungen mit den Gewerkschaften informieren.

Die „Neuordnung“ der Arbeitskosten und Änderungen bei Leasing- und Zuliefererverträgen reduzieren nach Angaben von Air Canada-Präsident Robert Milton die operativen Kosten um annähernd 2 Mrd. kan. $ (1,2 Mrd. Euro). GECAS finanziert mit rund 1,8 Mrd. kan. $ den Restrukturierungsprozess sowie das Leasing und den Kauf von Flugzeugen.

Vor Wochen noch sagten Medien in Kanada das baldige Ende der Air Canada voraus. Doch Robert Milton, Chief Executive Officer (CEO) der größten kanadischen Fluggesellschaft, gibt sich optimistisch: „Im zweiten Quartal werden wir wieder einen operativen Gewinn erwirtschaften und 2005 ein positives Jahresergebnis“, sagte er dem Handelsblatt.

DÜSSELDORF. Im ersten Quartal hatte das Unternehmen noch einen Verlust von 145 Mill. kanadischer Dollar (87 Mill. Euro) ausgewiesen. Der 48-jährige Milton will sein ehrgeiziges Ziel durch eine Doppelstrategie erreichen: als Billigflieger auf dem nordamerikanischen Markt und als Premiumanbieter auf interkontinentalen Routen. Den Grundstein hat er durch einen rigorosen Kostenabbau gelegt: „Wir haben dauerhaft pro Jahr 2 Mrd. Kan-Dollar (1,25 Mrd. Euro) an Kosten eingespart“ - knapp die Hälfte beim Personal. Konsequent nutzt er das Insolvenzverfahren, unter dessen Schutz Air Canada im April 2003 geflüchtet ist. „Wir haben jetzt auch Luft, um den hohen Kerosinpreis aufzufangen“, glaubt er.

Im US-Markt biete Air Canada inzwischen Discountfliegern wie WestJet Paroli, sagt Milton. „Das Streckennetz zeigt, wie weit Air Canada dort bereits eingedrungen ist“, bestätigt David Knibb vom Fachmagazin Airline Business. Milton treibt die Expansion voran. Er hat 90 Regionalfluggzeuge bei Bombardier und Embraer in Brasilien bestellt.

Parallel zur Expansion als Regionalflieger baut Milton die interkontinentalen Verbindungen kräftig aus, vor allem nach Asien und Südamerika. Die transpazifische Route über Vancouver nach Asien ist um Stunden kürzer als von fast allen Flughäfen an der US-Pazifikküste. Auf diesen Routen will sich Air Canada als Top-Marke für Geschäftsreisende etablieren. „Vor allem Geschäftsleute aus Asien, die nach Südamerika wollen, fliegen jetzt über Kanada – wegen der neuen Visabestimmungen der USA“, berichtet Milton.

Auf dem Weg zum Global Player verlagere sich das Kerngeschäft auf die interkontinentalen Routen. „Aber in beiden Märkten – regional wie international – treten wir als eine Dachmarke auf: ,Air Canada’", betont er - im festen Glauben, die „Marke nicht zu trivialisieren“

Den Spagat zwischen regionalem Discountflieger und klassischem Linienflieger mit Anspruch als Top-Marke wertet Martin Köhler, Luftfahrtexperte bei der Boston Consulting Group, als „sehr mutiges und längerfristig visionäres Geschäftsmodell“. Das hätten europäische Fluglinien noch nicht geschafft. Mit der Deutschen Bank im Rücken – sie sprang Ende Mai in die Bresche - glaubt Milton, dass Air Canada im September 2004 den Insolvenzschutz verlassen kann. Claude Proulx, Luftfahrt-Analyst bei der Bank of Montreal Nesbitt Burns, teilt den Optimismus: „Die Untergangs-Schlagzeilen reflektierten nicht die Realität“.

Former Canadian prime minister Brian Mulroney is likely to be named to Air Canada's board when the insolvent carrier emerges from bankruptcy protection later this year, a source says.

Mulroney is an adviser to New York hedge fund Cerberus Capital Management LP, which recently agreed to swap $250 million for a 9.2 per cent interest in cash-strapped Air Canada.

The investment agreement, which calls for Cerberus' stake to appreciate in value to about 12 per cent of the company if Cerberus holds the stake for seven years, gives Cerberus the right to appoint several people to the board of the reorganized airline's holding company, Air Canada Enterprises.

"It's a prudent move because Air Canada is still going to need political cover in the months ahead," a source close to the hedge fund said.

"This airline still needs to get smaller, and it's going to need someone politically connected to make things happen.

"Who's better than (Mulroney)?"

Deutsche Bank AG, which backstopped a sale of $850 million in Air Canada stock to the airline's creditors, also has the right to handpick several members of the reorganized company's board.

Mulroney was travelling in Europe and couldn't be reached for comment yesterday, a spokesperson said.

An Air Canada spokesperson declined to comment.

Mulroney is a member of Cerberus' so-called "bench."

Stephen Feinberg, whose Cerberus takes its name from the mythical three-headed dog guarding the entrance to Hades, likes to hire former chief executives and politicians, including former U.S. vice-president Dan Quayle, to help guide distressed companies in which his firm invests.

Last fall, Cerberus recruited Mulroney to help with its pursuit of a majority stake in Air Canada, but lost out to Asian billionaire Victor Li. The Hong Kong-based financier subsequently dropped his plan to buy an interest in Air Canada.

After serving as Canada's prime minister from 1984 to 1993, Mulroney has carved out a busy niche in private practice.

A senior partner at Montreal law firm Ogilvy Renault, Mulroney has parlayed a network of connections into directorships and advisory positions with a handful of companies.

His directorships include positions at Quebecor Inc., a Montreal-based printing and publishing company; Barrick Gold Corp. of Toronto; New York merchant bank Veronis Suhler Stevenson; and America Online Latin America Inc. He has acted as an adviser to U.S. private equity fund Hicks, Muse, Tate & Furst Inc. on its investments in Europe and Latin America.

Separately, according to a plan of arrangement scheduled to be filed this week, creditors will hold a 45.8 per cent interest in a reorganized Air Canada in exchange for their claims.

Deutsche Bank would get 42 per cent, while Cerberus would have 9.2 per cent. Air Canada chief executive Robert Milton and other top executives would be given stock options for about 3 per cent, and existing shareholders would get a 0.01 per cent share of the company.

Ich hatte es ja befürchtet und jetzt scheint es offiziell: Altaktionäre werden praktisch enteignet durch die Restrukturierung: für 11,894 alte Aktien erhält man 1 neue. Wie das insgesamt für die bei uns gehandelten "nvtg"-Aktien, die ja weniger Wert sind als die "vtg"-Aktien, geregelt wird. kann ich nicht sagen. Aber jetzt wird sich da sicher nichts mehr positiv entwickeln für die Kleinanleger. Hier die Meldung:

 

Air Canada shares plummet on belated realization of their negligible value

TORONTO (CP) - Shares of Air Canada plunged more than 30 per cent Tuesday as investors finally took to heart management's often repeated message that the airline's common shares will be "virtually worthless" after it completes its restructuring.

Air Canada stock (TSX:AC - news) fell 35 cents to 70 cents on the Toronto stock market as more than 16 million shares traded hands. Holders of Air Canada's current shares will receive one share of the restructured airline for every 11,894 current shares. Once the restructuring is completed, holders of the current shares will hold a total of 0.01 per cent of the new Air Canada.

"I think I'll buy one just to frame and put on my wall," said McGill University professor Karl Moore, who has closely followed the airline's restructuring.

"It's a bit of a mystery why they have a value on the marketplace, but it's something where hope springs eternal and they were looking for a miracle that didn't make a lot of sense."

Air Canada steht vor einem Neubeginn mit frischem Kapital

Als letzte Angestellten-Gruppe der kanadischen Fluggesellschaft haben die Flugbegleiter der Regionalflugtochter Air Canada Jazz einem Abkommen zur Senkung der Lohn- und Arbeitskosten zugestimmt. Jetzt können die Gläubiger am 17. August über den gesamten Restrukturierungsplan abstimmen.  

HB MONTREAL. Nach Einschätzung von Air-Canada-Präsident Robert Milton steigen damit die Aussichten, dass die Airline Ende September aus dem seit April 2003 gerichtlich angeordneten Gläubigerschutz-Verfahren heraus kommt.

Erst im zweiten Anlauf hatten die Flugbegleiter von Jazz dem zwischen der Unternehmensführung und der Gewerkschaft Teamster ausgehandelten Abkommen zugestimmt. Mangels Beteiligung war eine erste Abstimmung ohne Ergebnis geblieben; daraufhin war die Abstimmungsfrist gerichtlich verlängert worden.

Mit der Zustimmung aller acht in Air Canada und Air Canada Jazz vertretenen Gewerkschaften zu Kostensenkungen in einer Gesamthöhe von 200 Mill. can- $ ist auch die Voraussetzung für die Neufinanzierung des Unternehmens gegeben. Einher gehen soll dies mit einer Umstrukturierung der Flugzeugflotte.

Air Canada wird über neues Kapital in Höhe von 1,1 Mrd. $ (660 Mill. Euro) verfügen, um auf der neuen Basis aus dem Gläubigerschutz entlassen zu werden. Die Deutsche Bank sichert in einem Garantieabkommen mit maximal 850 Mill. $ die Ausgabe neuer Aktien („Rights Offering“). Dieses Angebot und das weitere Engagement von GE Capital Aviation Services, die unter anderem Leasingverträge für die Flugzeuge finanzieren, war an die Bedingung geknüpft, dass die Betriebskosten von Air Canada deutlich gesenkt werden.

Zudem will die US-amerikanische Investmentfirma Cerberus ACE Investment für 250 Mill. $ Aktien an Air Canada Enterprises erwerben, der künftigen Holding-Gesellschaft der Fluggesellschaft. Air Canada ist Partner der Deutschen Lufthansa im weltweiten Airline- Verbund Star Alliance.

Air Canada will vigorously defend itself against the counterclaims and is confident that courts will ultimately decide that WestJet's and Mr. Hill's claims are without merit.

CALGARY, Alberta, Aug 3 (Reuters) - Second-quarter profit at WestJet Airlines Ltd. (Toronto:WJA.TO - News) was nearly halved as fuel costs and landing fees jumped, Canada's No. 2 carrier said on Tuesday, but the result still beat estimates by a hair.

WestJet, the discount carrier that is battling Air Canada (Toronto:AC.TO - News) in the skies and in the courts, earned C$7.5 million ($5.6 million), or 6 Canadian cents a share, down from year-earlier C$14.7 million, or 13 Canadian cents a share.

That beat by a penny an average estimate among analysts polled by Reuters Estimates.

Revenue rose 25 percent to C$257 million from C$206 million. But a 32 percent rise in fuel costs hit profit.

WestJet's shift of its Eastern Canadian hub to Toronto from Hamilton, Ontario, and a major advertising campaign also contributed to higher costs, it said.

Shares in WestJet rose 25 Canadian cents to C$13.55 on the Toronto Stock Exchange. The stock is down 30 percent in the past six months. Air Canada's shares have fallen 68 percent in the same time.

"I'm naturally very disappointed that we did not achieve better margins," chief executive Clive Beddoe told analysts.

However, he said he was heartened by a slight improvement in yields to offset costs as crude oil prices rocketed to their highest level in at least 21 years.

WestJet has been fighting fare wars with Air Canada, the country's dominant carrier, and no-frills upstarts such as Jetsgo. That has meant several quarters of weak yields.

"Their biggest issue was the overall environment -- the competitive environment and the constant seat-sale mode that the industry is going in," said analyst Nadi Tadros of Desjardins Securities.

The Canadian airline industry operates with 17 percent unused capacity compared with about 7 percent in the United States, where airlines are struggling, Tadros said.

In the quarter, WestJet's yield, or revenue per passenger mile, was flat with last year as costs per available seat mile rose 7.2 percent and capacity ballooned by nearly 29 percent.

WestJet, which is now launching service to U.S. destinations, also said on Tuesday it is buying six additional planes as part of plans to expand and modernize its fleet of Boeing (NYSE:BA - News) 737s over the next two years.

Despite the weak yields due to oil prices and a slew of seat sales, WestJet will have added 12 more fuel-efficient jets in 2004, 15 in 2005 and four in 2006. Deposits for the extra aircraft will total $32 million over the next 12 months.

By adding the 737-700, 800 and now smaller 600-series planes, and retiring old 737-200s, WestJet's capacity will jump by 30 percent, Beddoe said.

"The cost savings and efficiencies that this will bring through interchangeability of crews, parts, engines and training will be significant," he said.

It also puts to rest any talk of WestJet buying regional jets from makers like Bombardier Inc. (Toronto:BBDb.TO - News) and Embraer SA (Sao Paolo:EMBR3.SA - News) for at least two years.

Meanwhile, Beddoe apologized to shareholders and employees for a corporate espionage scandal that prompted Air Canada to file a C$220 million lawsuit and clouded WestJet's prospects.

Air Canada sued WestJet and two of its employees, claiming they used an internal Air Canada Web site thousands of times in 2003 and 2004 to check seat availability on various routes.

Beddoe said he was unaware of former WestJet vice-president Mark Hill's actions. Hill, a WestJet co-founder, resigned this month because of the controversy.

CALGARY, Alberta (Reuters) - WestJet Airlines Ltd.'s (Toronto:WJA.TO - News) chief executive apologized on Tuesday for a former executive's use of Air Canada's proprietary Internet data, the subject of a C$220 million ($167 million) lawsuit clouding WestJet's prospects.
However, one industry analyst said chief executive Clive Beddoe's public apology did not necessarily mean that an out-of-court settlement with Air Canada (Toronto:AC.TO - News) to end the ugly episode was imminent.

In a conference call with analysts to discuss a drop in second-quarter profit, a contrite Beddoe said he and WestJet's board did not condone logging on to an Air Canada Web site to access information on the profitability of its flights.

Air Canada's suit alleges Mark Hill, who resigned last month as WestJet's vice-president of strategic planning, and two of his staff used an internal Air Canada site nearly a quarter of a million times in 2003 and 2004 to check seat availability on routes.

The information would have helped WestJet plan its own routes. Air Canada seeks C$220 million in damages, having raised the amount from C$5 million in July.

"Clearly, I have to take responsibility for this event as I should have known what Mark Hill was doing, and no individual, including myself, should have the latitude to act irresponsibly," Beddoe said.

"Neither I, nor our executive, or our board, condone this sort of activity and consider it to be wholly inappropriate."

He said his airline has set up a whistle-blower policy to help prevent future misdeeds.

But WestJet expects "no material liability" as a result of the suit, he said. Beddoe declined to comment further, citing the litigation before the courts.

"This all tells me that they are taking this very seriously. Air Canada clearly has upped the stakes," independent industry analyst Rick Erickson said.

"Hand-in-hand with poor operational performance, this is why the stock's doing nothing, and that is bad news for the major investor players."

Shares in WestJet rose 25 Canadian cents to C$13.55 on the Toronto Stock Exchange (News - Websites) on Tuesday. The stock is down 30 percent in the past six months.

Erickson said he believes WestJet would prefer to settle the issue to avoid a big blot on its reputation, but the apology does not necessarily mean a deal is in sight.

"I'm not sure we're going to see an early out-of-court settlement on this," he said.

Air Canada officials said they had no comment beyond a July 22 press release to announce the increase in damages the country's biggest airline is seeking. It said it was looking forward to WestJet's explanation of the issue in court.

The move marks the latest twist in a strange and nasty fight between Canada's two largest airlines over accusations of corporate espionage.

WestJet was granted leave by an Ontario court last month to countersue, accusing Air Canada of seizing its private information unlawfully.

That included hiring private investigators to remove Hill's garbage from his Vancouver Island home and a Houston-based firm to piece together shredded documents, WestJet has said.

Soweit ich das richtig gelesen und verstanden habe, gibts für 11,894 alte Aktien 1 neue. Das ist zwar mies, aber ich würde nicht von Enteignung sprechen.

Im nachhinein ist das für die Altaktionäre echt mies, ich pers. bin noch nicht investiert, will lieber erstmal die Restrukturierungsphase abwarten.

Insgesamt gehts aber Schritt für Schritt voran.

kann ich mir gut vorstellen. Hast du alle Anteile noch behalten oder schon was abgestossen ? Theoretisch müßte man jez alles behalten, alles durchziehen bis man wieda am alten Stand angelangt, aba nur theroetisch, wer weiß wie lange das dauern kann.

Das ist aber m.E. das gewisse Restrisiko, wenn Firmen im Insolvenzstatus sind.
Man weiß nie was kommt. Ich pers. bin in solchen Dingen immer etwas vorsichtiger, obwohl ich auch spekulativ veranlagt bin.

Air Canada said today that the last of the restructuring claims filed by its unions has now been resolved. In proceedings before the Superior Court of Justice yesterday, the Air Canada Pilots Association (ACPA) accepted the determination of the Claims Officer and agreed to withdraw their pending appeal. The Court also dismissed an appeal by the Canadian Union of Public Employees (CUPE), representing the airline's flight attendants, of the determination of its claim by the Claims Officer.
Ernst & Young Inc., the Monitor in the CCAA proceedings, has provided Air Canada with the following status report regarding outstanding and accepted claims in the CCAA process:


          §    Claims Accepted or Determined assuming no appeals from Court decisions
          §    are granted:                                $7,477.5 million

          §    Total Disputed Claims:                      $1,460.5 million
          §    Portion of Disputed Claims Allowed in Part: $519.9 million

          §    MINIMUM POTENTIAL CLAIMS:                   $7,997.4 million
          §    (Assumes all disputed claims resolved at amount allowed by Air Canada and

MONTREAL, Aug 12 (Reuters) - Air Canada(Toronto:AC.TO - News) said on Thursday it had selected board members for the new holding company under which the world's No. 11 airline will operate once it emerges from bankruptcy protection in October.
Air Canada president and chief executive Robert Milton will stay as a board member, along with former Quebec premier Pierre Marc Johnson and former Bombardier Inc. head Robert Brown.

Brown, president and chief executive officer of CAE Inc.(Toronto:CAE.TO - News) and also director of Nortel Networks Corp. (Toronto:NT.TO - News), will leave his role as Air Canada chairman. The board will elect a new chairman when it takes office on Oct 1, Air Canada said.

Cerberus Capital Management L.P., the New York-based investment firm which bought a 9 percent stake in the airline, will have two of its top executives on the board: managing director Brett Ingersoll and Cerberus Operations president Michael Green.

The board of ACE Aviation Holdings Inc., Air Canada's new holding company, will also include former Air France chairman and chief executive Bernard Attali, former Ernst & Young chairman David Richardson and former New Brunswick premier Frank McKenna.

Others joining the board are George Hamilton, chief executive of Global Home Products LLC; and John McLennan, former vice-chairman of Allstream.

MONTREAL, Aug 17 (Reuters) - Air Canada (Toronto:AC.TO - News) creditors approved a recapitalization plan on Tuesday that will allow the world's 11th largest airline to emerge from bankruptcy protection with a clean balance sheet.

Unsecured creditors voted 99.6 percent in favor of the plan, which Air Canada will present next week for court approval, the airline said after a creditor meeting in Montreal.

"This positive response from creditors represents is by far the most critical vote of confidence in the strength or our business plan and the airline's prospects going forward," Air Canada president and chief executive Robert Milton said in a release.

Creditors will recover around 10 Canadian cents on each dollar that they are owed by receiving shares in the restructured airline's new holding company, ACE Aviation Holdings Inc. The new shares will be issued at a face value of C$20 each.

Creditors could end up owning up to 88 percent of ACE if they agree to buy more shares at a discount under a C$850 million rights offering sponsored by Deutsche Bank AG.

The result of the creditor vote was largely expected because Air Canada's monitor had warned that creditors would most likely recover nothing if the airline was pushed into liquidation.

"What choice do we have?" said Jean-Marc Belanger, regional chairman of Air Canada Pilots Association, which is owned some C$300 million by Air Canada, after voting in favor of the plan.

"What is important is that company will emerge as a stronger company. The alternative is to lose our company," he said.

As for current Air Canada shareholders, their shares will be worth close to nothing once the company converts and cancels them when it emerges from bankruptcy bankruptcy protection.

Air Canada's existing shares fell 2 Canadian cents, or 5 percent, to 34.5 Canadian cents on the Toronto Stock Exchange (News - Websites) on Tuesday.

MONTREAL (Reuters) - Shares of Air Canada (Toronto:AC.TO - News) fell by more than half on Wednesday, after the Toronto Stock Exchange (News - Websites) said it was reviewing the company's stock to determine if it meets listing requirements.

The exchange said it is reviewing Air Canada's common shares and class A nonvoting shares on an expedited basis.

Air Canada's common shares tumbled 15 Canadian cents or 50.85 percent to 14.5 Canadian cents shortly after the opening on Wednesday, before clawing back to 19 Canadian cents. Volume of more than 9 million shares made it the top traded stock early in the session.

On Tuesday, Air Canada's creditors approved the airline's restructuring plan, which if approved by the court overseeing its bankruptcy protection process, would reduce the value of its current common stock to nearly nil.

Under the plan, creditors could end up owning as much as 88 percent of its airline, but its current common shares will have no value. Expectations are that on court approval of the restructuring plan, Air Canada's current stock will be eliminated and delisted from the Toronto exchange.

TORONTO, Aug 23 (Reuters) - Canadian Imperial Bank of Commerce (Toronto:CM.TO - News) said on Monday it has agreed to sell a large portion of its Air Canada (Toronto:AC.TO - News) debt to a third party, and that an Ontario court granted it the right to acquire voting shares of the restructured airline.


CIBC, one of Canada's biggest banks, said substantially all of CIBC's proven claims as an unsecured creditor of Air Canada will be sold to a third party.

The bank did not disclose who the third party was, but said it will record a pretax gain of C$52 million ($40 million) from the Air Canada transaction, which will be recorded in the fourth quarter.

An Ontario court approved Montreal-based Air Canada's plan of arrangement with creditors on Monday, clearing the way for the world's 11th largest airline to emerge from bankruptcy protection at the end of next month.

More than 99 percent of unsecured creditors approved the plan last week, even though they will get only pennies on the dollar for their claim.

CIBC also said on Monday that it had obtained rights to acquire voting shares of ACE Aviation Holdings Inc., which will become the parent holding company of Air Canada when the airline emerges from its 18-month long reorganization.

But, CIBC has not assigned any of its rights, which are exercisable on Aug. 27. The rights entitle CIBC to acquire between 3.4 million and 3.8 million voting shares of ACE at C$20 a share.

If CIBC exercises all its rights, it would own more than 10 percent of the outstanding voting shares of ACE, but less than 4 percent of ACE's total equity.

The bank said it will hold any ACE voting shares "solely for investment purposes and not for the purpose of influencing the control or direction of ACE."

"CIBC does not intend to acquire ownership of, or control over, additional securities of ACE other than those that may be acquired by it upon implementation of the (Air Canada reorganization) plan."

CIBC shares were up 5 Canadian cents at C$65 on the Toronto Stock Exchange. Air Canada stock, which the airline says will be virtually worthless after the restructuring, was down 5 Canadian at 16.5 Canadian cents.

The world's 11th largest airline canceled its old shares as part of its restructuring under bankruptcy protection from which it will emerge on Sept. 30.

The new voting shares will trade on the Toronto Stock Exchange under the symbol ACE.B, Air Canada said.

MONTREAL, Oct. 6 /CNW Telbec/ - Air Canada reported a system load factor of 79.2 percent in September 2004, the highest ever for September. The mainline carrier flew 9.5 percent more revenue passenger miles (RPMs) in September 2004 than in September 2003, according to preliminary traffic figures. Overall, capacity increased by 1.5 percent, resulting in a load factor of 79.2 percent, compared to 73.4 percent in September 2003; an increase of 5.8 percentage points. In the domestic market, capacity decreased by 10.3 percent while traffic increased 0.5 percent resulting in a domestic load factor of 79.3 percent - an 8.6 percentage point increase year over year.
Jazz, Air Canada's regional airline subsidiary, flew 7.9 percent more revenue passenger miles in September 2004 than in September 2003, according to preliminary traffic figures. Capacity decreased by 10.8 percent, resulting in a load factor of 66.2 percent, compared to 54.7 percent in September 2003; an increase of 11.5 percentage points.

"In September ongoing disciplined capacity management and the growing popularity of Air Canada's web fares resulted in a sixth consecutive month of record load factors," said Rob Peterson, Executive Vice President and Chief Financial Officer. "Our record domestic performance was also supported by the strong traffic flows across Canada from international services, particularly from Japan. Air Canada expects to record an estimated $235 million of operating income before reorganization and restructuring items for the third quarter 2004

MONTREAL, Oct. 15 /CNW Telbec/ - ACE Aviation Holdings Inc. will be releasing unaudited consolidated third quarter financial statements of Air Canada by November 15, 2004. Pending this release, the Corporation is announcing its estimated unaudited consolidated operating income in order to provide current information to stakeholders on its recent operations given record high fuel prices and the deteriorated performance of US carriers.
The Corporation expects to record an estimated $235 million of unaudited consolidated operating income before reorganization and restructuring items for the third quarter of 2004. This estimate represents a major improvement from the $17 million of operating income before restructuring and reorganization items reported in the third quarter of 2003.

ACE Aviation Holdings Inc. Chairman, President and CEO Robert Milton expressed satisfaction with the results. "Against the current background of record oil prices, our estimated third quarter operating profit of $235 million reflects the tremendous progress made by Air Canada's employees over the last eighteen months of restructuring," said Mr. Milton. "Revenues are strong and unit costs are down, even in the face of a 41 per cent rise in base fuel prices. These results would have been further improved had post- emergence accounting been in effect.

"The airline again posted a record load factor every month this quarter while operating at strong on time performance and flight completion levels. While the third quarter is our seasonally strongest quarter, the results achieved point to an airline that is not only profitable in a difficult fuel and North American yield environment, but also to an airline that is running well operationally.

"Our new business model and product strategy is producing the desired results and we are seeing growing customer confidence in Air Canada as the airline of choice for the lowest fares to the greatest number of destinations on an everyday basis.

"The progress reported today was made possible through the hard work, dedication and sheer resilience of Air Canada's employees. As a result of higher overall system traffic and yield, consolidated passenger revenues have shown a marked recovery in all markets with the exception of the US transborder market. Air Canada estimates that consolidated system passenger revenues will increase by approximately 12 per cent over the third quarter of 2003. Passenger revenue per ASM (RASM) is expected to be up approximately 6 per cent over 2003 levels.

Air Canada anticipates unit cost reductions of approximately 4 per cent from the same quarter last year (11 per cent excluding fuel) on an ASM capacity increase of 6 per cent. These unit cost reductions are mainly due to cost reduction initiatives undertaken during the restructuring process which largely began to take effect in the third quarter of 2003.

Current record high fuel prices are a concern, however, the increase in fuel expense has been partially mitigated by a fuel surcharge in effect on US transborder and international travel and by a stronger Canadian dollar.

As at October 13, 2004, the Corporation's consolidated cash balance, measured on the basis of cash in its bank accounts, amounted to approximately $1.9 billion.

As in prior quarters, as a result of restructuring under CCAA, the third quarter 2004 results will reflect a number of very significant reorganization and restructuring charges directly associated with the restructuring which will be included in net income. Today and tomorrow, Air Canada is holding events in Toronto, Montreal, Calgary and Vancouver to present what the restructured, revitalized national carrier holds in store for employees and the travelling public: an updated design and colour scheme for its fleet, new uniforms for its front line staff as well as leading edge entertainment systems and luxurious lie-flat seats for customers.

"Today we unveil the Air Canada of the future to the people who made it all happen - Air Canada's employees," said Robert Milton, President and Chief Executive Officer. "I thank our employees. It is through their hard work, loyalty and willingness to accept change that Air Canada has been transformed and positioned to succeed as a profitable, growing, competitive company in a rapidly changing industry. As difficult as it was, the results so far are very encouraging.

The initiatives announced today signal a renewed focus on providing our customers with value-driven products and services that place Air Canada on the forefront of international carriers. It means an airline that is recognized for excellence world wide and whose employees are driven by the passion to succeed - not unlike the qualities for which Celine Dion, is known the world over.

It is truly a privilege to share this moment with you," said Celine Dion, wearing the stylish new Air Canada uniform as she addressed the carrier's employees. "It's been great working together with you on my latest music video and an honour to perform the song, 'You and I...were meant to fly,' to promote Air Canada and this great country around the world. Like you, I give it my best, day in and day out, to transport people and help them to realize their dreams, all over the world. We are all ambassadors for Canada, and from what I can see today, you and I were meant to fly." Joining Celine Dion onstage at each event was a chorus of Air Canada employees chosen through nation wide auditions to accompany the international superstar perform her May release "You and I...were meant to fly." The song is featured in the carrier's new television and radio advertising campaign that introduces the newly transformed Air Canada to the Canadian public. The campaign, created by Air Canada's advertising agency of record, Montreal-based Marketel, begins October 21, 2004.

Air Canada also announced today that it will launch a cooperative advertising campaign with the Canadian Tourism Commission to jointly promote Canada as a travel destination in markets outside the country. Major print and broadcast advertising campaigns are slated to begin in select markets in the United States and Great Britain in early 2005. By sharing costs and leveraging their respective strengths, Canada's flag carrier together with Canada's national tourism promoter will generate greater impact in international markets for the benefit of Canada's tourism and hospitality industries.

A new look for the fleet: Inside and out

Air Canada unveiled its new livery design with a display of a Boeing 767 aircraft sporting an updated design and colour scheme. Following their first stop over this morning in Toronto for employees to see the new contemporary look, the aircraft continued on to an event for employees at the carrier's headquarters in Montreal before continuing on to events in Calgary and Vancouver.

Air Canada's new updated livery, designed by FutureBrand Worldwide, features fresh clean lines and lighter colours; a more modern look with added energy that reflects Air Canada's approach to streamlining customer service and developing innovative products through simplification.

The distinctive Air Canada Maple Leaf in red on the tail of its aircraft will now be complemented by a graphic dot pattern representation called the "Frosted Leaf" in a light shade of green. In addition to its use on the exterior of the aircraft, the new colour scheme will be used throughout the interiors of aircraft and eventually across all corporate identity applications.

New uniforms for front line staff convey contemporary sophistication

Created by Canadian fashion designer, Debbie Shuchat, the new uniforms for Air Canada's 6,700 flight attendants and 2,900 airport customer service agents embody classic sophistication with contemporary flair. Inspired by a retro couture look, Shuchat has modernized the designs with softer, contoured lines in a style that is clean, fluid and simple.

Men's and women's suits will be in Midnight Blue with Silver Sky lining. Shirts and sweaters will also be in Silver Sky, accessorized with ties and scarves recalling the new livery's Frosted Leaf graphic design with a subtle tone-on-tone iridescence. Wear testing by employees will be conducted in the first half of 2005, followed by production of the final designs that will have incorporated feedback from employee groups. It is expected that Air Canada's front line employees will begin wearing the new uniforms in late 2005.

New leading edge in-flight enhancements

Air Canada today unveiled a new in-flight entertainment (IFE) system that will bring all of its customers leading edge video and audio on demand with a choice of up to 80 hours of programming on personal television screens at each seat. Air Canada will thus become the first airline in the Americas to offer fully interactive, personalized entertainment choices to all customers on all of its aircraft.

The system will consist of touch screen capability that gives each customer complete fully interactive programming control for making personalized entertainment choices and features digital image and surround sound quality. Introduction of the new system is scheduled to begin with the arrival of new Bombardier CRJ 705 aircraft in May 2005, and installation on the airline's international fleet beginning September 2005. The selection of the manufacturer will be announced upon finalization of the contract.

Air Canada also confirmed today that it will proceed with the introduction of the newest generation of premium lie flat seating for all of its Executive First international customers in order to ensure that its Executive First customers experience the very best in comfort available. Air Canada expects to introduce luxury lie flat seating across its international fleet beginning as early as September 2005. The selection of the manufacturer will be announced upon finalization of the contract.

"Just as we have invested in the renewal of our North American fleet with new, smaller jet aircraft, we must continue to invest strategically in other areas including in-flight products to remain competitive in domestic and international markets," concluded Mr. Milton. "We must invest to earn the ongoing loyalty of our customers. As we have seen today, Air Canada and its people will be better equipped than ever to meet new challenges head on and succeed."

The wide ranging initiatives announced today will be implemented strategically and economically to minimize costs. Painting of the livery will be accomplished as part of the carrier's regularly scheduled maintenance program over a two year period. The transition will be accelerated as a result of the upcoming delivery of new Embraer aircraft beginning in 2005. To achieve consistency fleet wide in a timely and economical manner, a transitional livery decal will be applied to aircraft tails. The carrier's new advertising campaign is also being produced within the parameters of existing marketing budgets. The introduction of the new uniform for front line staff, last redesigned in 1995, will be undertaken with both cost and the comfort of employees top of mind.

Air Canada meldet Zahlen zum dritten Quartal

Die ACE Aviation Holdings Inc., die ehemalige Air Canada Inc., teilte am Montag mit, dass sie im dritten Quartal einen operativen Gewinn vor Sondereffekten in Höhe von 243 Mio. Dollar nach 17 Mio. Dollar im Vorjahr erwirtschaftet hat.

Kanadas größte Fluggesellschaft, die am 30. September den Gläubigerschutz verlassen hat, wies einen operativen Umsatz von rund 2,5 Mrd. Dollar nach 2,23 Mrd. Dollar im Vorjahr aus, was einer Steigerung um 12 Prozent entspricht. Inklusive der Kosten für die Reorganisation und Restrukturierung der Fluglinie lag der operative Verlust bei 81 Mio. Dollar.

Zum 9. November belief sich der Barbestand des ACE (NYSE: ACE - Nachrichten) -Konzerns auf rund 1,9 Mrd. Dollar. Die Verbindlichkeiten haben sich von zuletzt 5 Mrd. Dollar auf nun ca. 4 Mrd. Dollar reduziert, was vor allem mit dem stärkeren C-Dollar zusammenhängt.

Star Alliance sieht Umsatzplus mit Firmenkunden 2004 von 25%

BANGKOK (Dow Jones-VWD)--Das Luftfahrtbündnis Star Alliance rechnet für ihr Firmenkundenprogramm "Corporate Plus" in diesem Jahr mit einem Umsatzanstieg von über 25% auf über 1,5 Mrd EUR. Wie die Organisation, in der die Deutsche Lufthansa AG vertreten ist, am Montag mitteilte, wurden von den Mitglieds-Airlines bislang 35 globale Firmenkundenverträge im Volumen von 1,5 Mrd EUR unterzeichnet. Im Rahmen des Programms können Unternehmen eine beliebige Star-Airline kontaktieren und dabei das Streckennetz und den Service aller in der Organisation vertretenen Fluggesellschaften nutzen.

In der Star Alliance sind neben der Lufthansa unter anderem Air Canada, Scandinavian Airlines, Singapore Airlines, United, US Airways und VARIG vertreten. Die Mitglieder bieten täglich über 14.000 Flüge zu 772 Zielorten in 133 Ländern an.

UPDATE 1-Judge adds WestJet chief to Air Canada lawsuit

MONTREAL, Dec 23 (Reuters) - An Ontario court judge has added the chief executive of WestJet Airlines Ltd. (WJA.TO: Quote, Profile, Research) as a defendant in Air Canada's (ACErv.TO: Quote, Profile, Research) C$220 million ($179 million) corporate espionage lawsuit against the no-frills carrier.

In a statement on Thursday, Air Canada said an Ontario Superior Court judge had issued an order adding Clive Beddoe, who is also chairman, president and co-founder of WestJet, and four other WestJet executives to the lawsuit.

WestJet did not oppose the motion, Air Canada said.

The court development is the latest in an increasingly bitter and personal dispute between the rival airlines and their leaders over allegations that senior WestJet managers gained access to private Air Canada data through an employee Web site nearly a quarter of a million times over almost a year.

According to Air Canada's claim, which has not been proven in court, Calgary-based WestJet used the data to adjust commercial strategies such as flight schedules to better compete against the Montreal carrier.

In early November, Air Canada, the country's dominant airline and world No. 13, sought to add Beddoe to the lawsuit, a move the WestJet chief said at the time was a "pretty low blow" and attempt to personalize the dispute.

Just last week, WestJet launched its own C$30 million lawsuit against Air Canada, saying the bigger airline was abusing the court process as part of a campaign to destroy the discount carrier.

WestJet's lawsuit named Robert Milton, chairman, president and chief executive of ACE Aviation Holdings Inc., Air Canada's parent, and other executives at the airline.

ACE Aviation shares were down 19 Canadian cents at C$35.80 on the Toronto Stock Exchange on Thursday afternoon, while WestJet shares were up 35 Canadian cents at C$12.15.

The dispute and weaker operating results have weighed on WestJet stock, which has dropped about 11 percent over the past three months.

ACE Aviation shares have advanced about 80 percent from their C$20 issue price when Air Canada emerged from 18 months of court protection from creditors at the end of September.

Air Canada airlifts relief supplies to Indonesia; Launches in-flight donations program for tsunami victims

devastation brought by tsunamis in Southeast Asia, Air Canada is working
around the clock with Canadian aid agencies and airline industry partners to
support relief efforts in the region as quickly as possible.
          §    Air Canada will provide dedicated relief flights to Sumatra, Indonesia
carrying supplies collected by World Vision Canada and the airline's caterer,
Cara Foods. Plans are under way for two relief flights loaded with up to a
total of 130 tonnes of cargo to depart Canada the first week of January 2005.
Air Canada will continue to work closely with aid agencies to arrange for
further shipments of supplies into the region as required.
          §    Included in these initial shipments to be distributed locally by World
Vision will be pharmaceuticals, general medical supplies, water purification
equipment, non-perishable foods, clothing and shelter materials.
          §    "On behalf of Air Canada and its more than 30,000 employees worldwide, I

Canadians and travellers from around the world - to show their support and
solidarity for the vital activities that Red Cross is undertaking at this time

          §    Air Canada has also implemented a flexible booking policy to assist its
customers who wish to make changes to their travel plans to and from the
regions affected.
          §    Air Canada customers with confirmed tickets purchased on or before
December 26, 2004 for travel on or before January 31, 2005 to, from or through
Colombo, Sri Lanka; Indonesia; Penang and Langkawi, Malaysia; Madras, India;
The Maldives; and Thailand may make changes prior to their original travel
date without penalty.
          §    These flexible booking conditions apply to flights operated by Air Canada
and Air Canada codeshare flights, indicated with the AC flight code. As Air
Canada does not operate its own flights into the region, it reminds customers
that changes to bookings for flights to and from affected areas that are not
operated by Air Canada and are not codeshare flights, are subject to the
policies of the operating carrier.
