Australian Ethanol Firm Acquires Beatrice Biodiesel, LLC
Australian Ethanol Limited (AAE) announced Mar. 1 the acquisition by US Biofuels, Inc (100% owned US subsidiary of AAE) of Beatrice Biodiesel, LLC (BBL) a Nebraska Limited Liability Company.
BBL owns the Beatrice Biodiesel Project, the largest biodiesel production facility to be announced in the United States, planned to be developed in Beatrice, 30 miles south of Lincoln Nebraska, USA.
The Beatrice Biodiesel Project plans to construct a 50 million gallon per year manufacturing facility using soya oil as the feedstock.
The BBL process technology is to be supplied by Axens North America Inc. (Axens) a subsidiary of the Institute of French Petroleum owned group, Axens IPF Group Technologies.
BBL has in place a Memorandum of Understanding with The City of Beatrice and Gage County to provide land in the Beatrice Industrial Park, and Tax Increment Financing for the Beatrice Biodiesel Project infrastructure and utility connections to the Beatrice Biodiesel Project.
The Beatrice Biodiesel Project has also received strong public support from the Nebraska Governor, Dave Heineman, BBL has engaged the Omaha based process and engineering group, C.J. Schneider Engineering Co., P.C. to complete the plant engineering design and equipment procurement.
BBL have received a proposal from a major Fortune 500 US grain and commodity group to supply all the required soya oil and offtake all the B100 biodiesel product from the Beatrice Biodiesel Project for a period of five (5) years.
BBL has received conditional proposals for project finance from the Beatrice Biodiesel Project from a local mid west farm credit group together with a major regional bank.
The cost of the acquisition of 100% of BBL is AUD $600,000 plus the issue of five (5) million fully paid shares in AAE.
The acquisition price is to be paid in four tranches, with the stock component of the third and fourth tranches subject to shareholder approval.
First payment of AUD $300,000 and 1.5 million shares on execution of the Unit Purchase Agreement.
The Unit Purchase Agreement was signed on 28 February 2006 in Lincoln, NE.
Second payment of 1.5 million shares on execution of the following agreements:
-Signed Memorandum of Understanding with City of Beatrice and Gage County for Project Approval and Tax Increment Financing.
--Execution of contract for the Process Design Book with Axens.
-Execution of contract for Technology Transfer with Axens.
-Execution of a Plant Design Engineering contract with CJ Schneider Engineering.
-Execution of a soya feedstock supply contract.
-Execution of a B100 biodiesel off-take contract.
Third payment of AUD $150,000 and one (1) million shares on putting in place unconditional project finance for Beatrice Biodiesel Project development.
Fourth and final payment – AUD $150,000 and one (1) million shares on the successful start up and commissioning of the Beatrice Biodiesel Project.
In addition, US Biofuels, Inc has engaged the owner and developer of the Beatrice Biodiesel Project, David R Blythe of Lincoln, NE as Chief Operating Officer of US Biofuels, Inc and Managing Director of Beatrice Biodiesel, LLC.
Blythe has been engaged on a five year contract to oversee the development of the Beatrice Biodiesel Project and other activities undertaken by AAE in the USA.
Blythe is a professional engineer with over 20 years experience in the US energy industry in project management, construction and operations of nuclear power facilities throughout the US.
Blythe is a graduate of the Washington State University and holds an MBA in International Business from Duke University.
He is a Certified Project Manager by the Project Management Institute of the United States.
Through his family company, Mr Blythe will become a substantial shareholder in AAE as a result of the BBL acquisition.
The AAE Board has committed AUD $2 million to progress detailed design and initial construction works and plan to have Project Finance in place to meet a summer construction start for the Beatrice facility.
BBL have secured adequate land including rail and utilities facility to meet a requirement for a future 50 million gallons per year soya crusher, cogeneration facility and future 50 million gallons per year ethanol plant at the Beatrice site.
The AAE US based Director, Michael Douglas, stated from St Louis, MO following the execution of the BBL acquisition documentation, “the Axens second generation technology and guarantees on biodiesel and high quality glycerine provided by Axens IFA Technologies would overcome the current quality issues for biodiesel currently being experienced in the mid west.
The guarantee to meet ASTM 6751 and EN 14214 full specification is an important component of the deal to acquire Beatrice Biodiesel, LLC” Dr Douglas highlighted.
“The proposal received from a robust Fortune 500 partner to supply soya oil and offtake biodiesel will add further value and credibility to this acquisition.
