IXOS gewinnt General Atlantic Partners als 25%igen Finanzinvestor
Grasbrunn/München, 13.8.2002 - Die IXOS SOFTWARE AG, Spezialist für Dokumentenmanagement-Lösungen, hat eine Equity Finanzierung mit General Atlantic Partners, dem führenden globalen Private Equity Investor in Informations- und Kommunikationstechnologie vereinbart. General Atlantic, beteiligt sich mit insgesamt 25,1% bzw. 5,4 Millionen Aktien an IXOS, und wird damit größter Aktionär der IXOS Software AG. Die Aktienkaufverträge mit der Gesellschaft und den Gründerfamilien wurden am 12. August 2002 geschlossen.
Der Vertrag mit der Gesellschaft sieht den Erwerb von 1.800.000 neuen, auf den Inhaber lautenden IXOS-Stückaktien zum Preis von EUR 5,90 je Aktie durch General Atlantic vor. Das entspricht einem Aufschlag von 15,9% je Aktie gegenüber dem durchschnittlichen Aktienkurs der letzten fünf Börsenhandelstage. Die Lock-up-Periode beträgt ein Jahr. Der Vertrag sieht die Nominierung eines Partners von General Atlantic für den IXOS-Aufsichtsrat vor. Der kommenden Hauptversammlung am 19. November 2002 soll Dr. Klaus Esser als Mitglied des Aufsichtsrats vorgeschlagen werden.
IXOS wird durch Ausgabe von 1.800.000 neuen, auf den Inhaber lautenden Stückaktien das Grundkapital von derzeit 19.724.659 auf 21.524.659 Aktien erhöhen und macht damit von dem Recht Gebrauch, das genehmigte Kapital unter Ausschluss des Bezugsrechts gegen Bareinlage zu erhöhen. Gesonderte Verträge mit den Gründerfamilien Färber und Strack-Zimmermann sehen vor, dass General Atlantic von beiden Familien jeweils 1,8 Millionen Aktien erwirbt. Nach Abschluss aller oben genannten Transaktionen wird General Atlantic 5,4 Millionen Aktien bzw. 25,1 % an IXOS halten. Die Gründerfamilien bleiben danach mit 945.673 Aktien (4,4%) bzw. 1.028.516 Aktien (4,8%) in IXOS investiert.
Mit dieser Transaktion stellt IXOS einen geordneten Übergang von den Gründern auf einen langfristig orientierten Investor sicher und schafft eine breitere Basis zur Finanzierung des künftigen internen und externen Wachstums. Alle Verträge stehen unter dem Vorbehalt der Genehmigung durch die Kartellbehörde.

IXOS increases number of shares ? General Atlantic acquires

Munich/Grasbrunn, August 13, 2002 - IXOS SOFTWARE AG (NEUER MARKT: "XOS?, NASDAQ: "XOSY?), a leading global provider of solutions for eBusiness document management, has announced that it has entered into an equity financing transaction with General Atlantic Partners, a leading global private equity investment firm focused exclusively on information technology businesses. General Atlantic will become the largest investor in IXOS following its acquisition of a 25.1% stake in the company, or 5.4 million shares. The stock purchase agreements with the company and the founding families were signed on August 12, 2002.
The contract with the company provides for the acquisition of 1,800,000 new no par value shares by General Atlantic Partners. IXOS will issue these 1.8 million new no par value bearer shares from a capital increase previously authorized by IXOS shareholders, thus raising its number of shares from the current 19,724,659 to 21,524,659.00. In this context, IXOS is exercising its right, with the approval of the Supervisory Board, to increase the company's authorized capital against cash contributions while excluding shareholders' subscription rights. The purchase price agreed with General Atlantic is ?5.90 per share, corresponding to a premium of 15.9% per share over the average price for the last five days' trading.

According to the agreement signed between IXOS and General Atlantic, a General Atlantic Partner will be appointed to the IXOS Supervisory Board. IXOS intends to propose Dr. Klaus Esser as a Supervisory Board member at the forthcoming General Meeting on November 19, 2002.

The Färber and Strack-Zimmermann founding families have also signed stock purchase agreements with General Atlantic, under which General Atlantic will acquire 1.8 million shares from each of them. The Färber and Strack-Zimmermann families will then hold 945,673 shares (4.4%) and 1,028,516 shares (4.8%) in IXOS respectively.
Eberhard Färber, Deputy Chairman of the IXOS Supervisory Board, commented the move as follows: "We are pleased that IXOS has found a competent, long-term financial investor to replace the founding families as the main shareholder. General Atlantic's track record shows that they can ensure not only financing for IXOS continued growth, but also provide strategic support.?
After all transactions have been completed, General Atlantic Partners will hold a total of 25.1% of IXOS (5.4 million shares). The shares are subject to a minimum lock-up period of twelve months. Consistent with its long-term investment horizon, General Atlantic normally holds its positions for about 5 years. This transaction ensures a smooth transition for IXOS from the company's founders to a long-term investor.
All agreements are subject to the approval of the antitrust authorities.
