VIVA Media acquires BRAINPOOL - Offer of 2.14 BRAINPOOL-shares in exchange for 1 VIVA share - Substantial revenue and profit enhancement of the enlarged VIVA Group - BRAINPOOL reduces its revenue and profit outlook for 2001

Cologne, November 6, 2001- VIVA Media AG and BRAINPOOL TV AG have agreed to combine their business activities. The majority shareholders of BRAINPOOL TV AG have agreed to exchange their 64.5% interest in BRAINPOOL TV AG for shares of VIVA Media AG, exchanging 2.14 BRAINPOOL shares for each VIVA share received. An identical offer will be extended to all remaining BRAINPOOL shareholders between November 9, 2001 and December 7, 2001. The Board of Management and the Supervisory Board of BRAINPOOL TV AG consider the exchange ratio to be fair and appropriate, representing an attractive premium of 26.8%, based on the XETRA closing share prices of the two companies on November 5, 2001, the day prior to the announcement of the offer. Jörg Grabosch, CEO of BRAINPOOL TV AG enlarges the Board of Management. At the same time Dieter Gorny, CEO of VIVA Media AG, and Christian Gisy, CFO of VIVA Media AG will join the Board of BRAINPOOL TV AG. Claus Dieter Grabner will leave the Board of BRAINPOOL TV AG. BRAINPOOL TV AG is reducing its revenue and profit outlook for 2001 and is currently expecting revenues of approximately 54m Euro and EBIT of approximately minus 12m Euro (previous outlook: revenues of 60m Euro, break-even EBIT). The revision mainly results from downward adjustments in relation to the planned business combination, as well as weaker operating performance in the merchandising business. The combination will create a leading European Music-TV and Young-Entertainment media group. The new VIVA group will have pro-forma revenues of approx. 115m Euro. In 2002 the group expects EBIT of approx. 40m Euro including proceeds from the sale of a stake in VIVA Plus to AOL Time Warner. From 2002 onwards VIVA Media AG expects an EBIT-margin of greater than 10%. Viva Media übernimmt Brainpool
Köln (vwd) - Die Viva Media AG, Köln, wird die Brainpool TV AG, Köln, übernehmen. Wie die beiden Medienunternehmen am Dienstag ad hoc mitteilten, haben Brainpool und Viva Media vereinbart, ihre geschäftlichen Aktivitäten zusammenzulegen. In diesem Zusammenhang haben sich die Brainpool-Mehrheitsaktionäre der Mitteilung zufolge verpflichtet, ihre 64,5-prozentige Brainpool-Beteiligung im Verhältnis von 2,14 zu eins in Aktien der Viva Media zu tauschen. Ein identisches Tauschangebot werde allen übrigen BrainpooL-Aktionären zwischen dem 9. November und dem 7. Dezember unterbreitet, hieß es.



Der Pro-forma-Umsatz des neuen Viva-Konzerns wurde für das Jahr 2001 mit etwa 115 Mio EUR angegeben. Im kommenden Geschäftsjahr werde inklusive des Erlöses aus dem Verkauf der Viva-Plus-Anteile an AOL Time Warner Inc, Dulles, ein EBIT von etwa 40 Mio EUR erwartet. Ab 2002 ist laut Mitteilung für die Folgejahre eine EBIT-Marge von deutlich über 10 Prozent geplant. Wie aus der Mitteilung weiter hervorgeht, wird Jörg Grabosch, Vorstandsvorsitzender von Brainpool, den Vorstand von Viva Media erweitern.



Gleichzeitig werden Dieter Gorny, Vorstandsvorsitzender der Viva Media AG, und Christian Gisy, Finanzvorstand von Viva Media, den Brainpool-Vorstand ergänzen. Claus-Dieter Grabner werde den Brainpool-Vorstand verlassen.
