According to the lawsuit, defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that: (1) Orion had overstated goodwill in certain periods; (2) Orion had overstated accounts receivable in certain periods; (3) Orion lacked effective internal control over financial reporting, including over goodwill impairment testing and allowance for doubtful accounts; (4) the required adjustments would materially impact Orion's financial results; and (5) as a result of the foregoing, Orion's public statements were materially false and misleading at all relevant times. When the true details entered the market, the lawsuit claims that investors suffered damages.
