Under the terms of the offer, Global would acquire Heartland in a transaction valued at approximately $4.3 billion.  Pursuant to the deal, holders of Heartland shares would receive 0.6687 common shares of Global and $53.28 in cash per Heartland share, for a transaction value of approximately $96.10 per share at current trading prices. 

Our investigation concerns whether the Heartland board of directors is fulfilling its fiduciary duties, maximizing the value of the Company, disclosing all material benefits and costs, and obtaining full and fair consideration for Company stockholders.
