Announcement on Change of Stock Name (A-share) and Announcement on Selling Back "Haier Convertible Bonds"

Qingdao / Shanghai / Frankfurt, June 26, 2019 - Haier Smart Home Co., Ltd. (formerly known as Qingdao Haier Co., Ltd.) (D-Share ISIN CNE1000031C, A-Share ISIN CNE000000CG9, "Haier Smart Home" or the "Company") published a mandatory announcement in accordance with applicable trading rules of the Shanghai Stock Exchange and applicable PRC laws in relation to the Change of Stock Name and Selling Back "Haier Convertible Bonds".

On 5 June 2019, Haier Smart Home convened the 28th meeting of the ninth session of the Board and reviewed and passed the "Proposal on the Proposed Change of the Company's Stock Name of Qingdao Haier Co., Ltd.", which intended to change the Company's stock name (A-share) to "Haier Smart Home". As applied by the Company and approved by Shanghai Stock Exchange, with effect on 1 July 2019, the stock name of the Company changes from "Qingdao Haier" to "Haier Smart Home", and the stock code remains the same as "600690" (A-share on SSE); the Convertible Bond Name "Haier Convertible Bonds" and Convertible Bond Code "110049", as well as the Convertible Stock Name "Haier Convertible Stocks" and Convertible Stock Code "190049" remain unchanged. At the Annual General Meeting of 2018 of Haier Smart Home, the "Proposal on Changing Part of the Investment Projects of Funds Raised from Convertible Corporate Bonds of Qingdao Haier Co., Ltd." was considered and approved, agreeing to change "Home appliance smart control components plant construction project", "Advanced research and development laboratory construction project of smart home appliance" and "Industrial smart research institute construction project", being the original sub-projects of the projects of funds raised from convertible corporate bonds of the Company, to "Haier North India industrial park project (Phase I)", so as to better improve the efficiency in using funds. According to the "Prospectus in relation to the Public Issuance of A Share Convertible Corporate Bonds of Qingdao Haier Co., Ltd." (hereinafter referred to as the "Prospectus"), the additional sale-back terms of Haier Convertible Bonds came into force. In accordance with the requirements of the Administrative Measures on Securities Issuance of Listed Companies, the Rules Governing the Listing of Securities on the Shanghai Stock Exchange and the Prospectus of the Company, matters relevant to sale-back are hereby notified to all holders of Haier Convertible Bonds, such as Sale-back Terms and Price, Matters Relevant to Selling Back Convertible Bonds, Trading during the Sale-back Period.
