On January 27, 2020, CenterState announced that it had signed a definitive merger agreement with South State. Under the terms of the merger agreement, CenterState shareholders will receive 0.3001 shares of South State common stock for each share of CenterState common stock they own. 

The investigation concerns whether the CenterState board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for CenterState shares of common stock.
