Under the terms of the proposed acquisition, Gigamon's shareholders will receive $38.50 per share in cash for a total transaction value of $1.6 billion.  However, the proposed offer price is below Gigamon's 52-week high of $60.35 per share and below the median analyst price target of $45.57 per share.
