Vapiano SE secures refinancing in light of the IPO with a new syndicated loan

Bonn, 24 July 2017 - As was disclosed in the IPO prospectus, German restaurant chain Vapiano SE ("Vapiano") has signed a five-year EUR 200 million dual-tranche loan, split between a EUR 100 million revolving credit and a EUR 100 million term loan facility fitted with a surplus option of EUR 50 million, on 23 May 2017. The new term loan and revolving credit facility will mature in May 2022. The funds were used to refinance Vapiano's existing EUR 145 million syndicated credit facility (originally dated 21 November 2012 and amended periodically), for general corporate and working capital purposes as well as to support Vapiano's growth strategy. With the Facilities Agreement, Vapiano also aims to benefit from the better conditions in the credit market. Corresponding to Vapiano's international expansion, the bank consortium has been internationalised and the Facilities Agreement has been adapted to International Financial Reporting Standards (IFRS). Furthermore, compared to the existing financing, the general complexity of the Facility Agreements has been reduced.

UniCredit acted as Facility, Documentation and Security Agent and led the transaction as Bookrunner and MLA. Commerzbank, DZ BANK and HSH Nordbank participated as MLAs. Two further international banks, Barclays and Crédit Lyonnais, joined the facility as Lead Arrangers.
