("Exactech " or "the Company") (NASDAQ: EXAC) for alleged breaches of fiduciary duty in connection with the proposed sale of the Company to affiliates of private equity firm TPG Capital ("TPG"). On December 4, 2017, the Exactech and TPG announced the signing of an amended merger agreement pursuant to which TPG will acquire Exactech in a merger deal valued at $737 million. Pursuant to the merger agreement, Exactech shareholders will receive $49.25 per share in cash for each share of Exactech.
